Consider TIF 16 Fund Request from Applicant Robert McDonald, Elk River Pizza Ranch.
If approved, a Development Agreement will be formalized between the developer and HRA to describe
the project and specify the assistance to be provided and conditions, including job and wage goals. If the
amount and structure of the assistance meets statutory business subsidy thresholds, the City Council may
be required to approve the agreement.
BACKGROUND/DISCUSSION
In June 2010 the HRA and City Council amended the HRA's TIF District No. 16 (King & Main) and
adopted a Spending Plan, under new legislation that allowed the temporary utilization of existing TIF
revenues in order to stimulate construction or substantial rehabilitation of private development and
stimulate job creation. The attached Spending Plan adopted by the City Council identifies the statutory
requirements as well as the City's criteria for use of the funds.
Proposed Project Investment and Funding Request
The Spending Plan authorizes the HRA to consider funding requests to assist the new construction or
substantial rehabilitation for the following desired uses: 1) outpatient medical clinics; 2) Class I
restaurants; 3) green manufacturing or other renewable energy facilities, and 4) general light industrial or
manufacturing.
Staff recently received a request for funds from Elk River Pizza Ranch which is proposing acquisition and
rehabilitation of the former Movie Gallery building located 19141 Freeport St. NW, Elk River. The
proposed project is considered a Class I restaurant in which food is served to the customer at a table.
Total estimated investment in the proposed project is $1,590,850. Proposed construction costs are
estimated at $559,150. The applicant has requested HRA funds in the amount of $90,000 to be provided
as a grant to pay for $72,000 WAC/SAC and purchase of adjacent land necessary for parking.
Proposed Tob Creation
The Spending Plan requires the assistance is subject to the "Business Subsidy Law" and that the recipient
create or retain at least 1 full-time equivalent job (including construction jobs) for every $25,000 of
assistance provided.
The applicant is proposing to create 4 full time jobs ($25,000-$70,000 salary) in addition to approximately
70 part-time jobs at wages $7-$11 /hr.

Proposed Timeline
The Spending Plan requires that construction ox substantial rehabilitation must commence before July 1,
2011 and would not have commenced by such date without the assistance.
Following HRA action on the funding request, the applicant proposes to proceed with purchase
agreement, construction plans and Planning and Council approvals for construction to start end of May
2011 and a project opening Fall 2011. The applicant has submitted a letter from its lender indicating
approved financing fox up to a $1,500,000 project. The applicant's proposed project cost is in the
amount of $1,590,850.
FINANCIAL IMPACT
The TIF 16 Fund has a current cash balance of $43,994 and is expected to receive $60,503 in tax revenues
generated from the TIF 16 King & Main project by the end of 2011.
RECOMMENDATION
The request meets the minimum requirements as established by statute, the HRA and City Council in the
attached Spending Plan. Staff recommends the HRA consider the following options regarding the
request:
• Approve the request - $90,000 grant to assist SAC/WAC and adjacent land costs. The City's finance
advisor, Maxk Ruff at Ehlers & Associates has reviewed the application and advised that there appears
to be sufficient cash flow to support a loan to the project rather than need for a grant.
Authorize Staff to negotiate aloes-interest loan to the project tied to the actual SAC/WAC fees. This
option would ensure the HRA would not be providing a "competitive advantage" to the restaurant as
compared to recently assisted similar projects (e.g. Pompeii Pizza EDA Micro Loan of $75,000). In
addition the Micro Loan program is not available to commercial businesses located outside the
downtown, therefore the applicant is still receiving benefit that would otherwise not be available but
for this TIF 16 Spending Plan.
Deny the request if it does not meet the City's intentions for the funds. The HRA is not under
obligation to approve any and/or all requests). Statutory deadline for commencement of
construction and use of funds is June 30, 2011 unless otherwise extended this legislative session. If
no requests axe approved prior to the deadline, the HRA would be required to use the TIF 16 funds
to reimburse the HRA $39,671.78 balance due, decertify the TIF district, and distribute the balance
and future taxes to the city, county and school district.

Pursuant to due call and notice thereof, a regular meeting of the City Council of the CitST of Elk
River, Minnesota, was duly held in the CitS~ Hall in the City of Elk River, on June 21, 2010,

RESOLUTION NO. 10- 32
RESOLUTION APPROVING A SPENDING PLAN FOR
TAX INCREMENT FINANCING DISTRICT NO. 16
BE IT RESOLVED By the City Council (the "City Council") of the City of Elk River,
Sherburne County, Minnesota (the "City") as follows:
Section 1. Background; Findings.
(a) On January 27, 1997, the Housing and Redevelopment Authority of the City of Elk
River, Sherburne County, Minnesota (the "Authority") established Tax Increment Financing District
No. 16 (a Redevelopment District) (the "TIF District") and adopted a tax increment financing plan
therefor (the "TIF Plan"}.
(b) Pursuant to the TIF Plan the Authority incurred certain costs in connection with the
acquisition of land, removal of substandard structures and site preparation (the "Redevelopment
Costs").
(c) On September 23, 2002 the Authority adopted resolution 02-02 to provide for
repayment of an interfund loan used to finance the Redevelopment Costs (the "Interfund Loan
Resolution").
(d) Subject to the approval of the City Council following a public hearing, the Authority
has adopted a spending plan for the TIF District in accordance with Minnesota Statutes, Section
. 469.176 Subd. 4m in substantially the form submitted to the City (the "Spending Plan") to utilize

existing tam increment revenues from the TIF District in order to stimulate construction or
rehabilitation of private development in a way that will also create or retain jobs.
(e) The City has performed all actions required by law to be performed prior to the
approval of the Spending Plan, including, but not limited to, causing notice of a public hearing to be
published and holding a public hearing on the date hereof on the adoption of the Spending Plan.
Section 2. Apt~roval of the Spendin,g_Plan.
(a) The Spending Plan for the TIF District is hereby approved and adopted in substantially
the form submitted to the City.
(b) The Authority is hereby authorized to carry out the terms of the Spending Plan in
such manner as it determines.
The motion for the adoption of the foregoing resolution was duly seconded by Member

FOR TAX INCREMENT FINANCING DISTRICT NO. 16
(A REDEVELOPMENT DISTRICT)
I. PURPOSE
The Housing and Redevelopment Authority of the City of Elk River, Minnesota (the
"HRA") proposes to adopt a Spending Plan for Tax Increment Financing District No. 16 (a
Redevelopment District) (the "TIF District") in accordance with Minnesota Statutes, Section
469.176 Subd. 4m.
The purpose of the Spending Plan is to develop or redevelop sites, lands or areas within
the City of Elk River, Minnesota (the "City") in conformance with the City's Comprehensive
Plan by using available tax increments from the TIF District to provide improvements, loans,
interest rate subsidies, or assistance in any form to private development consisting of the
construction or substantial rehabilitation of buildings and ancillary facilities, which will create or
retain jobs in this state.
II. PLAN
The HRA is authorized as follows:
(a) To amend resolution 02-02 to defer payment of the interfund loan
described therein.
(b) To use available tax increments from the TIF District to provide
improvements, loans, interest rate subsidies, or assistance in any form to private development
consisting of the construction or substantial rehabilitation of buildings and ancillary facilities for
(i) outpatient medical clinics, (ii) Class I restaurants, (iii) green manufacturing or other
renewable energy facilities, and (iv) general light industrial or manufacturing. The construction
or substantial rehabilitation of such facilities must commence before July 1, 2011 (unless
otherwise authorized by law) and would not have commenced by such date without the
assistance provided pursuant to this Spending Plan.
(c) To amend the budget set forth in the Tax Increment Financing Plan for the
TIF District as necessary to provide for the assistance authorized by this Spending Plan.
(d) To take any other action necessary and authorized under Minnesota
Statutes, Section 469.176 Subd. 4m in connection with the construction or substantial
rehabilitation of facilities of the type described in Clause (b) above.
The assistance provided pursuant to this Plan shall be subject to Minnesota Statutes,
Sections 116J.993 to 116J.995 (the "Business Subsidy Law"), if applicable, and shall be subject
to the requirement that the recipient create or retain at least 1 full time equivalent jobs (including
construction jobs) for every $25,000 of assistance provided.

Summary -HRA assistance will contribute to the success of this business by providing the needed capital
to keep the costs of this project at a level that will insure a viable business for the owners. Much time and
effort has been put into demographics, supply/demand for restaurant spending, and projections by both the
franchisee and the corporate office of Pizza Ranch. The conclusion being that, the project cannot exceed
$1,500,000. If it does, Franchisee will locate to a different city that can support this type of a large
investment.
Site Identification - 19141 Freeport St NW, Elk River, MN 55330. PID# 755600410. Lot 2, Block 4, Elk
Park Center. .81 acres. 1 building - 5962 Sq Feet. Zoned Commercial. Currently owned by Osborne
Properties, Bloomington, MN. The site will be developed by Robert G. McDonald whom will hire a
general contractor that has built other Pizza Ranches. It is the applicant's goal to have a purchase
agreement signed by 4-10-11 for a price between $625,000 - $675,000. Currently assessed at $621,000.
After completion assessed value....$1,000,000? Applicant is in negotiating the purchase of the adjoining
greenspace (12,000 sq feet) in order to expand the parking lot. In addition, SAC/WAC charges have
increased the projects cost. These two issues have put the project on a thin margin. This family style
restaurant will bring traffic to the area. It will seat 220 guests and include a community room to be used
for group functions, In addition, the Elk River Pizza Ranch will be an integral part of the community and
part of the marketing plan is to hold fundraisers for various groups in Elk River.
Job Creation and Retention
Projected construction costs will be approximately $500,000. The store is projected to open in late
summer. Two weeks prior to opening, all employees will be hired and start training. Pizza Ranch will
create 4 full time jobs; General Manager, Assistant General Manager, Kitchen Manager, Guest Services
Manager. There will be approximately 70 part time jobs created, most of who will average about 20 hours
per week and about $7-$11/hr.
Capacity
The Pizza Ranch, an Iowa-based company, was founded in 1981 in the town of Hull, Iowa, (population
1804). At the beginning of 2011, Pizza Ranch had 156 restaurants in 9 states. Many of the stores are
located in small towns with same store sales consistently exceeding national statistics. More recently,
Pizza Ranch has expanded into larger markets and has consistently done very well in these communities.
These stores have experienced significantly higher profitability. The Pizza Ranch has received many
awards for its contribution to the pizza industry. The first award came in 1990. The Pizza Ranch was the
Pizza Maker of the Month featuring Kelly Pendelton, the training officer, on the cover. The Pizza Ranch
also received an award for the introduction of the 3D pizza that includes an appetizer, main course, and
desert all in one. The most important awards are the most recent. In January of 2000, the Pizza Ranch
was ranked among the top 15 food-related chains in America and it was listed in the August 2001 Pizza
Today magazine for being #1 among the top 100 pizza chains in "Same Store Sales" with an increase of
61.8°Io for the five-year period of 1995 to 2000. Since 2000, growth has continued, as Pizza Ranch has
been in significant expansion mode. It has grown from 82 franchised locations to 155 at the start of 2011.
Currently there are 7 stores under construction for opening in 2011. Total franchise sales have grown
from $34,066,755 in 2000 to $124,861,575 in 2010. The top 10 stores in 2010 had average sales of

Project Budget Narrative
Like any other start up business, budgeting is a key component that needs to be carefully scrutinized and
completed in great detail prior to moving forward. The Applicant has been working on this for the last 4
months. The attached Sources and Uses of Funds on page 3 depicts how tight this project will be to meet
the $1,500,000 target. As you can see, the current project budget needs the injection of cash from the
HRA. Without it we cannot make the goal of $1,500,000. There is a letter of commitment from the
lender on page 3. Income statements projections provided on page 4.

The Pizza Ranch located on in Elk River will offer a variety of food and beverages that can be purchased
by pickup at the drive-thru window, table service at the restaurant, delivery, and noon and dinner buffet.
The owners of GRM of Minnesota, LLC are seeking approximately $1,300,000 for the purchase of land,
existing building, build-out, furniture, fixtures, & equipment, and startup costs associated with a new
Pizza Ranch. This sum, together with $300,000 cash equity investment of the principals will be sufficient
to finance this enterprise.
An analysis of the potential market indicates that The Pizza Ranch will be a very successful business.
Abounding in natural beauty, Elk River is a vibrant, historic river town that promotes an active lifestyle in
an innovative and involved community offering unlimited opportunities. Elk River is located at the
convergence of the Mississippi and the Elk rivers. It is the county seat of Sherburne County and has a
median age of 32 years and a median income of $73,379. A suburb that is just 20 Minutes from the Twin
Cities, it serves as a gateway to Minnesotans that head "Up North". Currently, Elk River is underserved
by the restaurant business. The Pizza Ranch's menu items and pricing will draw patrons from every
demographic group within the community. The large community room, friendly atmosphere and ease of
access off State Highway 169 will further differentiate the Pizza Ranch from its competitors. Pizza

2. Location/Design/Interior Layout -Currently, Pizza Ranch Inc. has reviewed the location and
determined the location to be highly suitable for a Pizza Ranch. Elk River sits at the
convergence of three State Highways 10, 169 & 101. Each highway has approximately
40,000 daily traffic count. Elk Rivers population is 24,539 and within a 10 mile radius the
population is 135,386. The location, design, and interior layout are approved by Pizza Ranch
Inc. All branding elements are strictly monitored and are outlined in the Brand Standards
Manual. See Appendix C for projected exterior elevations & interior layouts. Pizza Ranch, Inc.
provides these based on your location specifications.
3. Restaurant Ownership & Management -Pizza Ranch, Inc. provides direction and job
descriptions for the management team to be assembled for each Pizza Ranch location. General
Manager, Assistant General Manager, Kitchen Manager and Guest Services Manager positions
make up the management team. The Elk River store will be owned by father and son of
Gerald H. McDonald and Robert G. McDonald. The stores GM will be Robert and, he
along with the help of Pizza Ranch corporate will hire key management positions. The
state of the current economy should allow us to hire experienced and competent workers at
great value.
4. Training -Management & Staff- All management positions are required to complete 1-4 week
training sessions conducted at Pizza Ranch, Inc. These managers will be trained on how to train
store level staff members who are cross-trained in several positions to ensure we have a staff that
is capable of meeting the demands of our customers. Pizza Ranch, Inc. provides pre-opening
store level staff training and training support during the first two weeks after store opening.
Quality Food -The Pizza Ranch's standards for providing quality food are outlined in the
operations standards manuals (Manual for Kitchen Operations & Handbook for Excellent Ranch
Operations) and through support of Franchise Consultants. Proper Equipment maintenance
outlined in the standards manual is important in providing consistency for the chain. Franchise
consultant support is given to follow-up and support the food quality in every Pizza Ranch. Pizza
Ranch's current menu is provided later in this document.
6. Consistency -The consistency of products and services is important at the Pizza Ranch. We
recognize that the Pizza Ranch needs to meet the needs of every customer in regard to
cleanliness, service, and quality food. The Manual for Kitchen Operations & Handbook for
Excellent Ranch Operations can be provided on request.
7. Marketing Plan -Pizza Ranch trains & utilizes its management team and employees to create
"community" in our restaurant locations. Specifically our managers will focus on these key
elements of success as the basis of the Pizza Ranch marketing strategy:
Community Involvement -The Pizza Ranch has built a reputation on being involved in
the local community.
Personality -Personal manners of management and employees are important.
Management and employees are expected to be polite, wave, and carry themselves in a

exceeds $1.7 trillion, as every dollar spent in restaurants generates $2.05 spent in the overall
economy. Restaurants are the nation's second-largest private sector employer with 12.8 million

The Pizza Ranch will continue to offer a menu of food and beverages with a distinctive image. There will
be several ways to purchase these products: Pickup at the drive-thru window, table service at the
restaurant, delivery and catering, and noon and dinner buffet.
The Menu
For pizza, our customers will choose from a variety of first-rate toppings on three different kinds of crusts
- Skillet, Thin, and Original. The distinctive, light taste of Pizza Ranch pizza appeals to all age groups.
Crispy Ranch Chicken is "The Country's Best Chicken!" Generous pieces of chicken are broasted in
moisture-sealing breading to make flavorful, tender, and altogether delicious chicken. Pizza Ranch has
recently added BBQ chicken to the menu that is turning out to be quite a hit.
Ranch Wrap sandwiches are filled with cubed chicken and lively ingredients baked in a hearty wrap.
Customer can choose from the Ceasar Wrap, Bacon and Chicken Wrap, or BBQ Wrap.
Lunch and dinner buffets will feature a large fresh salad bar, all-you-can-eat pizza, broasted and BBQ
chicken, chicken fries, mashed potatoes and gravy, potato wedges, onion pedals, soup, dessert pizza,
cactus bread, ice cream and soft drinks & coffee. Additional items such as shrimp and fish will be offered
during certain times of the year.

Marketing Plan and Sales Strategy
Market Penetration
The Pizza Ranch in Elk River will be located at 19141 Freeport St NW. This location sits on MN
Highway 169 and will be visible by more than 39,000 vehicles that pass by on a daily basis. It will a
have a new sign on 169 and the existing building will get a facelift. The building will be totally
remodeled and will contain a community room and seating for approximately Z00 guests. The last
sit down, franchise restaurant, to be constructed was in 1997 (Applebee's). Elk River is hungry for
another family friendly, sit down restaurant.
Marketing Strategy
The franchise agreement of The Pizza Ranch provides that 1.5% of local sales be spent on advertising.
The Pizza Ranch owners in each area form a cooperative to coordinate local advertising efforts. For new
stores and purchases of existing stores, Pizza Ranch Inc. will provide an additional dollar amount equal
to 1% of gross sales to be used for local marketing.
A mix of marketing strategies will be used to convey our presence, our image, and our message. A
strong effort will be made to support community and school efforts for the joint benefit of the restaurant
and community. Before the opening, the Pizza Ranch service consultants will assist with all operation
and marketing issues.

Overview of Restaurant Operations
Facilities and Offices
The Pizza Ranch in Elk River will be a 5962 square foot space. Currently, there are 52 parking spaces.
Upon approval of funding, we will enter into negotiations with the adjacent vacant lot to secure the
purchase, lease or easement to expand the parking lot to 100 spaces.
Hours of Operation
The restaurant will be open for lunch and dinner 7 days a week. Service will begin at llam and end at
lOpm. The lunch buffet will begin at llam and end at 2:OOpm. The dinner buffet will begin at 4:30pm
and end at 8:OOpm. The restaurant will be closed on Christmas and Thanksgiving.
Employee Training and Education
The General Manager and Assistant General Manager will be trained at the corporate training restaurant
in Sheldon, Iowa prior to taking possession of the Pizza Ranch in Elk River. Corporate store openers
will train employees in their specific operational duties and in the philosophy and applications of our
concept two weeks prior to opening and also the first two weeks once the store opens.
The General Manager and Assistant General Manager will be responsible for developing other key
individuals at the Pizza Ranch. The owners and 4-6 immediate family members will also be involved in
the day to day operations of the Pizza Ranch during the first few months of business to ensure a smooth
opening. The Owners will continue to oversee and evaluate management and general store performance.
Systems and Controls
An emphasis will be placed on the quality and integrity of our products. They will be monitored for
freshness and quality. Food costs and labor cost control will be handled by or computer system and
