BACKGROUND In 2006, the HRA purchased 716 and 720 Main Street in Elk River with the intent to expand downtown surface parking. In August of 2011, city staff and Loukes Associates Building Consulting Group inspected the HRA buildings in addition to Elk River Meats to review their condition. The inspection determined that snow and/ox roof loads have the potential to collapse the roof of the 720 Main Street. The 720 Main Stteet building was red tagged on September 23, prohibiting anyone from entering the building. On October 3, 2011, the HRA authorized staff to proceed with obtaining proposals fox costs to demolish the 716 and 720 Main Street buildings. Staff is working with Randy Schumacher, The Schumacher Croup, LLC, to manage the project. A structural engineer review and asbestos and regulated waste survey was completed prior to the creation of the bid specifications. Items containing asbestos were found in both buildings. A building condition report was completed on Elk River Meats, which will be utilized to determine any effects the demolition process has on the meat market Pex the shared wall agreement, the HRA is responsible for any necessary repairs, etc. which need to be executed because of the process. In the event of a predicted snow event over three inches or actual snow accumulation exceeding four inches, staff will proceed with the snow removal plan as outlined in the policy attached to this report. PROTECT TIMELINE Notices for bids were published on November 9 and November 26, 2011. A mandatory walk-through fox all bidders was held on November 29 and bid opening was held on December 6. A total of five bids were received for the demolition and removal of the buildings. Bids ranged from $59,600-$108,500. Staff is recommending approval of the bid in the amount of $59,600 from Veit and Company. Asbestos removal is anticipated to take three days and demolition can begin immediately after. This process is completed within the building and will not affect downtown businesses. After asbestos removal, the demolition will take place and the site will be backfilled. Staff anticipates demolition to begin complete no latex than January 5. Elk River Meats is closed for business December 25 through January 7. Staff will be meeting with Veit to outline the details of the process, including but not limited to: parking lot access, securing of the site, business dumpsters, etc. Staff will continue to work with the downtown businesses to sure the information is communicated. FUTURE USE At the November HRA meeting, the HRA authorized staff to look into alternative uses fox the site should the buildings be removed. Site clean-up will not limit future use(s) at this point. Staff will research options and will return to the HRA at a later date fox discussion. FINANCIAL IMPACT 'The HRA should consider a budget amendment in the amount of $59,600 to the Building Repair/Maintenance line item in the HRA budget. The funding will come from HRA fund balance in which sufficient funds exist to cover the cost of the project. Assignment Braun Intertec has been retained to provide a structural engineering review of the existing wall that separates the 724 and 720 Building located on Main St., in Elk River, MN. The purpose of this review is to assess and provide general guidance in preparing the 720 Building for demolition and limit the amount of negative impact to the 724 Building during the demolition, which is to remain in place. Description The site has three buildings located adjacent to one another. The buildings are all single story structures with two of the buildings confirmed to have partial basement areas. The two buildings on the east end of the site (720 Building is the center building) are scheduled to be razed and new parking lots added to the site. The building on the west end (724 Building) will remain in place. Observations and Comments Braun Intertec completed a site visit on November 11, 2011 to review and determine the layout of the of the common wall between the 720 and 724 Buildings and to provide our opinion of the general steps required for the proposed demolition to limit the impact on the 724 Building. The following information was obtained through the site visit: The fronts of all of the buildings face south for reference in this report. The roof framing of the 720 building consists of main wood girders that span the width (east- west) direction and supporting roof and ceiling rafters that span in the north-south direction. The roof girders are spaced at approximately 12-feet along the length of the building. The length of the building is approximately 100-feet with an additional 10-feet that was an expansion to the original structure. Proi~iding engineering and environmental solutions since 7957 City of Elk River Braun Project BL-i1-6693 November 17, 2011 Page 2 • The girders bear on brick pilasters that are tied into the existing brick wall that was exposed in a couple areas along the wall by removing the interior paneling that was used to finish the space. • It was determined that the brick wall observed from the interior side of the 720 Building is approximately 11 1/2-inches thick and interior face of the common wall on the 724 Building is opposite side of this brick wall. • The wall extends beyond the roof line and forms a parapet along the length of the common wall. • The back 10-foot addition extends above the roof line of the original building. The common wall between the two buildings at this location appears to be comprised of two separate walls with the addition at the 720 Building constructed with concrete masonry units. • There are three chimney conditions along the parapet wall. Two of the chimneys are tied to the common wall construction on the 720 Building side of the common wall. The third chimney is located over the 724 Building and was in use at the time of the site visit. It is assumed the third chimney is for the slow cooker used in the Meat Market and it was observed to be in severe disrepair being held together by wire. Engineering Opinion and Recommendations The condition of the wall observed indicates that the brick wall will need to remain in place as it is the east wall of the 724 Building. Care is needed when removing the roof of the 720 Building since the main girders of this building are bearing on the brick pilasters that are integrated into the wall that is to remain. The following is our general recommendations for the procedures for the demolition of the site: • It is suggested that the demolition of the two buildings (720 and 716) start with the demo of the 720 Building. This is recommended since it appears that the common wall between the 720 Building and the 716 Building may be tied together and to insure that no unwanted stress of the removal of the 716 Building transfers through the 720 Building to the 724 Building. • The interface at the corners of the 724 and 720 Buildings shall be removed manually and taken in 3 to 6-feet from the 724 Building prior to any machine demolition. We suggest this to help prevent damage from occurring at these corners. • The roof framing will need to be removed in stages to limit and prevent unwanted stress from the girders pulling on the brick pilasters and corresponding brick wall. We suggest removing the roof and ceiling rafters first from the respective girders before removing the girder. We suggest a sequence as follows: o Starting from the rear of the structure remove the first 12-feet of the rafters that span from the rear wall to the first girder shall be removed. o Remove the next 12-feet of rafter framing before removal of the girder. o Remove the girder that is now void of any rafter framing. o Proceed to the next rafters and continue the sequence. • The foundation walls that are within 10-feet of the 724 Building shall only be removed to 12- inches below grade. • The concrete slab-on-grade can be removed in its entirety. • The block walls of the 10-foot addition at the rear of the structure can be removed in their entirety. • It is the responsibility of the general contractor doing the demolition to prepare a detailed work plan for approval and coordination prior to starting the work. ~~~~~~~ City of Elk River Braun Project BL-11-6693 November 17, 2011 Page 3 Since the brick common wall will remain in place after the demolition, the final finish of the wall will need to be addressed once it is exposed. The flashing aspects along the roof and corners will need to be addressed as well as the aesthetics of the wall. Once the conditions are exposed, further evaluation may be needed by a design professional to provide appropriate construction details. The contractor should be prepared to provide some temporary flashing (or permanent if they are qualified) until a permanent detail can be provided. The materials sampled included insulation, foam, brick, floor tile, ceiling tile, attic paper, flooring, surfacing texture, caulking, linoleum, ceiling paper, ceramic tile, sheetrock, adhesives, glazing, mopboard, stucco and roofing materials. A copy of the EMSL analytical report is included in Appendix C. Buildine 716 The following is a list of items that were found to be asbestos containing in Building 716: cream, pink and brown 9 inch by 9 inch floor file (5%, 4%, 5%Chrysotile, respectively), silver layer base flashing (5%Chrysotile), and tar bast flashing (3%Chrysotile). Buildine 720 The following list is the items that were found to be asbestos containing in Building 720; ceiling surfacing (Z% Chrysotile), bathroom gray floor file mastic (8% Chrysotile), tax on the hasement foam (10% Chrysotile), paper backing under the metal ceiling (65% Chrysotile), light gray window caulking& duplicate (2% & 3% Chrysotile, respectively), and the silver vent covers on the roof (3% Chrysotile). The ceiline surfacing. aaaer backing under the metal ceiline and the silver vent covers on the roof are all friable and must be removed prior to demolition. 2.2 Lead Summary The following locations were observed to have peeling, chipping or flaking paint: silver metal ceiling in 720, yellow ramp paint, garbage fence and white roof paint. All collected paint samples were analyzed for lead content and the results indicate that the lead concentrations ranged from less than 0.010% weight to 0.063% weight, which are below 0.50% by weight The paints are not considered lead based paint. A copy of the EMSL analytical report is included in Appendix D. Lead solder was observed on the pipe in the hasement located in Building 716. CONTRACT FOR DEMOLITION THIS CONTRACT is made and entered into this day of December, 2011, by and between Veit and Company, Inc. (the "Contractor") and the Housing and Redevelopment Authority of Elk River (the "HRA") (collectively, the "Parties") for the demolition of two commercial buildings and abatement of hazardous materials on the property located at 716 and 720 Main Street, Elk River, MN 55330. RECITALS WHEREAS, the Elk River Housing and Redevelopment Authority (the "HRA") is the owner of the property located at 716 and 720 Main Street, Elk River, MN 55330 (the "Property"); WHEREAS, the HRA requires the demolition of the building on the Property including among other items, the abatement of hazardous substances and materials (the "Work"); WHEREAS, the HRA has awarded the Work to the Contractor; WHEREAS, the Contractor represents that it has the necessary personnel, experience, competence, and legal right to perform the Work, and is ready, willing and able to do so; NOW, THEREFORE, in consideration of the mutual obligations of the Parties hereto, each of them does hereby covenant and agree as follows: Section 1. Definitions "Contract" means this agreement between the HRA and the Contractor for the performance of the Work, together with all exhibits, amendments, or modifications. "Final Completion" means all items of the Work, "punch list items" and site work are completed and the Contractor is eligible for Final Payment. "Hazardous Materials" means asbestos, PCBs, mold, petroleum hazardous waste, radioactive material, or any other hazardous materials or hazardous wastes within the meaning of City, State of Minnesota, or federal definitions of hazardous materials or hazardous waste. "Substantial Completion" means the time at which the HRA determines that the Work has progressed to a point where it is sufficiently complete, leaving only minor "punch list" and close out items and other minor site work required to be completed for full payment of the contract price. "Work" means the entire completed demolition, abatement and removal of all Hazardous Materials, and all other activities to be performed by the Contractor on the Property as provided for in this Contract. 1 Section 2. General Requirements 2.1. Rights of the HRA. In the event of any conflict between the Bid Specifications/Instructions and this Contract, this Contract shall control. 2.2. Interest of the HRA. The Contractor agrees that no member of the governing body, officer, employee, or agent of the HRA shall have any interest, financial or otherwise, direct or indirect, in the Contract. 2.3. Equal Opportunity Statement. The Contractor agrees to comply with the provisions of all applicable federal, state, and City of Elk River statutes, ordinances, and regulations pertaining to civil rights and nondiscrimination including without limitation Minnesota Statutes Section 181.59 as amended, incorporated herein by reference. 2.4. Transfer of Interest. The Contractor shall not assign any interest in the Contract, and shall not transfer any interest in the same either by assignment or novation, without the prior written approval of the HRA, provided, however, that claims for money due or to income due to the Contractor may be assigned to a bank, trust company, or other financial institution, or to a trustee in bankruptcy without such approval. Notice of any such assignment or transfer shall be furnished to the HRA. Notwithstanding the foregoing, the Contractor shall be entitled to use subcontractors to perform the Work. 2.5. Independent Contractor. Nothing contained in this Contract is intended to, or shall be construed in any manner, as creating or establishing the relationship of employer/employee between the parties. The Contractor shall at all times remain an independent contractor with respect to the services to be performed under this Contract. The HRA shall be exempt from payment of all unemployment compensation, FICA, retirement, life insurance, medical insurance and workers' compensation insurance as the Contractor is an independent contractor. 2.6. Retention of Records. The Contractor shall retain all records pertinent to expenditures incurred under this Contract for a period of three years after the resolution of all audit findings. 2.7. Disclosure. The Contractor agrees to comply with the Minnesota Government Data Practices Act, Minnesota Statutes Chapter 13, and all other applicable state and federal laws relating to data privacy or confidentiality, as those laws may be amended. The Contractor shall immediately report to the HRA any requests from third parties for information relating to this Contract. All data created, collected, received, stored, used, maintained, or disseminated by the Contractor in performing its obligations is subject to the requirements of the Minnesota Government Data Practices Act, and the Contractor must comply with those requirements as if it were a government entity. The HRA agrees to promptly respond to inquiries from the Contractor concerning data requests. The Contractor agrees to hold the City and the HRA, their officials, employees and agents harmless from any claims resulting from the Contractor's failure to .disclose data 2 maintained by the Contractor and authorized for release by the HRA, and from Contractor's unlawful disclosure or use of data protected under state and federal laws. Section 3. Contract Price 3.1. The HRA shall pay the Contractor $59,600 for its performance of the Work under this Contract. Section 4. Project Schedule 4.1. Contractor shall commence the Work on or after Contract execution. Upon execution of this Contract, the Contractor shall provide the HRA with a schedule of the work. The Work shall be completed no later than January 5, 2011. Section 5. State and Local Permit Requirements and Related Submittals 5.1. Contractor shall obtain and pay the cost of, all permits required by the City of Elk River, including, without limitation, a plumbing permit (for water and sanitary sewer disconnects) and a demolition permit. No less than two days prior to beginning the Work, the Contractor shall provide the HRA with a description of the measures it proposes to take in order to control dust and noise during the performance of the Work. 5.3. Contractor shall obtain MPCA 10 day approval notification. 5.4 Upon completion of the Work, Contractor shall provide the HRA with: 5.4.1. Copies of any permits required by government agencies other than the City of Elk River, such as transport or disposal permits. 5.4.2. Copies of any test results required by government agencies other than the City of Elk River. 5.4.3. Copies of landfill records indicating receipt and acceptance of the Hazardous Materials by a landfill licensed to accept Hazardous Materials. Section 6. Job Conditions -General 6.1. Contractor must disconnect and abandon all utilities serving the Property, including water, sanitary sewer, electricity, gas and telecommunications or arrange for disconnection and abandonment of same at its own expense. Contractor shall not begin any work pursuant to this Contract until the HRA has verified that disconnection and abandonment have been completed. 3 6.2. The HRA will ensure that the building is vacated and any use of the Property is discontinued prior to start of the Work. 6.3. The HRA assumes no responsibility for the actual condition of the structure to be demolished. Conditions existing at time of inspection for bidding purposes will be maintained by the HRA to the extent practicable. Variations within the structure may occur due to removal and salvage operations prior to the start of demolition work. 6.4. This is a lump sum contract. The Contractor must immediately contact the HRA prior to exceeding the Contract Price set out in Section 3.1. Change orders for additional payment will not be granted due to the Contractor underestimating quantities of material(s), winter weather conditions or the amount of labor required in order to perform the Work. 6.5. The Contractor shall provide all labor, materials, equipment and employee training in order to ensure compliance with all regulations, permits, notifications, licenses and agreements necessary to perform the Work. 6.6. All materials from undertaking the Work are the property and responsibility of the Contractor. 6.7. Contractor may salvage materials and equipment from the building on the Property. Any salvaged items must be removed from the Property in a timely manner as they are salvaged. On site storage or sale of salvaged items on the Property is prohibited. 6.8. The use of explosives and on site burning by the Contractor are prohibited. 6.9. The Contractor shall provide water, electricity, communications and toilet facilities on site as necessary to complete the Work. 6.10. The Contractor shall provide and maintain uninterrupted vehicular access to the Property, including temporary demolition facilities, storage and work areas, for not only persons and equipment involved in the project but also for emergency vehicles. 6.11. The Contractor shall keep fire hydrants and water control valves free from obstruction and accessible for use. 6.12. The Contractor shall take all necessary safeguards to prevent damage or injury to neighboring properties. 6.13. Prior to closing or rerouting existing traffic lanes or sidewalks in any public street easement or right-of--way adjacent to the Property, the Contractor shall obtain written permission from the City Engineer. Expenses related to any lane closures, including, but not limited to, traffic barriers, signs and similar equipment as well as traffic control personnel, shall be the responsibility of the Contractor. 4 6.14. The Contractor must comply with the City of Elk River's NPDES storm water permit. As deemed necessary by the City Engineer, the Contractor will be required to install silt fence, inlet protection, gravel entrances/exist, temporary ground cover, and must meet all surface water management requirements. 6.15. In the event an unknown condition is encountered during the Project, the Contractor must notify the HRA's project manager immediately. The appropriate course of action will be determined and, if necessary, a change order must be authorized prior to completing the work. 6.16. The Contractor will be responsible for taking the appropriate measures (i.e. erecting and maintaining temporary fencing) to ensure that partially-demolished buildings, debris piles, excavations, etc. are appropriately secured at the end of work each day. 6.17. The contractor shall be responsible for the removal, storage, and replacement of all signs, which may have to be moved during the work. The contractor shall provide barricades, fences or guardrails to protect workers and the general public from dangerous areas. 6.18. Working hours shall be conducted between the hours of 7:00 a.m. and 7:00 p.m. Work shall not be conducted on weekends unless approved by the HRA. Section 7. Hazardous Materials Abatement 7.1. The Contractor shall be responsible for the removal and proper disposal of all Hazardous Materials on the Property in accordance with Minnesota Pollution Control Agency regulations Section 8. Demolition 8.1 The Contractor must conduct demolition in compliance with any state or federal regulations governing demolition of structures containing lead-based paint. 8.2. The Contractor must use water sprinkling, temporary enclosures and other suitable methods to keep dust and dirt from rising and scattering into the air. The Contractor must comply with any and all governing regulations pertaining to environmental protection. The Contractor must not use water as part of the demolition process if it may create hazardous or objectionable conditions such as flooding or pollution. 8.3. The Contractor must clean any adjacent structures and improvements of dust, dirt and debris caused by demolition operations and must return adjacent areas to their condition existing prior to the start of work. 5 8.4. The Contractor must demolish and remove the building and foundation completely and remove all debris from the Property. The Contractor should avoid damaging sidewalks, streets, curbs, pavements, utilities, structures or any other property either on or adjacent to the Property that are not scheduled for removal. The Contractor must repair at its own expense any damage caused to these items during demolition. The Contractor may use such methods as required to complete the work subject to the limitations of governing regulations. 8.5. The Contractor must demolish footings, foundation walls, tunnels and other below-grade structures and remove from the Property. Section 9. Debris Control 9.1. The Contractor must keep the Property free of extraneous debris. 9.2. The Contractor must prohibit the overloading of trucks in order to prevent spillage on streets and properties. 9.3. The Contractor must have a sweeping and clean-up program to prevent deposition, release and disbursal of soils and debris onto paved surfaces. Section 10. Disposal 10.1. The Contractor must remove from the Property all debris, rubbish, Hazardous Materials and other materials resulting from the demolition operations. 10.2. The Contractor must transport the materials from the Property and legally dispose of them off-site in accordance with governing regulations at its own expense. Section 11. Earthwork 11.1. After completing all abatement and demolition activities, the Contractor must rough grade the Property to approximately 6-inches below adjacent finished grades using clean aggregate fill, taper the edges of all excavated areas to minimize slope of 2 to 1 and keep soil disturbance to a minimum. All fill shall be compacted to 95% standard proctor density. The edges of the final rough grading shall be tapered to match the adjacent surfaces. Section 12. Excusable Delays 12.1. The following circumstances, and only these circumstances, will, at the HRA's discretion, be considered legitimate cause for a change in the commencement or completion time periods specified in Section 4 of this Contract: 6 a. Material Delay -- material delays that are beyond the control of the Contractor, which can be shown to have directly caused the overall late completion. b. Adverse Weather and Emergency Conditions -- weather or emergency conditions that directly affect the scheduling of the Work over a significant portion of the term of this Contract. c. Strikes - in the case where the Contractor relies on a union work force, the Contractor encounters a work stoppage. d. Amendments -- amendments in the original scope of Work, which can be reasonably shown to require an extension of the time allowed for completion. e. Other Delays -act or neglect of the HRA or of a separate contractor employed by the HRA, or by changes ordered by the HRA to the Work or by unavoidable casualties or other causes beyond the Contractor's control. Section 13. Change Orders 13.1. The HRA has the right, within the general scope of the Work and without notice to any surety or sureties of the Contractor, if any, to make changes in the Work, either by altering the nature of the same or by adding to or deducting from it. All changes shall, except in the case of emergencies endangering the safety of persons or property, be made by written Change Order. The parties shall determine the effect of any Change Order on the Contract Price and project schedule by mutual agreement. The Contractor must promptly comply with any and all written Change Orders. No such Change Order shall be deemed to invalidate the remaining terms and conditions contained in this Contract. Section 14. Waiver of Liability 15.1 It is agreed that the Work is undertaken at the sole risk of the Contractor. The Contractor does expressly forever release the City and the HRA from any claims, demands, injuries, damage actions, or causes of action whatsoever, arising out of or connected with the Work. Section 15. Indemnification 15.1. Any and all claims that arise or may arise as a consequence of any act or omission on the part of the Contractor, its officials, employees or agents while engaged in the performance of the Work shall in no way be the obligation or responsibility of the City or the HRA. The Contractor shall indemnify, hold harmless, and defend the City and the HRA, its officials, employees and agents against any and all liability, loss, cost, damages, expenses, claims, or actions, including attorneys' fees which the City and the HRA may incur or be required to pay on account of injury to or death of any person or persons or 7 damage to any property arising out of or by reason of any act or omission of the Contractor, its officials, employees in the execution, performance, or failure to adequately perform its obligations under this Contract, whatever the cause of such injuries or damage. Section 16. Insurance 16.1. The Contractor agrees that in order to protect itself, the City and the HRA under the indemnity provisions set forth in Section 15 of this Agreement, it will at all times during the term of this Contract, maintain, at a minimum, the following insurance policies: a. Workers' Compensation Insurance. The Contractor shall maintain workers' compensation insurance in compliance with all applicable statutes including Chapter 176 of the Minnesota Statutes. Such policy shall include Employer's Liability Coverage and at least such amount(s) as are customarily provided in workers' compensation policies issued in Minnesota. The Contractor further agrees to require all subcontractors and independent contractors to maintain workers' compensation insurance in compliance with all applicable statutes and to monitor the compliance of such subcontractors and independent contractors with the applicable statutes. b. Commercial General Liability Insurance. The Contractor shall maintain Occurrence Based Commercial General Liability Insurance ("CGL"), providing coverage on an "occurrence," rather than on a "claims made" basis, which policy shall include coverage for the Completed Operations Hazard, and which shall also include a Broad Form General Liability Endorsement, ISO number GL 0404, or an equivalent form (or forms), so long as such an equivalent form (or forms) affords coverage which is in all material respects at least as broad. Any equivalent form (or forms) of coverage shall be approved by the HRA. The Contractor agrees to maintain total liability policy limits of at least $2,000,000, applying to liability for Bodily Injury, Personal Injury, and Property Damage, which total limits may be satisfied by the limits afforded under its Occurrence Based CGL policy as specified above, or by such policy in combination with the limits afforded by an Umbrella Liability Policy (or policies) provided, however, that the coverage afforded under any such Umbrella Liability Policy shall be at least as broad as that afforded by the underlying Occurrence Based CGL Policy as specified above. c. Automobile Liability Insurance. The Contractor shall maintain automobile liability insurance covering liability for Bodily Injury and Property Damage arising out. of the ownership, use, maintenance, or operation of all owned, non-owned, and hired automobiles and other motor vehicles. Such 8 policy shall provide total liability limits for combined Bodily Injury and Property Damage in the amount of at least $2,000,000 per accident, which total limits may be satisfied by the limits afforded under such policy, or by such policy in combination with the limits afforded by an Umbrella Liability Policy (or policies) provided, however, that the coverage afforded under any such Umbrella Liability Policy shall be at least as broad as that afforded by the underlying automobile liability insurance policy. The City and the HRA shall be named as "additional insured" parties with respect to the insurance policies specified in (b) and (c) above. The Contractor shall not commence any work until a Certificate of Insurance evidencing all of the insurance policies required above is approved by the HRA and a written Notice to Proceed is issued by an authorized representative of the HRA. The HRA shall, at any time during the term of this Contract, have the right to require that the Contractor secure any additional insurance, or additional feature to existing insurance, as the HRA may reasonably require for the protection of its interests or those of the public. It is expressly understood that the HRA does not in any way represent that the minimum insurance coverage set forth in this Section is sufficient or adequate to protect the interest or liabilities of the Contractor. Section 17. Bonds 17.1. Before undertaking any work under this Contract, the Contractor shall provide the HRA with a performance and payment bond for the Contract Price in accordance with the Public Contractors' Performance and Payment Bond Act set forth in Minnesota Statutes Chapter 574. The bonds must be non-revocable and otherwise in a form acceptable to the H1ZA. The Contractor is responsible for ensuring that the required bonds are in effect over the entire term of this Contract. Section 18. Subcontractors 18.1. The Contractor agrees to bind every subcontractor by the terms, conditions, and provisions set forth in the Contract that are applicable to the subcontractor's work, unless otherwise specifically agreed otherwise in writing by the HRA. 18.2. The Contractor agrees to pay every subcontractor within 10 days of receipt of payment from the HRA pursuant to Minnesota Statutes Section 471.425, subdivision 4a. The Contractor must pay interest of one and one half `percent per month or any part of a month to the subcontractor on any undisputed amount not paid on time to the subcontractor. The minimum monthly interest penalty payment for an unpaid balance of $100 or more shall be $10. For an unpaid balance of $100 or less, the Contractor shall pay the actual penalty due to the subcontractor. 18.3. The Contractor shall protect, defend, indemnify, and hold harmless the City and the HRA from any and all claims, demands, or actions of whatever nature arising out of work, labor, equipment, or materials furnished by the Contractor or its 9 subcontractors in connection with the Work, provided that the HRA makes all payments due to Contractor under this Contract. The Contractor shall list on the attached Exhibit A the names of all subcontractors that will provide services, materials or labor in connection with the Work. The Contractor must notify the HRA of any changes in this list throughout the term of this Contract. Section 19. Assignment 19.1. This Contract shall be binding upon the Contractor, its legal representatives, heirs, successors, and assigns. No assignment or attempted assignment of this Contract or any rights hereunder shall be effective unless the written consent of the HRA is first obtained. No such assignment, even if consented to by the HRA, shall relieve the Contractor from liability under this Contract for the performance and completion of the Work in accordance with the Contract. Notwithstanding the foregoing, the Contractor shall be entitled to use subcontractors to perform the Work. Section 20. Default 20.1. The occurrence of any of the following shall constitute default by the Contractor and, if not corrected within 15 days of the HRA providing the Contractor with notice of the default, shall allow the HRA to terminate this Agreement: (1) failure to perform the Work as stated in this Contract; (2) failure to perform or complete the Work by the completion date as set forth in this Contract or as otherwise agreed to by the parties; (3) filing bankruptcy; (4) making a material misrepresentation; (5) disregarding laws, ordinances, rules, regulations or orders of any public authority having jurisdiction; (6) failure to make satisfactory progress toward completion of the Work; or (7) failure to perform any other material provision of this Agreement. The HRA may lawfully terminate this Contract if, after providing the Contractor with 15 days notice of the default, the Contractor does not correct the default. Upon default of this Agreement by the Contractor, the HRA may withhold any payment due the Contractor for purposes of set-off until such time as the exact amount of damages due is determined. Furthermore, the HRA may use any unpaid or retained amounts to correct any defective work or materials and to complete the Work as needed. Such withholding shall not constitute default or failure to perform on the part of the HRA. Section 21. Entire Agreement 21.1. The Contract contains all the terms, conditions, and provisions pertaining to the Work to be completed by the Contractor, there being no other understandings, agreements, or warranties, express or implied. All prior negotiations and dealings regarding the subject matter of this Contract are superseded by and merged into the Contract. 10 Section 22. Applicable Law 22.1. This Contract shall be construed in accordance with and governed by the laws of the state of Minnesota. Section 23. Amendment 23.1. This Contract may be modified or amended only with the written approval of the HRA and the Contractor. Section 24. Construction 24.1. In the event that any one or more of the provisions of this Contract, or any application thereof, is found to be invalid, illegal, or otherwise unenforceable, the validity, legality, and enforceability of the remaining provisions or any application of the provisions shall not in any way be affected or impaired thereby. Section 25. Authority 25.1. Each of the undersigned parties warrants that it has the full authority to execute this Contract, and each individual signing this Contract on behalf of a corporation hereby warrants that he or she has full authority to sign on behalf of the corporation and that he or she represents and binds the corporation. Section 26. Waiver 26.1. No failure by the HRA to insist upon the strict performance of any covenant, duty, agreement, or condition contained in this Agreement or to exercise any right or remedy consequent upon a breach thereof shall constitute a waiver of any such breach or any other covenant, agreement, term, or condition, nor does it imply that such covenant, agreement, term, or condition may be waived again. Section 27. Payments to the Contractor and Completion 27.1. The Contractor shall be paid upon completion of the Work in accordance with the payment schedule of the HRA, if any, and this section. 27.2. Application for Pam. Prior to receiving payment for Substantial Completion of the Work, the Contractor shall in writing state that the respective portion of the Work has been substantially completed. Upon Substantial Completion and inspection and verification by the H12A, the payment for that portion of the Work shall be made.
