This is a follow up memo from February 26, 1998 (see attachment A). Previously we
were proposing that Delano Erickson Architects conduct a feasibility study to determine
what steps need to be taken to relieve the arena of the previously stated problems as well
as an estimated cost of the project. After reviewing other options we feel that we would
be better served if we had a Consulting Engineer conduct the feasibility study rather than
an Architect.
Using a Consulting Engineer instead of an Architect will cut out the middle person. Most
of the work that needs to be performed is mechanical and electrical, thus an Architect
would need to consult an Engineer on the project. After the cost of hiring an Engineer,
the Architect would then add their expenses, increasing the over all cost of the feasibility
study.
If, at~er the feasibility study, the city decides to move forward with this project,
Minnegasco would have a rebate program that would help defray some of the cost of the
engineering of the project and for the equipment (See attachment B). This could be in the
range of $2,400.00 - $3,800 for engineering and $10,800 - $17,100 for the equipment.
This would depend on several items which would be determined once the engineering bid
spects documents are completed.
We propose that the city hirers Consulting Engineers, Nelson - Rudie and Associates,
Inc. to conduct the feasibility study (See attachment C). Nelson - Rudie and Associates,
Inc. We have called several ice arenas that have had Nelson - Rudie and Associciates,
Inc. involved in their rink, and all references have been very favorable.

PROJECT 'DESCRIPTION
We understand the scope of this project consists of three phases, i.e.,, evaluation of the existing
heating, ventilation and dehumidification systems, justification for retrofit of systems and
implementation of proposed revisions. This agreement is for the first phase of evaluation of systems
relating to ventilation and air quality of space, heating and dehumidification to standards established
by the user~
SCOPE OF SERVICE
Services:
LKPB shall provide mechanical and electrical engineering design basic services for the following:
· heating
· ventilation
· dehumidification
· poWer distribution.
Basic services will be provided to include the following:
attendance of local periodic programming and design review coordination client meetings
preliminary probable cost estimates for implementation of work
Mechanical feasibility report will be typed on 8-1/2" x 1 1" paper for inclusion architect's report.

Fee compensation shall be invoiced and paid monthly in proportion to work completed. No retainage
shall be withheld from the invoiced amounts. Invoiced amounts shall be due within ten (10) days of
architect's receipt of payment from the owner. Unpaid balances due shall bear interest at 12% per
annum.

". DISPUTE RESOLUTION
AnY di,~ute, controversy or claim' arising out of or:relating to this agreement, or the breach thereof,
shall :first be hegotiated in good faith by the parties.of this agreement to :reach 'a resolution to the
dispute..If, within 30 days after such negotiation, the parties have not succeeded in negotiating a
resolution to'the dispute, the parties may submit the dispute to non-binding mediation in accordance
with the Construction Industry Mediation Rules of the American Arbitration Association currently in
effect: Requests for mediation shall be filed in writing with the other party to this agreement and with
the American Arbitration Association. Such requests for mediation shall be made within a reasonable
time and in no event be made after the date when institution of legal or equitable proceedings based
on such dispute would be barred by the applicable statute of limitations.
ASSIGNMENT
Neither the client nor LKPB may assign, sublet, or transfer any rights under, interest in, or
performance of this agreement including any claims for damages, breach of contract, or negligence,
including, but withoUt limitation, monies that may become due or monies that are due, without the
written consent of the other.
MISCELLANEOUS
Printing of report will be provided by Delano Erickson Architects.
It is understood that LKPB's contract will be with Delano Erickson Architects, the client. If the above
conditions are acceptable, please have both copies of this proposal agreement signed, retain one
copy for your files and return one copy to our office as a record of the client/engineer contract.

Again, thc above rebates are estimates. Actual dollar amoums will depend on e~ginecring
bid/spec docaimcms.
Also, in order to receive the cuginccring rebate at $ 20 per avoided ton, thc natural gas
fired desic, c. mlt unit/project must be submitted to vendors and/or contractors in a "bid"
form. The ea]gineering rebate is provided to cust(aner to aid (but not to cover all of the
costs) in engin¢cring/dcsignin$ a natural gas based cooling/dehumidification package.
I.ast .ly, the $ .90 per avoided ton rebate is provided to the customer to aid in the first costs
of the desiccant specific equipment. Again, it is meant to offset some of the first costs.

We would like to thank you for requesting a proposal to prepare a feasibility study for the
above referenced project. It is our understanding that the scope of the report for the
project will consist of the following items:
1. Review the existing ventilation and dehumidification system design and
recommend possible revisions to improve the operation of the system.
2. Prepare a schematic design narrative outlining design revisions to address the
following systems.
a. Desiccant based dehumidification system for the arena.
b. Heat for the arena.
c. Ventilation requirements of the arena.
3. Review the rebate options available for design of the system and for the purchase
of a desiccant based dehumidification system.
4. Preparation of a budget estimate for the project
We will prepare the feasibility study for the lump sum fee of One Thousand Two
Hundred Dollars ($1,200.00)
We have enclosed a list of references for ice arena projects we have recently completed.
All of the arenas were designed with desiccant based dehumidification systems. We have
had great success with the units and are confident that we can solve the humidity
problems at your arena.
