(Tri-CAP) Reviewed by Action Requested Adopt,by motion,a resolution to amend Agreement 14-07 with Tri-CAP for transit vehicle storage, washing, and maintenance. Background/Discussion The City Council amended the Tri-CAP agreement at their July 7, 2014, meeting to adjust their work comp limits and to remove vehicle specificity in the event different buses were used at the Elk River location. The first month of activity has revealed that it is not practical or cost-effective for Streets Division staff to wash the Tri-CAP buses in the Maintenance Facility wash bay as originally planned. Therefore,the agreement is being amended to include language identifying the Tri-CAP drivers as responsible for this task at a reduced cost of$10.00 per wash. In addition,the amendment identifies the hours the buses can be washed as to not interfere with city operations, especially during snow plowing season. The attached agreement was revised to reflect these issues. Financial Impact None. WHEREAS, This Amendment to Agreement 14-07 ("Agreement") is entered into on the 18th day of August, 2014, by and between the City of Elk River ("Lessor"), and Tri-County Action Program, Inc. ("Lessee") a Minnesota non-profit corporation,located at 1200 23rd Avenue South,Waite Park,MN 56387. WHEREAS, the Agreement was entered into between the parties for the provision of transit bus storage,washing, and maintenance services; and WHEREAS, the Lessor intends to allow Tri-CAP staff, rather than city employees, to utilize the wash bay at the Maintenance Facility for the purpose of washing the transit vehicles; and WHEREAS, the Lessor intends to reduce the original charge for city employees to wash buses from $25.00 each to $10.00 per wash for use of the wash bay; and WHEREAS, the parties wish to amend the Agreement. NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Elk River,Minnesota, as follows: 1) Section 13 of the Agreement:VEHICLE MAINTENANCE paragraph four,is amended to read as follows: "Lessee drivers,upon proper training by Lessor city staff,will utilize the city's wash bay equipment to wash buses at a rate of$10.00 each. Busses shall be washed between the hours of 12:00 noon and 1:00 p.m. or after 4:30 p.m. during the normal work week. Interior bus cleaning is the responsibility of the Lessee." 2) In all other respects, the Agreement shall remain as is. Passed and adopted this 18"'day of August, 2014. John J.
