Enclosed is the packet for Tuesday, January 9, 2006, commission meeting at 4:00 pm.
At the January 2, 2007 Elk River City Council Meeting, Jerry Gumphrey was appointed
our new commissioner to replace John Dietz. Welcome Jerry. Also on January 2, 2007
our new payroll person, Kim Sandstrom started.
Betty Belanger, a 22 year employee of the Elk River Municipal Utilities decided to retire.
Attached is her retirement letter. We are in the process of filling this position.
On November 29, 2006, we experienced power outage in Otsego/Dayton. Enclosed is a
poem from the Otsego branch of the Bank of Elk River concerning this outage. It is good
for all of us to be reminded of the effect power outages have on our customers.
Attached is a letter from the State Auditors offices reflecting on our past infraction of not
having enough collateral to cover our bank deposits and certain payroll records being
destroyed resulting from the Hemza issue. Our current financial director has learned
from past mistakes of others and will not allow them to happen in the future.
The MMUA Winter/Legislative Conference in St. Paul, MN is February 14-16, 2007.
The APPA congressional rally in Washington I3C is March 13-15. I plan to attend both
unless this commission desires otherwise. Jerry Talke will be attending the AAPA
conference. I would encourage the other commission members to attend as well.
Attached is the agenda for the MMUA conference.
Michael Nolas is MMUA lobbyist in Washington DC. Attached is his year end report.
One of Governor Pawlenty's initiatives is a state energy bill. Attached is a December 13,
2006 article from the Star& Tribune titled "Pawlenty thinks ahead on energy".
Enclosed are two other articles from Waterworld December 2006 edition that are worth
your time reading. They are titled "EPA Program Seeks to Improve Water Efficiency
and Power Shift in Congress May Lead to Environmental Focus".

2005 audit and related documents. We urge the City to work with its auditor and take
appropriate action to comply with your auditor's comments and recommendations. I am
providing an article from my office relating to your collateral audit comment to provide
guidance in this area.
In addition, your auditor noted that you were unable to account for certain payroll records
which were believed to be wrongfully destroyed. We urge the Municipal Utilities to
comply with Minnesota Law by following the City's document retention plan.

End of the Year Wrap-up
The lame duck session of the 109th Congress ended in the wee hours of the morning,
Saturday, December 9, when the Senate passed a massive tax, trade, drilling, and health
care bill. The House had recessed a day earlier when they approved the bill (HR 6111),
hoping the Senate would do the same. They did, and it was one of the few late
"accomplishments" of the 109th, a Congress that actually met fewer days than the famous
"Do Nothing" Congress of the late 1940s, when President Truman was in the White
House. Now the Democrats take over: the new 110th Congress begins January 4th.
Like much of the session, the final days of the 109th were hit-and-miss: they failed to pass
major appropriations bills, opting instead to pass a large continuing resolution(CR) that
keeps the federal government functioning until mid-February; they shelved major last-
minute initiatives, like telecommunications legislation; and they approved the large tax
bill, which contained several energy-related provisions, including an oil and gas drilling
bill, as well as key energy tax provisions that were important to MMUA and the public
power community.
Tax bill
The final days were tense and hectic. Despite this, MMUA and public power secured
two accomplishments in the tax bill: the so-called rural renaissance bonds, pushed hard
by the rural electric coops, were not included in the final bill, while a provision supported
by MMUA and public power—clean renewable energy bonds (CREBs)—was included.
As the final week began there were very few"must pass"provisions and really only two
priorities—pass a budget(which meant, at a minimum, extend the current CR), and pass
the tax bill. But the tax bill was a mess: it was terribly partisan; it grew larger(from $20
to approximately $45 billion) and got more and more complicated as both the House and
Senate added their favorite provisions; and it became more,not less, controversial.
Indeed, only one major aspect of the bill—the tax extenders, those provisions that require
reauthorization or"extension" every year or two—was considered non-controversial and
bipartisan. The extenders could pass on their own, but several other provisions were
quickly added, as sweeteners, to the package, including the drilling bill, which opens up
some new areas of the Outer Continental Shelf in the Gulf of Mexico, a Medicare

provision, and several trade bills. So the challenge was to load up the bill to garner votes,
but not too much, or Members could reject it.
MMUA, the American Public Power Association, and other public power interests
closely followed several key provisions:
• Rural bonds: For more than a year we have been keenly interested in rural bonds.
The provision, strongly supported by Sen. Coleman and the rural electric coops,
would create a new tax credit bond that could be used by small communities in
Minnesota and elsewhere, ostensibly for purposes of rural economic development.
Unfortunately, those new bonds could only be issued by coop financial entities,
and could only be used by coop communities. Further, these bonds could be used
to build new electric and water utility infrastructure, a provision that we believe
could hamper future service territory agreements and situations. MMUA, APPA,
and several members of the municipal community, including the League of
Minnesota Cities and others, expressed their concerns with the Coleman
legislative proposal. After many meetings and discussions with several Senate
offices, House and Senate committee staff, and other interested parties, MMUA
took the lead in working with Sen. Coleman's office to fix the legislation by
offering suggested changes. Unfortunately, for several reasons, changes to the
language never occurred, and MMUA's options were narrowed to opposing the
legislation without the requisite changes. In coordination with the Coleman office
it was agreed that the current rural bond proposal would be set aside, allowing us
to work together in the next Congress.
But anything can happen in a lame duck session and another opportunity for Sen.
Coleman was born: pass rural bonds as part of the large tax extenders package.
MMUA again took the lead in opposing this effort, for several reasons: it was a
new program, not an"extender"; it was a rifle-shot, a provision written to help
one sector of the electric utility industry; and it was now deemed, through
MMUA's efforts, controversial. For these and other reasons the rural bond
language was NOT included in the final tax bill.
• CREBs: Clean Renewable Energy Bonds were created just over a year ago in the
Energy Policy Act of 2005. The provision tracked closely with the section 45 tax
credits, long enjoyed by the IOUs and private power companies, allowing them
the benefit of a tax credit when developing renewable energy resources. The
CREB program, administered by the IRS, was "our program," where qualified
applicants were considered either"governmental entities" (public power systems)
or rural coops. The program was capped at $800 million over two years, and
would expire at the end of 2007.
The program was a big success: more than 700 entities applied for nearly $2.5
billion, describing various new renewable energy projects around the country.
But its brief success also meant its quick demise (no more money and the program
would sunset in a year), unless a way could be found to extend the legislation.

The tax bill was the solution. Since the IOU tax credits needed reauthorizing, the
CREB program should receive the same treatment, it was argued. Indeed, once
the IOU production tax credits (section 301) were secured, CREBs received a
bonus: another $400 million(to be split according to the current formula, with
$250 million for governmental bodies and $150m for coops),plus another year of
existence, ending in late 2008. This became section 302 in the energy title of the
tax bill.
• Excelsior Energy Project: Section 303 of the bill should not go unmentioned.
While Sen. Coleman was unable to secure rural bonds in the tax bill, he was able
to include a major energy provision whereby new clean coal projects, including
the proposed Excelsior coal plant, could be eligible to receive tax incentives for
new power plants that use clean coal. The provision was nearly a technical
correction—it sought to fix an unintended consequence in last year's EPAct bill
that provided tax incentives for new coal plants when they used bituminous coal,
but neglected to deal with cleaner sub-bituminous and lignite, which includes coal
coming from the Powder River Basin in Wyoming, which supplies nearly half of
all the coal plants in the country.
Budget
As previously mentioned, Congress passed another"CR,"this time until February 15,
essentially punting all the tough budget questions until early next year. But there are
always problems with this approach: a CR provides no new money and no earmarks for
the next year's budget, essentially freezing budget and personnel decisions across the
board. This means current funding for all government functions is based on 2006
numbers, the last budget approved, even though we are currently in the 2007 budget
cycle. Further, it is expected the new Congress, under Democratic control in both the
House and Senate,will decide to simply move forward with the 2008 budget cycle,
keeping the CR in place through the entire 2007 budget year, which ends September 30.
With few exceptions, this is expected to impact several key energy-related areas,
including Department of Energy programs (PMA functions, renewables, etc.), agriculture
spending, and FERC operations, among others.
The New 110th Congress (and Issues to Watch)
True, Congress changed hands overnight(or, in the Senate's case, over several nights),
but not to go unnoticed is the substantial change in the Minnesota congressional
delegation: new faces in both chambers, party changes, and new leadership in key
committees. The Senate's dramatic but tenuous shift(now 51-49) means all leadership
posts and committee chairs are in the hands of Democrats, and Senator-elect Amy
Klobuchar is suddenly in the majority. She landed spots on several committees,
including Agriculture and Environment and Public Works, which will be extremely busy
discussing climate change legislation. Sen.Coleman's committee spots remain the same,
including Ag, Foreign Relations, and Homeland Security, among others.

But bigger changes occurred in the House, as Minnesotans now take over the
chairmanships of two key committees: Rep. Oberstar becomes chair of Transportation
and Infrastructure (all rail issues, including captive rail), while Rep. Peterson takes over
the Ag Committee (farm bill and energy issues). In addition, Democratic newcomers
Keith Ellison (Financial Services) and Tim Walz(Ag) received key committee posts.
Other changes—big changes—are afoot, including the schedule. The 110th begins
January 4, when all 535 Members are sworn in. Typically, a new Congress is quiet in
January. No longer: Congress intends to be in 7 straight weeks and not break until
President's Day recess. Indeed, Democratic leadership in both chambers has already
outlined an ambitious "100 Hours" agenda, which includes passing ethics and lobbying
reform initiatives; minimum wage legislation; putting the Iraq and Afghanistan war costs
"on budget," and ending tax breaks to large oil and gas companies, among others. Other
key (energy) issues to watch include:
• Oversight: Democrats firmly believe that Congress has dropped the ball over the
last 6 years and has exerted virtually no oversight over the Bush Administration.
That will change. You can expect to see key committee chairs (particularly
Dingell and Waxman in the House, Boxer and Bingaman in the Senate) exert their
influence over several issues and administrative functions throughout the year.
They intend to investigate several areas, including EPA regulation over power
plants; DOE programs; oil and gas company royalty payments to the federal
government; and perhaps the Cheney energy task force.
• Electricity Markets: This issue will get a lot of attention. New chairman of the
House Energy Committee, John Dingell of MI, is expected to hold several
hearings investigating how organized electricity markets, including the MISO
region, are working—or not working. Dingell believes FERC has been
unaccountable to Congress over the last few years, but he will look to change that.
For their part, FERC has already announced they will undertake their own
discussion of markets beginning in late February; they intend to hold a series of
meetings around the country, starting in Washington.
• Climate Change/Global Warming: Lots of activity will surround this issue—
hearings, discussion, and legislative proposals. Most of the action will occur in
the Senate, where new Chair Barbara Boxer will head the Environment and Public
Works Committee. Expect to see several early hearings on climate change,
including a review of new California legislation, current Administration proposals
(or the lack thereof), and the science to substantiate global warming (that looks at
the work of NASA, NOAA, etc.). This effort will undoubtedly impact the electric
utility industry: Sens. Boxer and Bingaman are already working on a letter that
could sternly warn electric utilities from planning future coal plants. APPA,
meanwhile, has formed a climate change task force to help develop public
power's policy on climate change; the task force expects to discuss this at the
Winter Rally in March.

• Farm Bill: Finally, it warrants mention that the Ag Committees in both the House
(Chairman Collin Peterson) and Senate need to reauthorize the Farm bill, which
occurs every 5-6 years. The current Farm bill expires October 1. It is a huge
undertaking and will include an energy title that is expected to focus on fuels,
biofuels, ethanol, and renewable energy sources.
