Open public hearing to consider comment on the proposed Industrial Incentive Microloan two-year extension request for 19228,LLC (Promo Products). 2. Following the public hearing, the EDA is asked to consider adoption of the attached Resolution authorizing a two-year extension to the maturity date of the note and loan agreement to 19228 LLC (Promo Products). Background/Discussion On January 13, 2011,the city of Elk River approved an Industrial Incentive Microloan in the amount of $30,000 in the form of an Industrial Incentive Microloan to Promo Products. The maturity date of the loan is coming due in January of 2016. The Finance Committee reviewed and recommended the EDA approve the extension request for Promo Products. The applicant has made efforts to refinance the loan as a condition of the Microloan Fund Program. First National Bank of Elk River was approached for refinancing and has been denied due to the loan position and current economic conditions. The microloan is subordinate to both the bank mortgage and SBA 504 loan. SBA 504 mortgage guidelines does not allow the bank to roll the microloan amount as a refinance into the first mortgage loan and bank guidelines do not allow the Note to be refinanced into third position behind the SBA 504 loan. The applicant initially received the loan in 2011 and the maturity date is coming due in January 2016 (maximum 5 year term). Because the term of the loan is coming due, the applicant has made efforts to refinance the loan as a condition of the Microloan Fund program. First National Bank of Elk River was approached for refinancing and has denied due to loan position and current economic conditions. The Microloan from the EDA is subordinate to both the Bank mortgage and SBA 504 loan. SBA 504 mortgage guidelines do not allow the Bank to roll the EDA loan amount as a refinance into the first mortgage loan and Bank guidelines do not allow the Note to be refinanced into third position behind the SBA 504 loan. The Bank has recommended the company secure its cash for future working capital needs associated with company growth and request an extension of the existing loan with the EDA. Conclusion Review of current financial statements and profit and loss statements (2014) indicate the company has positive retained earnings and net income. Under the terms of the Microloan Fund policy, an extension of up to two additional years at market rate of interest could be granted upon approval. It is recommended the EDA consider the extension of the Microloan for the allowable 2 year period. It would be the intent with the extension of the loan that the company would continue to demonstrative positive retained earnings and net income and secure cash and credit for repayment and/or refinancing of the original loan. This note was made in a position subordinate to the Bank and the SBA 504 to help leverage the project to its completion. We are unable to refinance this note to 19228,LLC at this time. This project utilized an existing facility to house this now addition to the City,creating new jobs and preserving real estate tax base. The company undertook this project during a very difficult time,economically. To help it preserve its working capital,the City agreed to provide funding to the project in a subordinated position,helping to leverage both the bank and the SBA 504 funding for the purchase. As agreed,it provided funding that could be included as equity contribution to the project. This note is scheduled to mature January 13,2016 and we arc requesting a two-year extension,as allowed by EDA Policy,to January 13,2018. The commercial markets seem to have reached bottom,but have not recovered to a point where a more conventional take-out option is yet viable. We remain hopeful that the additional time afforded by the extension will allow further recovery,as well as amortization of additional principal,to allow the company to repay the balance of this note,at that time. WHEREAS, the Lender has proposed to prepare necessary amendments to the Promissory Note, Participation Certificate and Agreement and Loan Agreement (collectively, together with all related documents necessary in connection therewith, the "Loan Documents") with the Borrower setting forth the two-year extension to the maturity date; and WHEREAS, the EDA has determined that an extension of the maturity date of the loan will benefit the Borrower's economic growth; NOW THEREFORE, BE IT RESOLVED by the Board of Commissioners of the Economic Development Authority of the City of Elk River as follows: 1.01. The two-year extension of the maturity date of the EDA's loan to Borrower from January 13, 2016 to January 13, 2018 is hereby approved together with all amendments to the Loan Documents, necessary in connection therewith, and the President and Executive Director are hereby authorized and directed to execute, on behalf of the EDA, such amendments to the Loan Documents to which the EDA is a party and to carry out,on behalf of the EDA,the EDA's obligations thereunder. 1.02. The approval hereby given to the amendments to the Loan Documents includes approval of such additional details therein as may be necessary and appropriate and such modifications thereof, deletions therefrom and additions thereto as may be necessary and appropriate and approved by legal counsel to the EDA and by the President and Executive Director prior to executing said documents; and said officers are hereby authorized to approve said changes on behalf of the EDA. The execution of any instrument by the President and Executive Director shall be conclusive evidence of the approval of such document in accordance with the terms hereof.
