Northstar Corridor Update
The Northstar Corridor Development Authority meeting held on August 3rd
included a presentation of the Advanced Corridor Plan and station area planning
workshops. The City recently received its copy of the Advanced Corridor Plan.
The plan includes station designs for all the proposed stations and one full set
specifically for the Elk River Station. The Elk River plan also includes plans for
the proposed maintenance facility located on the tracks just east of the station.
Staff will be reviewing the plan and sending comments back to the consultant.
The City is being asked to adopt a formal resolution that either approves the plan
or disapproves it. If the City disapproves the location and/or design of either the
station or maintenance facility, we must describe specific amendments to the
plan needed for the City to withdraw its disapproval. The City must act to approve
or disapprove the plan by Monday, October 23rd. Attached is a letter from Betsy
Wergin, Chair of the NCDA, outlining the review procedure for the Advanced
Corridor Plan. The tentative schedule for Council and Planning Commission
review of the plan is as follows:

Staff has also been meeting with the consultant regarding the proposed location
of the maintenance facility. Staff concerns raised with the consultant includes the
need to extend sewer and water to the site, incompatibility with long-range plans

for development in the area, loss of potential business park property and the loss
of 25 acres to a tax exempt facility.
Proceeding along concurrently with the Advanced Corridor Plan is a land use
study of the area around the proposed station. Staff has been meeting with the
consultant responsible for working with the cities on land use and zoning issues.
This fall the City will also be asked to approve a resolution regarding commuter
rail compatible land uses around the proposed station.

Dear Mr. Klaers:
We are pleased to submit to you for your review and approval the enclosed location and design
of the proposed Northstar Corridor commuter rail station to be located in your city, as required by
Minnesota Statute Section 174.86. Additionally, we ask that you review and comment on the
enclosed the Advanced Corridor Plan for the entire corridor.
The Northstar Corridor Commuter Rail Project extends 80 miles from downtown Minneapolis to
the City of Rice along the Burlington Northern Santa Fe mainline railroad. As identified in the
attached Advanced Corridor Plan, the project includes twelve stations; related park and rides,
parking & other transportation facilities; and vehicle service and maintenance facilities. The
maintenance facility will be located in Elk River, 1/4 mile easterly of the Elk River station at 171 st
Avenue North. We would very much welcome your comments on the attached conceptual
physical designs of these elements of the commuter rail project.
The Minnesota Department of Transportation and the Northstar Corridor Development Authority
will hold a public hearing on the Advanced Corridor Plan on September 7, 2000 at 6:00 p.m. at
the Sherburne County Government Center. At the hearing, affected parties will have an
opportunity to present their views on the attached plan.
Your city council must act to approve or disapprove the station location and design proposed for
your city by Monday, October 23, 2000. If your city disapproves the station location and design,
you must describe specific amendments to the plan that would cause you to withdraw your
disapproval. Comments on the Advanced Corridor Plan from your jurisdiction must also be
submitted by Monday, October 23, 2000. All comments should be submitted to: Tim Yantos,

Thank you for your review, comments and for your ongoing participation in the Northstar Corridor
Commuter Rail Project. The attached Advanced Corridor Plan is the result of a lot of hard work

comments and to proceeding with the next phase of work on this very exciting project.

The Northstar Corridor Development Authority met in regular session on July 6, 2000, in the Boardroom at the
Sherburne County Government Center, Elk River, Minnesota.

The meeting was called to order at 4:30 p.m.
A motion was made by Patrick Cairns, seconded by Duane Grandy and carried unanimously to
approve the agenda of July 6, 2000, as presented and the minutes of June 1, 2000, as presented.
Executive Committee Report:
a) Review and discussion was held on the projected 2000 budget ($12,800,000), the proposed 2001
budget ($18,000,000) and proposed 2001 local contributions as follows:

A motion was made by Paul McCarron, seconded by Bob Johnson and carried with Steve
Billings voting nay to approve the projected 2000 and proposed 2001 budget.
b) Tim Yantos reviewed the project funding schedule through the completion of the project
(December 2004). No action taken.
c) Commissioner McCarron noted the letter addressed to Mr. Tinklenberg which was included in
the NCDA mailing about the 15% management fee proposed by Mn/DOT which would be
applied to all grant funds received for commuter rail. Chair Wergin noted that she had had a
conversation with Mn/DOT regarding the management fee, and believes that a comprise on the
management fee issue can be reached.
Tim Yantos notified the Committee that the FTA (Federal Transit Administration) has approved the
NCDA's request to initiate preliminary engineering. The FTA's approval also includes the initiation
of preliminary engineering for the proposed Hiawatha LRT connection to the Northstar Corridor.
Ken Stevens discussed the RFP for preliminary engineering of stations, maintenance facility and
other project elements. A motion was made by Mark Stenglein, seconded by John Norgren, and
carried unanimously to authorize the Project Management Team to issue an RFP(s) for preliminary

engineering for commuter rail stations, central control facility, maintenance facility, layover facility
and special studies.'
Staff noted that a BNSF Agreement for Preliminary Engineering services will be brought to the next
meeting for approval.
Ken Stevens reviewed the proposed station area design. The second Station Area Planning
Workshop will be held on Wednesday, July 12, 2000, at 1:30 p.m. at the Anoka County
Government Center.
The Committee discussed the Public Information Demonstration Project scheduled for Thursday,
August 10, 2000. The computer rail schedule and ticket distribution list was distributed and
reviewed. Staff was directed to contact NCDA members for name of person to send tickets to for
distribution and decision on whether informational ads need to be placed in local newspapers.
Ken Stevens reviewed the proposed connection of the Northstar Corridor with the Hiawatha LRT
Project in downtown Minneapolis.
Approval was given to two staff to attend the New Starts Roundtable held at the US Department of
Transportation Headquarters in Washington, D.C. on July 27-28.
The Committee discussed the possibility of a trip to Seattle and Vancover tentatively scheduled for
October 1 through October 3, continuing on to Denver October 4 through the 7th. More information
will be presented at the next meeting.
The next meeting of the Northstar Corridor Development Authority is scheduled for Thursday,
August 3, 2000, at 4:30 p.m. at the Sherburne County Government Center.

State statutes require submission of the physical design component of
the Advanced Corridor Plan (see attached chart) to the governing body
of all cities, counties and towns along the corridor 30 days prior to the
MnDOT/NCDA public hearing. The Plan will be presented and
discussed at the August 3 NCDA Board meeting in anticipation that the
NCDA will approve it for distribution as required.
Upon Mn/DOT/NCDA approval and distribution of the Plan, staff
recommend that the Mn/DOT and NCDA schedule the public hearing
to follow the September 7 NCDA meeting at Sherburne County.
Following the public hearing, the affected governing bodies would have
45 days to approve, or disapprove with conditions, the Advanced
Corridor Plan.

AUTHORIZING EXECUTION OF AGREEMENT FOR THE COORDINATION OF
COMMUTER RAIL ACTIVITIES
WHEREAS, the Northstar Corridor Development Authority wishes to enter
into an Agreement for the Coordination of Commuter Rail Activities, Agreement
No. 80272-R, with the Minnesota Department of Transportation (Mn/DOT); and
WHEREAS, the Northstar Corridor Development Authority wishes to study
and develop a potential commuter rail corridor in the Northstar Corridor.
NOW, THEREFORE BE IT RESOLVED that the Northstar Corridor
Development Authority enter into Agreement No. 80272-R with the Minnesota
Department of Transportation for the Coordination of Commuter Rail Activities.
BE IT FURTHER RESOLVED that the Chair or Vice Chair of the Northstar
Corridor DeveloPment Authority are hereby authorized to execute the
aforementioned Agreement.

AGREEMENT FOR COORDINATION
OF COMMUTER RAIL ACTMTIES
Parties
This Agreement is entered into by the Commissioner of the Minnesota Department of
Transportation ("Mn/DOT") and Northstar Corridor Development Authority ("NCDA"),
a Joint Powers Board for the "Northstar Corridor". NCDA is studying and developing a
potential commuter rail corridor.
Recitals
Mn/DOT is authorized to enter into this agreement by Minnesota Statutes § 174.82; and
NCDA is a Joint Powers Board created under, and authorized to enter into this
agreement, by Minnesota Statutes §471.59; and
Mn/DOT is responsible, pursuant to Minnesota Statutes §174.82, for all aspects of
planning, developing, constructing, operating and maintaining commuter rail, including
system planning, advanced corridor planning, preliminary engineering, final design,
construction, negotiating with railroads and developing financial and operating plans; and
Mn/DOT must ensure~ pursuant to Minnesota Statutes § 174.84 (subd. 4), that commuter
rail facilities are planned, designed and implemented in such a way as to move transit
users to, from and within the metropolitan area, and to provide a unified, integrated and
efficient multimodal transportation system with rail transit lines that interface with each
other and with other transportation facilities; and
Mn/DOT has developed and published, pursuant to Minnesota Statutes §174.84 (subd. 1),
the "Commuter Rail System Plan" ("System Plan") to govern and guide development of
commuter rail in Minnesota; and
NCDA will assist in the implementation of the System Plan and desires to receive federal
and state funding through Mn/DOT for activities conducted pursuant to the System Plan;
and
Mn/DOT and NCDA will coordinate commuter rail activities in such a manner as to
permit Mn/DOT to perform its statutory responsibilities; and
Mn/DOT and NCDA will coordinate commuter rail activities in such a manner as to
enable commuter rail projects to qualify for and receive federal funding.
The Parties Agree as Follows:

1.2

This agreement is effective upon execution and approval by appropriate NCDA,
Mn/DOT and State of Minnesota officials, and will remain in effect until it is
terminated by either the mutual assent of all parties or pursuant to article 1.2.
This agreement, or a party's participation in this agreement, may be terminated as
follows:
A. NCDA may terminate its participation in this agreement by giving 60 days
written notice to Mn/DOT. Dissolution of NCDA pursuant to applicable law
will be deemed a termination of NCDA's participation in this agreement.
B. Mn/DOT may terminate this agreement on 60 days written notice to NCDA.
2. Designation of Mn/DOT as Lead Agency, Mn/DOT Duties
Pursuant to Minnesota Statutes section 174.82, Mn/DOT is the Lead Agency for all
commuter rail activities. As such, Mn/DOT's duties and responsibilities are to:
2.1. Ensure consistency in commuter rail activities and to coordinate commuter rail
activities with regional transit plans developed by the Metropolitan Council and
the St. Cloud Metropolitan Planning Organization.
2.1 Seek state and federal funding, including federal "full funding" grants, for
commuter rail activities.
2.2 Be the recipient and grantee of all state and federal funding, including federal
"full funding" grants, for commuter rail activities.
2.3 Be the Responsible Governmental Unit, in partnership with NCDA, for purposes
of all Environmental Impact Statements related to commuter rail activities.
2.4 Negotiate with railroad companies for the use of railroad facilities and services
necessary for commuter rail activities.
2.5 Review, for conformance with the System Plan, and approve each stage of
NCDA's commuter rail planning, including 1)feasibility studies, 2) planning, 3)
preliminary engineering, 4) final design, 5) construction, and 6) operational
planning, including acquiring rolling stock.
2.6 Respond to requests for approval submitted by NCDA, pursuant to article 3.7 of
this agreement, no later than 30 days after receipt of the request.
2.7 Designate a Mn/DOT official to serve as a non-voting advisor to NCDA's
"executive committee", or equivalent policy committee responsible for planning
and developing commuter rail.
2.8 Designate a Mn/DOT official to serve as a non-voting advisor to NCDA's
"technical advisory committee", or equivalent technical committee, responsible
for overseeing the engineering, specifications and other technical aspects of
commuter rail.
2.9 Provide NCDA with standards, forecasting models and other relevant data,
applications and planning tools which will promote uniformity in corridor planning.
2.10 Review, for conformance with the System Plan, and approve, disapprove or
modify plans for commuter rail-related facilities, including stations, park-and-
ride lots and interfaces to other modes of transit.
2.11 Monitor work conducted by NCDA so that corridor planning, design and
construction is consistent with system integration, and to ensure that it is in
compliance with federal funding requirements.
2.12 Appoint members to the Commuter Rail Steering Committee, as provided in
Article 4 of this agreement.
2.13 Disburse grant funds received by Mn/DOT on behalf of NCDA.
3. Duties Of NCDA
NCDA duties and responsibilities, in cooperation with and under the supervision of
Mn/DOT, are to:
3.1 Conduct all activities in a manner designed to produce an integrated
commuter rail system and to ensure continuing eligibility for federal funding.'
3.2 Permit a designated Mn/DOT official to serve in a non-voting advisory
capacity on NCDA's "Executive Committee ", or equivalent policy
committee, responsible for planning and development of commuter rail.
3.3 Permit a designated Mn/DOT official to serve in a non-voting advisory
capacity on NCDA's "Technical Advisory Committee ", or equivalent
technical committee, responsible for overseeing the engineering,
specifications and other technical aspects of commuter rail
3.4 Conduct feasibility studies, planning, preliminary engineering, final design,
construction, operational planning and planning of related facilities.
3.5 Adhere to the guidance, requirements and specifications of the System Plan
in conducting all commuter rail activities, unless a variance from such
guidance, requirements and specifications in expressly granted in writing by
Mn/DOT.
3.6 Include and utilize data, planning standards and forecasting models provided
by Mn/DOT"
3. ? A~er completing each stage of the development process, request and receive
written approval from Mn/DOT before advancing to the next stage.
3.8 Prior to executing any sub-consultant agreement, request and receive
Mn/DOT's written approval of the proposed a~reement.
3.9 Participate in negotiations with railroads at the request of Mn/DOT.
3.10 Appoint a member to the Commuter Rail Steering Committee as provided
in Article 4 of this agreement
3.11 Request Mn/DOT's written approval before varying from any of the duties
set out in this agreement.
4. Commuter Rail System Steering Committee
4.1 Mn/DOT has established and utilized the Commuter Rail System Steering
Committee ("Committee') to develop the system plan. As recommended in
section 2.3 of the system plan, Mn/DOT will continue to use the Committee as a
review board for maintaining the system plan
4.2 The Committee reports to and advises Mn/DOT and Mn/DOT will manage the
functions and operations of the committee. The Committee serves in an advisory
capacity and its recommendations are not binding upon Mn/DOT. Mn/DOT may
accept, modify or reject the Committee's advice as it deems appropriate.
4.3 The Committee will meet regularly and will advise Mn/DOT on:
A. The overall coordination of commuter rail activity to ensure that the
commuter rail corridors are an integrated part of a multi-modal
transportation system.
B. Establishment of technical standards for the commuter rail system.
C. Methods for providing commuter rail information to local governments
and the citizens of Minnesota.
D. The publication of necessary updates to the System Plan to maintain its
vitality as a "living document".
E. Timing and scheduling issues, to coordinate commuter rail lines with each
other and with other modes of transportation.
F. The development and use of related facilities such as maintenance shops,
park and ride lots and interfaces with other modes of transportation.
4.4 The Committee will consist of the following members: A. One member appointed by NCDA.
B. One member appointed by the Metropolitan Council.
C. One member appointed by the St. Cloud Metropolitan Planning
Organization.
D. Representatives appointed by, or as invited to participate by Mn/DOT,
through its Commissioner:
1. One Mn/DOT employee, who will serve as committee chair;
2. Other representatives of Mn/DOT, as deemed appropriate;
3. One representative of the Council on Disabilities;
4. House and Senate Transportation Committee staff;
5. One representative of the railroad industry;
6. One representative of a railroad labor organization;
7. Such others as may be required by law;
8. Such others as are deemed appropriate.
4.5 The Committee will continue to operate for the purposes set out above for as long
as Mn/DOT deems such operation appropriate.
5. Compliance With Federal Funding Requirements
To ensure receipt of all available federal funds for commuter rail, Mn/DOT and
NCDA will, individually and collectively, conduct all commuter rail activities in
compliance with applicable federal laws and regulations. Mn/DOT and NCDA agree
to align the commuter rail planning and programming process to follow the Federal
Transit Administration's "New Starts Criteria," as defined in 49 USC § 5309.
6. Compliance With Other Agreements
Nothing in this agreement is intended, nor will be construed to, relieve NCDA of any
obligation it has or will have under any other grant or agreement with Mn/DOT. To
the extent this agreement conflicts with any other agreement between the parties, this
agreement will control over and supersede the terms of any such agreement, unless
precluded by law
7. Mn/DOT Program Costs, Management Fee
7.1 Mn/DOT will provide the resources necessary to execute its obligations under this
agreement, the system plan and applicable statutes. In executing its obligations,
Mn/DOT will incur costs including, but not limited to:
A. Salaries and benefits of Mn/DOT employees assigned to manage commuter
rail programs; .
B. Necessary miscellaneous program management expenses incurred by
Mn/DOT, including office supplies, printing and travel;
C. Expenses of consultants engaged to carry out program management,
engineering and planning tasks;
D. Expenses of consultants engaged to conduct or assist with railroad
negotiations.
7.2 A Mn/DOT Management Fee will be included, as an element of grant applications
and program budgets associated with the Northstar Corridor, to cover all costs
incurred and estimated to be incurred in the execution of Mn/DOT's obligations
under Article 7.1. The following Specified Funds are subject to the Management
Fee, regardless of whether the Specified Funds are received directly by NCDA or
by Mn/DOT, acting as NCDA's agent:
A. Federal funds appropriated by an act of Congress;
B. Grant funds received from any agency of the United States GoVernment;
C. State funds appropriated by an act of the State Legislature;
D. Grant funds received from any agency or department of the State of
Minnesota.
7.3 NCDA and Mn/DOT shall negotiate in good faith the amount of the Management
Fee, taking into account the scope of work to be accomplished by each party
during the stage of commuter rail development covered by the grant agreement
and Mn/DOT' s program costs as provided in Article 7.1.
7.4 NCDA and Mn/DOT agree that Mn/DOT will apply for, receive and disburse
state and federal funds. NCDA and Mn/DOT further agree that a Management
Fee will be included as an element of grant applications to the Federal Transit
Administration (FTA). Mn/DOT will, as necessary, seek required matching funds
from state appropriations or other appropriate funding sources.
7.5 Unexpended Management Fees will remain with the Northstar Corridor
Commuter Rail Project to the extent this conforms to applicable federal and state
laws, regulations, rules, and standard government accounting practices and
procedures.
7.6 Under Minnesota Statutes section 16C.05, subd. 5, each party's books, records,
documents and accounting procedures and practices relevant to this agreement are
subject to examination by the Mn/DOT Auditor, State Auditor and Legislative
Auditor, as appropriate, for a minimum of six years from the end of this
agreement. Mn/DOT will maintain records of its Program Costs and the
application of Management Fees to such costs, and will provide NCDA an annual
accounting upon request.
8. Dispute Resolution
8.1 If any dispute arises concerning a topic covered by this agreement, the parties will
use their best efforts to resolve the dispute in as informal and cost-effective a
manner as possible. Before proceeding to the dispute resolution process outlined
in Article 8.2, the parties will meet and will use their best efforts to resolve the
dispute. If discussion between the parties does not result in a mutually acceptable
solution, the parties may use the procedure outlined in Article 8.2.
8.2 If a dispute arises concerning the interpretation or application of the guidance,
requirements or specifications contained in the System Plan, or a dispute arises
concerning NCDA's financial obligation to Mn/DOT under Article 7 of this
agreement, the parties may resolve the dispute as follows:
A. If the dispute involves interpretation or application of the system plan to any
aspects of planning, developing, constructing, operating or maintaining
commuter rail, including system planning, advanced corridor planning,
preliminary engineering, final design, construction, negotiating with railroads
or developing financial and operational plans, then:
1. A party must provide notice to the other party identifying the dispute, its
position relative thereto and the reasoning for that position.
2. The party receiving the notice will provide a written response no later than
21 days after receipt of the notice.
3. No later than 14 days after receipt of the response, the parties will meet
with a neutral facilitator, who will be appointed by Commissioner of
Transportation or his designee, and approved by NCDA. The neutral
facilitator may be any person mutually agreed upon by the parties and may
be a State of Minnesota employee, employed by an agency other than
Mn/DOT. The parties will, with the assistance of the neutral facilitator,
seek a mutually satisfactory solution. The parties to the dispute will pay
equal shares of the Neutral Facilitator's costs.
4. If the parties are unable to resolve their differences, the neutral facilitator
will declare an impasse.
5. No later than 14 days after a declaration of impasse, the parties will meet
with the Commissioner of Transportation, or his designee. Each party will
have an equal opportunity to present its position. After the parties have
presented their positions, the Commissioner, or his designee, will issue a
memorandum of decision to resolve the issue. This decision will be
binding on the parties.
If the dispute involves NCDA's financial obligation to Mn/DOT under
Article 7 of this agreement, then:
1. A party must provide notice to the other party identifying the dispute, its
position and the reasoning for that position.
2. The party receiving the notice will provide a written response no later than
21 days of receipt of the notice.
3. No later than 14 days of the receipt of the response, the party will meet
with a mediator appointed by the Commissioner of Transportation or his
designee and approved by NCDA. The mediator may be a State of
Minnesota employee, employed by an agency other than Mn/DOT. The
mediator will assist the parties in reaching a mutually satisfactory
settlement of the dispute. The parties to the dispute will pay equal shares
of the Mediator's costs.
9. Governing Terms
9.1 The provisions of this agreement are severable. If any part of this agreement is
determined by a court of competem jurisdiction to be contrary to law, or contrary
to any rule or regulation having the effect of law, such determination will not
affect the remaining portions of this agreement.
9.2 Minnesota law governs this agreement. Venue for all legal proceedings arising
from this agreement will be in the appropriate state or federal court of competent
jurisdiction in Ramsey County, Minnesota:
9.3 Mn/DOT's failure to enforce any provision of this agreement does not operate as
a waiver of its right to subsequently enforce that provision.
9.4 This agreement contains all negotiations and agreements between the parties. No
other understanding regarding tl~e .subject matter of this agreement, whether
written or oral, may be used to bind any party.
9.5 Any amendment to this agreement must be in writing and will not be effective
until it has been executed and approved by the same parties who executed and
approved this agreement, or their successors in office.
10. Authorized Agents
10.1 Mn/DOT's Authorized Agent for the purposes of the administration of this
agreement is the Director of the Mn/DOT Office of Passenger Rail. The current
address and telephone number are the Mn/DOT Central Office, First Floor, 395 John
Ireland Blvd., St. Paul, MN 55155, (651) 284-4028. Mn/DOT's Authorized Agent
has the authority to deliver and receive any notices required or permitted under this
agreement.
10.2 The Chair of the NCDA will also serve as NCDA's Authorized Agent for the
purposes of the administration of this agreement.
10.3 Neither NCDA nor its Authorized Agent has the authority to bind, and will not
attempt to bind, Mn/DOT to any contractual or financial obligation with another
party.

WHEREAS, the Northstar Corridor Development Authority entered into Grant
Agreement No. 78569 with the Minnesota Department of Transportation (Mn/DOT)
to complete studies for the proposed commuter rail project in the Northstar Corridor,
to undertake a public information involvement program, to negotiate with Burlington
Northern and Santa Fe Railway Company, and other components of the Grant
Agreement work plan; and
WHEREAS, the parties wish to enter into Amendment No. 1 to Grant
Agreement No. 78569 to add preliminary engineering services as work to be
performed under the Grant Agreement and to provide that the Grant Agreement and
any Amendments to the Grant Agreement are subject to Minn. Stat. Sections
174.80 to 174.90.
NOW, THEREFORE BE IT RESOLVED that the Northstar Corridor
Development Authority enter into Amendment No. 1 to Grant Agreement No. 78569
with the Minnesota Department of Transportation.
BE IT FURTHER RESOLVED that 'the Chair or Vice Chair of the Northstar

'I'his Amendment is by and between the State of Minnesota, through its Commissioner of Transportation
("STATE") and Northstar Corridor Development Authority ("GRANTEE").
Recitals
1.STATE has a Grant Contract with GRANTEE, identified as MnDOT Agreement No. 78569, to complete
· studies for the proposed commuter rail project in the Northstar Corridor, to undertake a public
information and involvement program, to negotiate with Burlington Northern Santa Fe, and to perform
other components of the GRANTEE's Work Plan, which was attached and incorporated into the Original
Grant Contract as Exhibit I.
2.In early 2000, GRANTEE received approval from the Federal Transit Administration to begin preliminary
engineering on the Northstar Corridor project.

Effective August 1, 1999, all work under the Original Grant Contract and all Amendments to it are subject
to Laws of Minnesota for 2000, Chapter 230, Sections 19 to 24, codified in Minnesota Statutes, Sections
174.80 to 174.90, including any agreement that may be entered into under this law.
4. STATE and GRANTEE have agreed that STATE will receive up to $450,000.00 from GRANTEE's
Original Grant Contract amount as a Management Fee for the Northstar Commuter Rail Project.
STATE and GRANTEE agree to amend the Original Grant Contract to add Preliminary Engineering to
GRANTEE's duties as work to be performed under the Grant Contract, to provide that the Original Grant
Contract and any Amendments to it are subject to Minnesota Statutes, Sections 174.80 to 174.90, and to
ensure that GRANTEE's graphics and engineering drawings will be provided in a format that is compatible
with STATE's graphics software program.
Contract Amendment
REVISION 1. In Article II. GRANTEE's DUTIES, paragraph E, after the last sentence, insert:
"All graphics and engineering drawings prepared by GRANTEE must be provided to STATE in
MicroStation format."
REVISION 2. In Article II. GRANTEE's DUTIES, after paragraph E., insert:
"F. Complete preliminary engineering of:
1. improvements to the BNSF railroad as needed to provide for commuter rail service;
and
2. other required commuter rail system components.
Details of GRANTEE's Work Program for Preliminary Engineering are attached and incorporated
into this Grant Contract as Exhibit II.

REVISION 3. In Article III. after "CONSIDERATION AND TERMS OF PAYMENT", insert a new

$450,000.00 for management activities of the Northstar Commuter Rail Project under this Grant
Contract. Any management funds unspent by STATE will revert to the Northstar Commuter Rail
Project".
The remaining language in Article III. of the Original Grant Contract will be labeled paragraph B.
REVISION 4. At the end of Article IV. CONDITIONS OF PAYMENT, insert:
"In addition, all work performed under this Grant Contract is subject to Minnesota Statutes, Sections
174.80 to 174.90 and any agreement entered into thereunder".
Except as amended herein, the terms and conditions of the Original Contract and all previous amendments
remain in full force and effect.
