INFORMATION • SolarAttic, Inc•® 24 Hours/day (612)441-3440 Fax(612)441-7174 15548 95th Circle NE,Elk River,MN 55330 http://www.solarattic.com SolarAttic @ compuserve.com City of Elk River EDA January 5, 1999 13065 Orono Parkway Elk River MN 55330 Dear Paul Steinman: Company Update I hope the holiday season was a joyous one for you, your family and friends! We have been swamped at SolarAttic and it has been difficult just trying to keep up. However, this letter will bring you up-to-date on some key events. Please note that our stockholders' annual meeting will be held on February 11. A more detailed update will be presented at that time. Mark your calendars and plan on attending our annual meeting. A formal meeting notice and proxy will follow shortly. SolarAttic is now selling stock at $5.00 per share to investors in our public stock offering. However, the final outcome and extent of this capitalization effort is still uncertain and may not be known until late March when the offering expires in New Jersey. SolarAttic has listed its stock for sale on the Direct Stock Market. Enclosed you will find a copy of our press release and three pages from the Direct Stock Market Internet site. The first page shows that SolarAttic is listed on the left side with a "link." Anyone who clicks on this link will be taken to our offering information. In addition, if we were listed on the trading floor, investors could proceed to the NIPHIX trading site to buy or sell our stock. Traditional investment banking firms have almost totally abandoned small companies like SolarAttic. It is forcing all small companies to do their own offerings. We are not alone! The Direct Stock Market has been established to help promote small company offerings. They have teamed up with NIPHIX, an Investment Banking and Brokerage operation. NIPHIX's end is to facilitate trading of the stocks they have listed at their site. This is a secondary market trading mechanism. It is the direction that SolarAttic will take to get trading of the company's stock initiated sometime later this year. Following the Direct Stock Market/NIPHIX info, you will find a recent review of our • Internet site by Minnesota On-line. SOLAR Without PANELS • Next is a press release describing the development of our new attic temperature control technology. It means filing for a 5th patent. An electronic prototype using a programmable controller (small computer) was tested two weeks ago. The new control will be usable across product lines for space heating, ventilation and combination space heating- ventilation systems. We expect to be able to place this electronic control into production in the March time frame. It is compatible with all existing attic fans providing up to 10 amps of current at 120 vac. The new electronic control system will be demonstrated at the annual stockholders meeting in February using our GB Series product (combo ventilation-heating). Next is a press release indicating that we have lowered the minimum investment to only 100 shares or ($500) for public investors. The last page is our current tombstone ad as it appears on our Internet site. In addition to the Direct Stock Market, we started advertising our direct IPO on the Wall Street Journal's On-line Edition on December 21, 1998. A banner ad surfaces in the states where anyone can invest (RI, CT, NJ, IA) when a subscriber logs on. The are about 16000 on line readers of the Wall Street Journal in these states. Rhode Island expired 12/31/98. We also started to "brand" our technology by advertising on the Bloomberg Financial Radio AM station out of New York City yesterday. Its broadcast coverage overlaps several New Jersey and Connecticut counties where our offering is still active. The radio • ads will run throughout January. If yesterday is any indication, the phones will be ringing steadily all month. Yesterday we fielded over 20 phone calls ranging from simple product interest, to dealer interest and to investor interest. Our web site hits exploded with 4,139 hits in a single day. This represented 1304 pages which is a 300% increase in web traffic. If it continues, our site will exceed 100,000 hits for January. An interesting prospect. The last IPO strategic move we have implemented is to start working with a marketing firm out of Buffalo, New York called NetPartners Marketing Corporation. They specialize in the marketing of direct stock offerings and are now helping us plug some gaps and to expand our Internet offering. You can find them at http://www.netpartners-marketing.com While I cannot tell you for sure that everything is "in the bag" -- I can tell you that despite continued cash flow pressures and difficulties, that SolarAttic continues to move forward. Sales for 1998 finished at about 178% over 1997. We almost doubled our sales with very limited promotional resources. Audited financials will begin on January 15th and will be available at the annual meeting. Final sales numbers will be available at that time. Sincerely yours, eoef,v-eva iR641,47 Edward G. (November 11, 1998) -- SolarAttic, Inc. announced today that its founder Edward G. Palmer, a Vietnam veteran, has developed a new electronic control technology for use in attics. The new technology will provide for automatic ventilation of attics year around. During summer, the control will provide a signal to automatically remove excess heat out of attics. During winter, the control will provide a signal to remove excess moisture and heat out of attics. Winter ventilation will prevent and even eliminate ice dams from forming by eliminating the temperature difference between the attic and outside air. Ice dams are a common problem and poor attic ventilation is a major cause. • The new control will also sense when free attic heat is available for heating homes. During fall and spring, warm attic air can be transferred back into the living areas to reduce space heating costs. Due to the sophisticated and novel nature of the new control technology, Palmer expects to file for a fifth patent in 1999. SolarAttic has been assigned the rights to all patents that are issued. The new electronic control technology is designed to be used with SolarAttic's new duct technology. Together, the control and duct technology provide a unique "systems" approach to attic ventilation. They take the guess work out of proper attic ventilation by providing controlled mechanical ventilation of the attic. The company's technology eliminates the need for all types of roof vents. However, the new electronic control is also designed to work with existing attic fans which can simply "plug-in" should consumers want to upgrade existing ventilation devices. SolarAttic is a technology company founded by Vietnam Veteran Edward G. Palmer. The company's new technology provides total control of the attic in terms of its heat collection, moisture content and ventilation. In addition to controlling attic ventilation, SolarAttic products use attics to heat hot water, space and swimming pools. The new technology represents a big part of the solution to the problem of global warming.
