SUBJECT: Enabling Resolution
In April, 1996, the City Council approved a motion which increased the pay
for the EDA. This action increased the wages from $100 per month to $150
per month. In reviewing the EDA Enabling Resolution, staff became aware
that for this pay adjustment to become "official," the City Council needs to
approve a resolution which modifies the EDA Enabling Resolution.
Accordingly, additional City Council action is needed on the EDA wages and
this required additional action provides the EDA with an opportunity to
• comment on their wages.
I am requesting that the EDA review its salary and provide input to the City
Council on whether or not the EDA salary should be $100 or $150 per month.
The following paragraphs are offered as background information on the EDA
wages and budget.
The EDA was established in 1987 by adoption of its Enabling Resolution.
The five City Council members served on the EDA and received a $1.00 per
year payment for this service. Attached is the first page of this 1987
Enabling Resolution.
In 1990, the EDA expanded to seven members and the pay changed to $100
per month through the adoption of Resolution 90-5 which modified the
original EDA Enabling Resolution. This resolution is attached for your
information.
(The Enabling Resolution was also changed in 1994 as the number of City
Council members that sat on the EDA was amended.)
In 1996 I recommended a pay change for the three member Utilities
Commission. By ordinance the City Council sets the pay for the Utilities
• Commission. This pay change was approved and, in the same motion, the
City Council added an increase in pay for the EDA. Attached for your

information is the material from this April 1, 1996, meeting when the
Utilities Commission pay was on the agenda.
The April 1, 1996, minutes reflect a concern by a number of Councilmembers
over the EDA being treated the same as the Utilities Commission. I am not
clear on why the pay of the Utilities Commission and the EDA was being tied
together. Based on the work load of the EDA in terms of numbers of
meetings and hours spent at the meetings, the figures show a decrease in
activities since the EDA began receiving the $100 per month in 1990.
Attached for your information is the EDA figures on number of meetings and
hours spent in meetings from the City Clerk's 1996 Annual Report.
The increase in pay to the EDA is $4,200 per year. This comes out of a
budget of approximately $100,000 (see attachment). In the recent staff
budget meetings, discussion took place regarding two desired EDA
expenditures. One of these desired expenditures is a marketing program for
Business Park properties. This marketing program is consistent with the
Economic Development Strategic Plan which places an emphasis on Business
Park economic development. The second desired expenditure is the
Community Ventures Network program. EDA Chair Dwyer and Paul
Steinman will discuss this program on Monday, September 8, 1997. Paul
• could certainly use an extra $4,200 to do a Business Park marketing plan or
this $4,200 annually would allow us to be a member of the Community
Ventures Network program.
I am suggesting that the EDA consider recommending to the City Council
that the EDA return to its previous pay level of$100 per month. The EDA
can then apply the $4,200 per year to either a marketing program for the
Business Park properties or the Community Ventures Network program.
On the other hand, if the EDA is comfortable with its wages of$150 per
month, then no comments to the City Council are needed by the EDA and
staff will then prepare a resolution which modifies the EDA Enabling
Resolution. This resolution will then be presented to the City Council for its
consideration.

ENABLING RESOLUTION ESTABLISHING AN ECONOMIC DEVELOPMENT
AUTHORITY FOR THE CITY OF ELK RIVER, MINNESOTA.
WHEREAS, Minn. Stat. § 469 . 090 et seq. (the Statute)
authorizes the City of Elk River (the City) to establish an
Economic Development Authority pursuant to the procedures and
subject to the restrictions set forth therein; and
WHEREAS, the City Council for the City of Elk River (the
City Council ) finds that it is in the best interest of the City
and its residents to establish an Economic Development
Authority pursuant to the Statute.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the
City of Elk River, Minnesota, as follows :
1 . Establishment of Economic Development Authority.
There is hereby established in the City of Elk River
an Economic Development Authority (hereinafter
referred to as the "Authority" ) , effective upon
passage by the City Council of this resolution.
2 . Commissioners .
a . The members of the City Council of Elk River
shall serve as the Commissioners of the
Authority.
b. The terms of the Commissioners shall coincide
with their term of office as members of the City
Council .
c. Commissioners shall be compensated at the rate of
One Dollar ( $1 . 00) for each regular or special
meeting of the Authority attended. In addition,
Commissioners shall be reimbursed for actual
expenses incurred in doing official business of
the Authority .
3 . Officers :
a. The Authority shall annually elect a president, a
vice president, a treasurer, a secretary, and an
assistant treasurer. A Commissioner must not
serve as president and vice president at the same
time . The offices of secretary and assistant
(4111, treasurer need not be held by a Commissioner.

FOR THE CITY OF ELK RIVER
WHEREAS , Minnesota Statute 469 . 090 et sea. (the Statute )
authorizes the City of Elk River (the City) to
establish an Economic Development Authority
pursuant to the procedures and subject to the
restrictions set forth therein; and,
WHEREAS, on October 7, 1987, the City Council for the City
of Elk River adopted Resolution 87-63 creating
the City of Elk River Economic Development
Authority (the Authority) ; and,
WHEREAS, the City Council for the City of Elk River (the
City Council) finds that it is in the best
interest of the City and its residents to expand
the Authority to broaden the representation on
the Authority.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City
of Elk River, Minnesota, as follows :
1. Commissioners
a. The members of the City Council of Elk
River shall serve as the Commissioners
of the Authority together with two
residents of the City of Elk River
appointed by the Mayor with the
approval of the City Council, to serve

"at large" .
b. The terms of the Commissioners shall
coincide with their term of office as
members of the City Council. One of
the at large Commissioner' s initial
term shall expire on 12/31/91 and the
other Commissioner' s initial term shall
expire on 12/31/93 . Thereafter, all at
large Commissioners shall serve six ( 6 )
year terms .
c. Commissioners shall be compensated at
the rate of One Hundred Dollars
( $100. 00) for each full month of
service. In addition, Commissioners
shall be reimbursed for actual expenses
incurred in doing official business of
the Authority.
The following Resolution was introduced by Councilmember
Holmgren and duly seconded by Councilmember
Kropuenske . The following voted in favor of the
Resolution:

Consider Increase in Pay for Utilities Commission
City Ainistrator Pat Klaers indicated that the Elk River Utilities Commissioners
• currently receives$100 per month. This amount changed in 1989 and was the first
increase in many years. The City Administrator stated that it is expected that the
Utilities Commission will be holding extra meetings in 1996 and possibly meeting
on a bi-monthly basis as opposed to a monthly basis.
The Council discussed the possibility of increasing the$100 stipend.
Councilmembers Scheel and Holmgren indicated their concern that the
Economic Development Authority commissioners be treated the same as the
Utilities Commissioners.

SUBJECT: Consider Increase in Pay for Utilities
Commission
In April, 1989, the City Council increased the pay of the Elk River Municipal
Utilities (ERMU) Commissioners to $100 per month. This was the first
increase in many years, and this rate has not changed since.
Attached for your information is some material from the Minnesota
• Municipal Utilities Association regarding compensation for utility boards and
commissions. Based on this information, it is appropriate for the Council to
consider an increase in the monthly payment to the ERMU Commissioners.
At this time the Commissioners are holding a lot of extra meetings as they
work through the process of replacing the general manager. Also, it is
possible that the commission may begin meeting on a bi-monthly basis or 24
times per year versus its currently scheduled 12 times per year. This revised
meeting schedule has yet to be determined, but this issue is expected to
receive a great deal of discussion in later 1996.
It is suggested that the Council increase the ERMU Commissioners pay to
$200 per month for 1996 and 1997 and that this payment be reevaluated at
the end of 1997. At that time, it may be that the pay goes back down to $100
per month or it could stay at the $200 level or even increase based on the
work load of the commission.
