UTILITIES COMMISSION HELD AT THE ELK RIVER MUNICIPAL
UTILITIES OFFICE

Manager
Mr. Phil Martin presented a proposal from Emmer Associates, Inc
(attached) . He reviewed his involvement and help in the drafting
of the AEC proposal, discussed his utility background and
history. He also commented on the changes happening in the
utility industry. After further discussion with the Commission,
Mr. Martin left at 4 :45 P.M.
Mr. Tralle introduced Jack Kegel, Executive Director of the
Minnesota Municipal Utilities Association (MMUA) . Mr. Kegel
introduced Mike Willetts, giving an overview of his background
in municipal utility operations. Mr. Kegel spoke of changes in
municipal utilities over the next few years, reported on the
Kandiyohi/Willmar merger, and what retail wheeling means to us.
He went on to discuss General Manager requirements,
qualifications and responsibilities. After further discussion
and offers of further assistance from MMUA, Mr. Kegel and Mr.
Willetts left at 5:30 P.M.
Mr. Dietz left the meeting at 5:35 P.M.
Discussion took place regarding the various proposals for
management within the Utilities.
Mr. Zabee moved to contract with Brimeyer Group, Inc. per their
presented proposal (attached) . Mr. Tralle seconded the motion.
Motion carried 2-0 .
There being no further business, it was the consensus of the
Commission to adjourn the meeting.
The special meeting of the Elk River Utilities Commission was
adjourned at 6 : 00 P.M.

Costs
EXPENSES
The Brimeyer Group, Inc. will bill expenses directly related to the assignment with the
Commission Members's prior approval. Necessary expenses include travel, meals and lodging;
long distance telephone; printing; credential verifications; courier service; and administrative
expenses. Based on our experience, our expenses would be from $2,000 to $2,500. This
estimate does not include any costs associated with candidates' expenses for the final interview.
FEE FOR SERVICE
To complete the entire assignment, we propose a fee equal to one-fourth (1/4th) of the
candidate's first year salary, not to exceed$16,000. The fee includes the following services:

Meet with Commission Members and senior staff
Meet with selected representatives from the community, utility users
Develop Position Profile
Draft Position Profile
Present Profile for approval
Phase II
Place Announcements
Direct Recruiting
Contact Sources
Review Resumes
Screen and evaluate candidates
Prepare and present Progress Report
Phase III
Background/reference checks
Administer assessment instrument (included in base fee)
Schedule and coordinate candidates' interviews with the Commission
Participate in interviews
Develop compensation package
Participate in negotiations
Counseling
Develop Work Program (six months after employment)

PAYMENT
Our payment policy on searches is one-third of the fee due upon signing this agreement; one-
third after presentation of the Progress Report; and the balance due 10 days after the search has
successfully been completed, whether the agreement is oral or written. In the event the
Commission terminates this agreement during the search we will retain the progress payments
to that point.
