The Northstar Corridor Development Authority met on April 7, 2005, in regular session at the
Anoka County Government Center, Anoka, Minnesota.

The chair called the meeting to order at 4:35 p.m.
1. Chair Grandy welcomed new members and introductions were made.
2. Scott Schulte made a motion to approve the March 3, 2005 meeting minutes as revised
in paragraph 10 on page 2, last sentence changed to read $2.50 for riders from Coon
Rapids and $3.50 from Elk River and the April 7, 2005 meeting agenda as presented.
The motion was seconded by John Norgren and passed unanimously on a voice vote.
3. RFP for Risk Management Services: Mary Richardson reviewed the recommendation
by the Executive Committee that the NCDA approve the release of an RFP for insurance
broker services. Ms. Richardson noted that risk and liability provisions are key
components of the Northstar Commuter Rail construction and operating agreements with
BNSF. An experienced broker/insurance consultant who is experienced in the design
and management of successful risk management and liability programs for projects is
needed to assist with the development, negotiations and implementation of the
agreements. The purpose of the consultant/brokers work will be as follows:
a) Advise the NCDA in negotiating insurance terms and conditions with the BNSF for
both the construction and operational phases of the Northstar Corridor Rail Project;
b) Identify and determine insurance requirements for design professionals and
contractors that will be involved in this project and advise the NCDA;
c) Place insurance coverages to ensure all carriers are providing coverages and
services, as agreed;
d) Manage placed insurance, as agreed;
e) Oversee audit services, claim services and loss control and safety services to ensure
that the project is in compliance with all federal, state and local safety requirements
while controlling costs;
f) Monitor issuance of certificates of insurance and on-going consultation of Risk
Management services to the NCDA;
g) Identify and recommend insurance coverages and assist in managing the transfer
from construction to operations stage of this project while maintaining coverages for
all parties involved; and

h) Coordinate with light rail to ensure there are no gaps in coverages, loss control and
safety programs.
Ms. Richardson noted that this work is included in the NCDA's 2005 work plan and
budget under the line item relating to BNSF negotiations. The term of this contract would
be June 2,2005 through December 31,2008 or until Northstar Commuter Rail is
operational. The anticipated RFP schedule is:

The following individuals will be members of the evaluation team: Tim Yantos, Mike
Schadauer, Mary Richardson, Phillip Blue, Colleen Herrmann, John Sullivan and Jan
Lucke.
David Elvig made a motion that the NCDA approve the release of an RFP for insurance
consulting/broker services. The motion was seconded by Paul Motin and passed
unanimously on a voice vote.
4. Mary Richardson reviewed the color of money chart which was prepared by the
Northstar Project Office. The chart depicts the source of funds and the flow of money for
project development.
5. Mark Fuhrmann gave an update on the Northstar Project Office search for office space.
He noted that the Project has been sharing space with the Hiawatha Project Office as
they work to close out the Project. The Hiawatha Project sunsets as does their lease
with Cerosota the end of June. He noted that over the last several months, a staff team
comprised of Tim Yantos, Mike Schadauer, Jan Lucke, and Judith Phillips have
conducted a comprehensive search for a location for the Project Office. The search has
focused in the Northstar Corridor, in the areas of Downtown Minneapolis, Columbia
Heights and Fridley. The staff team has reviewed over thirty available properties. Of
these properties, only six could meet the price, space and parking needs of the NPO.
Only one property, the Cerosota, would agree to a one-year lease. Mr. Fuhrmann noted
that staff hope to come back to the NCDA in May for authorization to enter a lease.
6. Mary Richardson reviewed a request from the State Auditor's Office. They are in the
process of reviewing the procedures used by the Northstar Corridor Development
Authority to track its expenditures for lobbying services, consultant services, and
employee/member reimbursements and have requested information to assist in their
review. Staff are preparing a letter in response along with documentation.
7. Paul Danielson gave a presentation on the process used for value engineering.
Completion of value engineering is expected the week of March 21. Objectives of value
engineering are: to preserve the scope, maintain CEI, identify ideas that might improve
the CEI value, balance capacity expenditures, address project risks and confirm cost
estimates. As part of the process, they evaluate potential risks such as push-pull train
operations, the connection to LRT, construction issues, the right of way acquisition
process and railroad negotiations. Twenty-one items have been identified as possible
cost cutting measures which could potentially save the Project $19.5 million.

8. Paul Danielson gave a progress report on the advanced and final design of the
commuter rail project.
9. Steve Apanian gave a progress report on the advanced and final design of the LRT
connection. He noted that there has been many meetings with stakeholders. There was
also a meeting to get perspectives from different car builders on various kinds of rolling
stock available. On the 14th there will be a follow-up meeting with the PMT on the issue
of car builders. Mr. Apanian noted that alignment options, vertical circulation, intermodal
concepts, and roadway traffic issues at the 5th street intersection and right of way utility
location (private and public) are being refined.
David Elvig asked if there is any historical information available regarding reliability of
the two vehicle options (DMU and push pull). John Norgren if fewer vehicles would be
needed if the Project were to use DMUs. Steve Apanian answered yes, but a DMU can't
pull as many coaches. Dennis Berg asked if BNSF has weighed in on the use of DMUs.
Mr. Apanian noted that they have not had a discussion with BNSF on this issue yet.
10. Mark Fuhrmann reviewed the March 2005 Monthly Report to the FT A. He also noted
that NPO staff had recently had a visit from FTA staffers.
11. Bill Schreiber noted that the State Legislature had wrapped up bonding bill. Mr.
Schreiber handed out bonding bill language which includes Northstar and vote results.
Mr. Schreiber noted that there has been a bill introduced which would provide funding for
the commuter bus project. Mr. Schreiber noted that transit is in desperate financial
straights throughout the State. Projections from the Department of Finance show flat
amounts, no increase in funding, in fact a decrease. Transit is short $60 million for
2006/07. Transit advocates will be lobbying hard.
12. Jon Olson gave an update on federal legislative issues. He noted that the big news in
Washington is that Washington is delighted because of the action of the State
Legislature in securing funding for the Northstar Project. TEA-Lou bill is two years
behind schedule. House passed it a month ago. The Senate has a companion bill
(safety) that has not passed. Mr. Olson noted that the appropriations bill is being worked
on in the House with a March 18th deadline for application. Northstar has submitted its
application. Senate applications are due by the 29th of April. A draft form is currently
being worked on by staff and consultants.
13. John Himle gave an update on public information activities. He noted that Governor
Pawlenty will be signing the Bonding Bill on April 11 at the Riverdale Park-and-Ride.
Members are encouraged to attend.
Jill Brown noted that the Northstar Commuter Coach has reached a milestone: their
500,000th rider. A celebration is planned for May 4. Information will be sent out to
members as soon as it is available.
14. The next NCDA meeting was set for May 5, 2005.
There being no other business, the meeting was adjourned at 5:45 p.m.

Amendment #2 to the Financial Management Services Agreement
When the NCDA was established in 1997, it entered into a financial management
services agreement with Anoka County. The Agreement was amended in 2001. The
Agreement provides that Anoka County will provide all services related to the
management of NCDA funds, including budgeting, accounting and related legal
services. The term of the Agreement needs to be extended in order for Anoka County
to continue to provide such services. Anoka County is willing to continue to provide
these services for the remainder of the project development. Staff recommend that the
term be extended until such time as the Agreement is terminated by either of the
parties.
Action Requested: That the Executive Committee/Capital Budget Committee
recommend that the NCDA authorize the chair to execute an
amendment to the Financial Management Services Agreement
extending the term for the life time of the project development or
until such time as the Agreement is terminated by either of the
parties.

I. Introduction
The proposed Northstar Corridor Rail Project (Project) will provide commuter
rail service along a 40-mile corridor from Downtown Minneapolis to Big Lake,
Minnesota parallel to Trunk Highways 47 and 10. It will use existing rail tracks
owned by the Burlington Northern Santa Fe Railway Company (BNSF) and
include 6 stations. The commuter line is expected to carry 5,600 passengers per
day by the year 2025. The rail line will have inter-modal connections to bus
transit and to the Hiawatha Light Rail Transit (LRT) line. The Northstar
connection to LR T consists of a four-block extension on the north end of the
Hiawatha LR T to reach the Downtown Minneapolis commuter rail station.
With the exception of the Downtown Minneapolis station, all of the stations will
have park and ride facilities.
Since the last written report to the Federal Transit Administration (FTA), dated
March 2005, the following occurred:
. Governor Pawlenty signed the 2005 bonding bill that includes $37.5
million for the Northstar Corridor Rail Project
. Project staffing changes
. Advanced design continues
. Value Engineering took place March 21-25,2005
. The Project has begun a series of submittals to FT A to seek a
"recommended" rating and approval for entry into final design
. The Project is developing engineering, construction, and operating

III. Project Finances
State Funding
Governor Tim Pawlenty made the Northstar Commuter Rail Project one of his
top capital investment (bonding2 priorities for the 2005 legislative session. That
priority became real on April 6t when the Legislature passed a major budget
bill to finance state construction projects. The Governor signed the bonding bill
April 11 th at the Coon Rapids-Riverdale park-and-ride lot, future site of one of
the stations on the Northstar line. This state commitment, combined with the
over $40 million already committed by the Northstar Corridor Development
Authority (NCDA) Capital Partners totals well over half the non-federal funds
needed for the project to advance to final design.

IV. Project Staffing
As noted in the last monthly report, Ed Hunter, the Deputy Director of Design
and Vicki Barron, the Assistant Deputy Director of Design, announced their
resignations. Ed's position has been filled on an interim basis by a combination
of Jon Olson, the Anoka County Public Services Division Manager and
registered engineer, and Ken Stevens, a long time consultant to the Northstar
Corridor Development Authority and former director of the Hennepin County
Regional Railroad Authority. Metro Transit will post the vacant position soon.
To help fill the Vicki's position, Mn/DOT posted a senior engineer position.
Interviews will take place the week of April 18-22 and the position filled as
soon as possible. Mn/DOT also plans to post another engineer position in the
near future.
V. Advanced Design
Advanced design is underway, with the assistance of two teams of consultants.
A team led by Kimley Horn and Associates (KHA) is responsible for the six
commuter rail stations and the maintenance facility including the central control
facility. A team led by LTK Engineering (LTK) is responsible for the LRT
Connection and providing technical support for KHA's work on the commuter
rail stations and maintenance facility. The entire project design team meets on a
weekly basis.

KHA has focused on preliminary engineering and environmental study of the
Big Lake maintenance facility site and validation of the preliminary engineering
ofthe six station sites. LTK is focused on validation and adjustments ofthe
preliminary engineering ofthe LRT alignment within 5th Street North and the
inter-modal station. The teams are working together to address systems and
communications issues that impact the project as a whole.
Project staff and consultants meet weekly with the City of Minneapolis on
design issues of the LRT Connection and inter-modal station. Because the LRT
alignment and inter-modal station are adjacent to a historic district, a meeting
was held on March 30 with the State Historic Preservation Office and
Minneapolis Heritage Preservation Commission to get their input and
concurrence on the proposed plans. Project staff will continue to work with
these organizations to fulfill the programmatic agreement regarding cultural
resources that was included in the Project's Record of Decision.
The L TK team is also responsible for assistance with procurement of rolling
stock for the Northstar Project. They organized a series of meetings with
commuter rail passenger car builders on March 2 and 3,2005. Officials from
Bombardier, Sumitomo, Colorado Railcar, and Kawasaki gave presentations
about their equipment. A follow-up meeting of Project staffwas held April 14
to review the builders' presentations and set a strategy for procurement. A
summary report will be prepared by mid-May.
BNSF will manage advanced and final design of track and signal improvements
on their infrastructure with oversight by the Northstar Project Office with the
assistance of the L TK team. See section VIII of this report for more details on
the progress of this contract.
VI. Value Engineering
The KHA contract requires them to organize and conduct Value Engineering
(VE) for the project. That exercise took place March 21-25, 2005 in the
Northstar Project Office. Their final report was provided April 1 and was
copied to the Project Management Oversight Consultant team. Project staff met
April 14 to review the VE report and identify proposals to accept, reject, and
study further. A report summarizing this will be produced by mid-May.
VII. New Starts Criteria and Request to Enter Final Design
As mentioned earlier, the Northstar Project received the commitment of$37.5
million in state funding from the 2005 Minnesota Legislature. The Project is in
the process of submitting material needed to gain a "Recommended" rating and
to request to enter Final Design so that FT A may begin its review. The Project
began this process with the February 25,2005 submittal of Chapter 2 of the
Project Management Plan (PMP) covering the Project Organization. Chapter 10

of the PMP, the Real Estate Plan, was submitted in March 4,2005. The
remaining chapters of the PMP were submitted on March 31.
New Starts Criteria and a revised Financial Plan, containing more specific
information about the bonding passed by the legislature, will be submitted as
quickly as they can be assembled. The timing for submitting the New Starts
Criteria and revised Financial Plan depend on the time it will take to produce a
ridership forecast from the Twin Cities travel demand model. FTA's
Washington office gave verbal approval to use the recently revised model in late
March. Project consultants are working carefully with the model to ensure the
forecast will meet all FT A requirements and expectations.
The target date for submittalofthe New Starts Criteria and Financial Plan to
FTA is May 13, 2005. This will be accompanied by a request for FTA to re-rate
the Northstar project and a draft request to enter Final Design. Project staff
understands there is a new requirement for FT A to submit recommendations for
a project to enter final design to Congress and that Congress has a 30-day period
to act on the recommendation. If Congress does not act, the recommendation is
accepted.
Northstar project staff will communicate with FT A Region V staff to set a
meeting in late April or early May to discuss this entire process in more detail.

VIII. BNSF Negotiations
Discussions with Burlington Northern Santa Fe Railroad (BNSF) regarding
Northstar design, construction and operations continue. As noted in the last
monthly report, the Project and BNSF have agreed on a list of capital
improvements to carry into advanced and final design. This is not a
commitment to build all of these capital improvements. It is, however, a
commitment to carry out engineering on these improvements to help inform the
ongoing negotiations. The draft design agreement will be submitted to FT A for
review as soon as it is available from BNSF's legal staff. On April 6, the
Northstar negotiating team lead by Tim Yantos of the NCDA and Cliff Greene
of Greene Espel met with BNSF's top legal team to provide a briefing on the
financing and design status of North star. BNSF identified its key issues with a
focus on indemnification and liability allocation. After deliberation by BNSF,
discussions will continue in ensuing months.
IX. Risk Management
On April 7, the N CD A Board authorized the release of a Request for Proposals
(RFP) for Risk Management Services. The purpose of the RFP is to solicit
consulting assistance to advise the NCDA and the State in negotiations with
BNSF regarding insurance terms in the construction and operating agreements
with BNSF, and to place and manage necessary insurance coverages. In order
to address the potential liability arising out commuter rail operations, the State
of Minnesota and the NCDA need assistance in structuring the appropriate risk
allocation and necessary insurance package. The RFP will be issued on April
18, proposals due on May 20, and NCDA contract approval scheduled for June
2.
X. Property Acquisition
The following Parcel Status Report lists all the parcels for which the project
may need to acquire ownership or easement rights. It will be maintained and
updated throughout the property acquisition process to ensure property rights
are acquired in the time-frame necessary for construction and operations. As
noted in PMP Chapter 10, the Real Estate Plan, submitted to FT A March 4,
2005, the counties in which a parcel lies will lead the acquisition process.

XI. Land Use
There was little land use activity since the March report except for the Anoka
station area. Here is a summary of events leading to recent activity.
Anoka Station
. The City of Anoka completed the Commuter Rail Transit Village Plan in
March of 2004.
. The City purchased 19 acres of State land on the north end of the Commuter
Rail Transit Village (CRTV) on November 29, 2004.
. The City updated the CR TV Master Plan in December of 2004 based upon
the purchase of State land.
. The City is currently updating and refining the CR TV Master Plan site plan.
. The City is currently researching and preparing zoning ordinance standards
and design guidelines for the CR TV area.
. The City is now negotiating purchase or control of development of 54 acres
of State land currently for sale ~ mile north of station site.
. The City cooperated with Anoka County in their recent purchase of property
at 2701 4th Avenue, which is adjacent to, and potentially a part of, the
commuter rail station site. The property will also facilitate realignment of
Pierce Street at 4th Avenue.
. The City is in the process of modifying the City Council Tax Increment
Financing District to include the CRTV area, which establishes another
funding source for property acquisition. This modification will be
completed by May 16, 2005.
. The City has commenced discussions for possible purchase of several
properties in the CRTV including a non-conforming residence and two bulk
oil plants.
. The City has held several meetings with the owner of Lakeland Tool Inc. to
explore options for downsizing or relocation of this manufacturing facility
as part of the CR TV development plan.
. The City has established an understanding with Hoffman Enclosures Inc.
regarding their property on 6th Avenue in the CR TV whereby the company
agrees to hold their property for a reasonable period oftime and then make
it available for private redevelopment subject to the CRTV Master Plan.
. The City is working with the Anoka County Rail Authority in its research
regarding purchase ofthe commuter rail station site.
. The City is moving the pole yard that currently occupies the southerly
portion of the station site to another location in anticipation of station
development.
. The City continues to develop plans for the North Central Business District,
six blocks to the south ofthe CRTV, including planning for linkages
between the two areas.

XI. Next Steps
Project staff continues work on the material FT A will need to change the
project's rating from "Not Recommended" to "Recommended" and to approve
entry into the final design phase. The target date for submittal of the New Starts
Criteria and Financial Plan is May 13, 2005. Project staffwill communicate
with FTA Region V staff to set a meeting in late April or early May to discuss
this submittal, rating, and approval process in more detail.
Validation of preliminary engineering will be completed in May. This will
entail a written report of changes since the original completion of preliminary
engineering in 2001 and a package containing either confirmed drawings or
replacement drawings.
Project staffkeeps in contact with station cities and counties on design issues.
Recent coordination has been with Minneapolis and Hennepin County on the
LR T Connection and inter-modal station. The project takes advantage of public
information opportunities, giving presentations to civic groups and business
organizations.
