Receive and File the Capital Asset Sales Agreement with Great River Energy
BACKGROUND:
As part of the transition to Minnesota Municipal Power Association (MMPA), staff has worked
with Great River Energy(GRE) to identify and purchase metering and other equipment located
at the 8 substations that supply the ERMU distribution system.
DISCUSSION:
GRE no longer needs the metering or the structural facilities since we have transitioned to
MMPA. GRE will continue to own and operate much of the communication equipment at the
substations to allow for the continued use of the Supervisory Control and Data Acquisition
(SCADA) system services which ERMU contracts with GRE to provide.
The equipment being purchased is primarily revenue class meters, metering equipment, and
one small structure that houses metering and communications equipment. The purchase of the
metering assets will allow ERMU to operate independent metering that will provide a
secondary data source for verifying the monthly wholesale power bill. In addition ERMU will
receive real time access to substation data utilizing the SCADA system.The additional metering
will also provide for increased reliability and accuracy in billing for the rare occasions when
ERMU is asked to provide, or is need of, electricity in emergencies.
FINANCIAL IMPACT:
The funds for this capital asset purchase are covered in the Transformers and Meters Capital
Budget.The total purchase price for the metering assets and structure is$64,035.53.

AGREEMENT OF SALE
1. This Agre ment of Sale("Agreement")is made and entered into this 71-13 day of
March ,20/1 ("Effective Date")by and between Great River Energy,a Minnesota
cooperative corporation("GRE")and Elk River Municipal Utilities("ERMU"),a Minnesota
{
Municipal Utility. GRE and ERMU are sometimes referred to individually as a"Party"or
collectively as"Parties"to this Agreement.
2. The"Closing Date"of this sale shall be as mutually agreed by GRE and ERMU.
3. Effective as of the Closing Date,GRE agrees to sell,transfer and deliver;and ERMU agrees to
purchase and receive,metering equipment located in the following substations:North,Otsego,
Station 14 Bank 3,Station 14 Bank 4,Waco Bank 1,Waco Bank 2,West Bank 1,and West Bank
2.The metering equipment will be referred to herein as the"Personal Property"or"Metering
Equipment". The location of the Metering Equipment and a detailed list of the components and
equipment included in the sale transaction are included in the attached as Exhibits 2-10 and
include Maps and One-line Drawings for each of the Substations listed above.
4. On the Closing Date,ERMU shall pay to GRE$64,035.53 USD through a mutually agreeable
method of payment;and GRE shall deliver to ERMU a Bill of Sale in the form of Exhibit 1
attached to this Agreement.
5. On or prior to the Closing Date,GRE shall convey to ERMU(a)the most recent design and
engineering documentation related to the Metering Equipment included in Exhibits 2-9.
6. GRE warrants and represents that:
a. It is the sole owner and holder of the Personal Property being sold.
b. It has the right to sell transfer and deliver the Personal Property to ERMU.
7. The Personal Property is sold,transferred,delivered and accepted in an"AS IS""WHERE IS
condition.GRE makes no warranties or representations except for the written warranties and
representations set forth herein.GRE hereby expressly disclaims,and ERMU expressly waives,
any warranty or representation of any nature,oral or written,express or implied,statutory or
common law, including without limitation,that of merchantability or fitness for a particular
purpose.ERMU expressly acknowledges that ERMU has not relied on any representation or
statement provided by GRE except for such limited warranties as are provided in this Agreement.
ERMU further acknowledges that ERMU has or will thoroughly inspect the Metering Equipment,
observe the Metering Equipment's characteristics,and assess the suitability of the Metering
Equipment for ERMU's intended uses and purposes.By closing the transaction hereunder ERMU
agrees that,except for the limited warranties set forth in this Agreement: (i)ERMU shall be
deemed to have accepted all risk associated with any and all adverse physical conditions and
characteristics that may or may not be revealed during ERMU's investigation of the Metering
Equipment(ii)as between ERMU and GRE,ERMU shall be deemed to have accepted all costs
and liability associated in any way with the condition of the Metering Equipment;(iii)ERMU
hereby waives,releases and discharges GRE from any and all objections,setoffs,claims,or
causes of action(whether arising by statute or common law)concerning the physical
characteristics and existing conditions of the Metering Equipment,and(iv)upon closing,ERMU
assumes entirely all risks that any adverse matters may not have been revealed during ERMU's
investigation of the Metering Equipment and nonetheless waives,relinquishes and discharges
GRE from and against any and all claims,demands,causes of action,by reason of or arising from
any latent or patent defect or condition of the Metering Equipment.ERMU further acknowledges
and agrees that the waivers and releases contained in this paragraph are a material factor in

GRE's acceptance of the purchase price and that GRE is unwilling to sell the Metering
Equipment to ERMU unless GRE is provided such waivers and releases from ERMU.
8. In no event shall either Party be liable to the other under this Agreement for any indirect,special
or consequential damages,including but not limited to,loss of use,loss of revenue,loss of profit,
and/or cost of replacement power.
9. General.
a. This Agreement sets forth the entire agreement between the parties with respect to the
subject matter hereof and supersedes all previous written or oral agreements or
representations between the parties with respect hereto.No modification or waiver of any
provision of this Agreement shall be valid unless set forth in writing and signed by both
parties.
b. This Agreement shall be governed and construed in accordance with the laws of the State
of Minnesota,excluding conflicts of laws principles.
c. In the event that any portion of this Agreement is held to be invalid or unenforceable,the
invalid or unenforceable portion shall be construed in accordance with applicable law as
nearly as possible to reflect the original intentions of the parties as set forth herein and the
remainder of the Agreement shall remain in full force and effect.
d. GRE shall be entitled to retain all revenue earned from the Metering Equipment to and
including the Closing Date.

BILL OF SALE
FOR VALUABLE CONSIDERATION,the receipt and legal sufficiency of which is hereby
acknowledged,Great River Energy,a cooperative corporation organized and existing under the laws of
the State of Minnesota,hereinafter referred to as"GRE",does hereby sell,transfer,and deliver to Elk
River Municipal Utilities,a Minnesota Municipal Utility organized and existing under the laws of the
State of Minnesota,hereinafter referred to as"ERMU",all of GRE's right,title and interest in and to the
following personal property described on Exhibits 2-9 of the Agreement of Sale and located on the real
property also described on Exhibits 2-9 of the Agreement of Sale,hereinafter referred to as the"Personal
Property".
GRE hereby warrants and represents to ERMU that GRE is the owner and holder of the Personal
Property described on Exhibits 2-9 and that it has the right to sell,transfer and deliver said Personal
Property to ERMU and that it is free or,within a reasonable period of time following the date of this Bill
of Sale,will be made free of any and all liens or security interests.
THE PERSONAL PROPERTY COVERED BY THIS BILL OF SALE IS SOLD,
TRANSFERRED AND DELIVERED"AS IS-WHERE IS." GRE MAKES NO WARRANTIES,
EXPRESS OR IMPLIED,RELATING THERETO AND HEREBY EXPRESSLY DISCLAIMS ANY
WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
