Approve, by motion, contracts with the following vendors: Pro-Tec Design for keyless card door access
in the amount of $24,446.02 and Electronic Design Company for a full range audio system $93,552.79.
Background/Discussion
Consistent with the approved multipurpose facility and Lion John Weicht Park improvement projects, as the
owner, the city is responsible for procuring contracts for various items, most of which are on state and
federal joint purchasing contracts.
The joint purchasing contracts provide pricing at lower costs than the contractors typically get and as a tax-
exempt entity, the city does not pay state sales tax. Other items include information technology components,
furniture/concession equipment, SAC/WAC fees and dasher boards/flooring.
Financial Impact
These contracts are were approved by the City Council on 7/01/19 with the multipurpose facility and
Lion John Weight improvement project budget. They have been carried in the project budget as "Owner
Costs."

Standard Terms and Conditions
FINANCIAL
1. No provisions of this Proposal/Contract shall serve to void our rights under Mechanics' Lien Laws.
2. We do not accept back charges that have not been previously agreed to by us in writing.
3. Late payments of 60 days or more will bear interest at the standard prevailing commercial rate
4. Unless otherwise specified, you will be billed for 300/6 of the project total immediately after the receipt of an order. Prompt payment is required to order parts
and cover other costs associated with project start-up.
5. Progress billings will be Issued monthly and unless specified In a separate contract all payments are due net 30.
6. Nothing In this Proposal/Contract shall be construed to require us to continue performance of work if we do not receive llmely payment for properly performed
work and suitably stored materials.
7. We retain title to all equipment until Installation is complete and all payments due Pro -Tee Design have been paid in fug. We reserve the right to retake
possession of the same or any part thereof at your cost if default is made by you in any payment. If customer fails to follow the payment schedule(s) above or if
Pro-Tec Design anticipates Customer may be unable to perform hereunder, Pro-Tec Design may terminate this contract, defer, discontinue or suspend work, or
demand adequate assurance of Customer's performance. If a Customer's account must be placed with an attorney for collection, whether a lawsuit is filed or
otherwise, or if the services of an attorney are required to protect Pro -Tee Design's interest, Customer agrees to pay all collection costs, including reasonable
attorneys fees.
8. Alterations or modifications of the original quotation or specifications, including changes in quantity, material, design or other features, must be communicated
in writing by Customer to Pro -Tee Design and accepted by Pro -Tee Design in writing, it being understood any change may increase prices. Customer shall be
liable for an reimburse Pro-Tec Design for any and all work In process at the time of Pro-Tec Design's receipt of notice of changes.
SITE CONDITIONS AND WORK PERFORMANCE
9. We are not responsible for protection of our work in place.
10. We will dispose of debris created by our work Into Owner-fumished trash bins or container at the site.
11. You shall furnish and make available to us at the site reasonable storage and parking facilities, and convenient delivery access to our work.
12. You shall provide uncluttered and safe access for us to perform our work. The schedule of any other contractors Involved in this project shall be made in
consultation with us, and unless otherwise agreed to, shall provide time for us to perform our work on an 8-hour day, 40-hour week basis. This Proposal/Contract
does not include provision for our being required to perform overtime work for any reasons unless otherwise stated. An additional charge to the contract shall be
made for any mutually agreed upon overtime.
13. We are not responsible for delays or defaults that are occasioned by causes of any kind beyond our control, Including but not limited to delays or defaults of
Architects, the Owner, the Contractor, any Subcontractors, other third parties, civil disorders, labor disputes, and Acts of God. We shall be entitled to equitable
adjustment for delays caused by any Architect, Engineer, Contractor, or Owner.
14. If any drawings, Illustrations, or descriptive matter are furnished with this Proposal/Contract, they are approximate and submitted only to show the general
style, arrangement, and dimensions of equipment offered.
15. All work will be done during standard business hours, Monday through Friday unless otherwise noted.
WARRANTY
16. No liquidated damages will be due.
17. THERE ARE NO WARRANTIES THAT EXTEND BEYOND PRO-TEC DESIGN'S STATED SPECIFICATIONS. PRO-TEC SPECIFICALLY EXCLUDES
ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY FO MERCHANTIBILITY, IMPLIED WARRANTY OF FITNESS,
IMPLIED WARRANTY OF DESIGN. AND ALL OTHER IMPLIED WARRANTIES. Customer's sole remedy In any action at law based hereunder (other than an
action based on breach of warranty, which warranties are expressly excluded except as set forth herein) shall be limited to the repair or replacement of
nonconforming goods ore parts, or, at Pro -Teo Design's option, refund of the applicable quote. IN NO EVENT SHALL PRO-TEC DESIGN BE RESPONSIBLE
FOR ANY CONSEQUENTIAL ORE ECONOMIC DAMAGES OR LOSS, LOST PROFITS OR CONSEQUENTIALDAMAGES FOR PERSONAL INJURY.
CUSTOMER AGREES THAT THIS PROVISION IS CONSCIONABLE.
18. Pro -Tee Design will warranty the labor and materials covered under this quotation for one year from the date of first beneficial use of the system provided the
Owner is current in their payments to Pro -Tee Design, Inc. Accounts that are not current shall not receive warranty work until said accounts are made current.
Pro-Tec Design will respond during normal business hours Monday through Friday. Weekends, Holidays and after hours warranty support will be billable at
standard overtime rates. Warranty does not include replacement or repair of equipment damaged by Misuse, Negligence, Over or Under Voltage, or "Ads of
God" such as lightning or other weather related Incidents. Warranty only covers the repair or replacement of any parts supplied by Pro-Tec and any labor and
travel to and from the site to execute said repairs for one (1) year from the date the Owner has beneficial use of the system. No warranty Is extended to not In
contract (NIC) equipment. NIC equipment Is defined as any equipment not supplied by Pro -Teo or existing equipment that Is reused. The troubleshooting,
repair or replacement of NIC equipment will be provided by Pro-Tec at a time and materials basis.
19. Pro -Tee Design Is not an insurer of Customer's risks and exposures, Pro-Tec shall not be liable for any failure to perform under this Agreement due to any
"Act of God," "Force Mejeure," of another cause beyond Pro -Teo Design's control. Pro -Tee Design shall not be liable for any loss or damage caused In whole or
In part from negligence, fault, or wrongful act of Customer or of any third persons or parties. Services provided under this Agreement are for the sole benefit of
the Customer and no rights are, or may be, conferred on any other party as a third -party beneficiary, by transfer or assignment, or otherwise. Pro -Tee Design's
total liability Is limited to the contract price; as matter of law, this limitation does not apply to fraud, willful Injury, or willful violation of the law.
OTHER
20. This Proposal/Contract, including the provisions printed above and any specifications or other provisions attached hereto, when accepted by you and Pro -Tee
Design shall constitute the Contract between us, and all prior representations or agreements not incorporated herein are superseded. Any terms or conditions
contained In any Customer proposallcontract/purchase order are expressly rejected and shall not bind Pro-Tec Design or affect or Invalidate any terms contained
herein. Terms and conditions herein shall not be modified except upon Pro -Too Design's express written agreement.
21. This Proposel/Contract shall be Interpreted and governed by the laws of the Stale of Minnesota. Any disputes arising out of business conduced hereunder
shall be venued in the district court of the State of Minnesota. In case of dispute, the prevailing party shall be awarded reasonable attorney's fees.
22. The design and/or Intent of the items listed in this system specification Is considered intellectual property and owned by Pro-Tec Design and will not be
disclosed to any party other than those Intended by Pro -Tee Design. Disclosure of this designlintent will subject the discloser to Consultant Fees equivalent of
the above listed designibuild quotation.
23. Customer agrees that during the term of this contract and for two years following termination, they will not directly or indirectly solicit for hire nor contract for
services any employee who performs services hereunder without Pro -Too Design's written consent
24. This proposal and any documents associated with it supersede any prior verbal or written Information provided.

SCOPE OF WORK:
This is a revison of the previous quote adding speakers for the Lobby.
EDC will provide and install a new full range weatherproof audio system in the main ice rink called the
Premier Rink and the new Practice Rink. Speaker layout has been determined by a 3D EASE model based off
of room layout and acoustic properties of the room. EDC shall demo and re -install existing speakers in the
field house where deemed necessesary. New ice rinks shall have the capability to have a microphone input
plates and audio feed from main rack media player.
Both the Premier Rink and Practice Rink shall be controlled via an audio Digital Signal processor (DSP). Audio
levels, presets and source selection will be provided for user control via a touchpanel interface. Paging and
emergency mass notification messages through main P/A speakers will be available for the Premier Rink,
Practice Rink, Field House, Party rooms 104-105, and Senior Center.
EDC will provide and install the following in the Premier Rink:
(6) Weatherproof point -source speakers mounted to truss on the east side, equally spaced apart aimed at
the bleacher section.

RESPONSIBILITIES:
Electronic Design Company shall:
• Provide and install all equipment as designed.
• Provide and install all wire, except ground wire.
• Provide all final connections at system head -end.
• Perform check-out and testing of system being installed.
• Provide the owner with manuals and instruction.
• Provide One Year warranty on parts and labor.
City of Elk River or their Subcontractors shall:
• Provide and install all ground wire.
• Furnish electricity to head -end equipment as specified.
• Electrical service for operation of this system, as well as conduit and high voltage cable, is NOT included
in this quotation.
Electronic Design Company will not be responsible for lost time or delays due to other parties or failure to
gain access to work area. Unless other hours have been negotiated, all work will be completed during the
normal business hours of 7:00 am and 3:30 pm; with the exception of normal holidays. Scheduling is subject
to available personnel and product availability. Extra charges will be incurred by the customer if the project
needs to be completed sooner than what is stated in the contract.
TERMS & CONDITIONS:
Price is good for 30 days and includes applicable taxes. Price is F.O.B. job site. Terms are detailed on project
summary page.
The design and/or intent of the above listed system specification is owned by Electronic Design Company
and will not be disclosed to any party other than those intended by Electronic Design Company. Disclosure
of this design/intent will subject the proprietor to consultant fees equivalent of 10% of the above listed
design/build quotation. All materials guaranteed to be as specified. All work to be completed in a competent
manner according to standard practices. Any alteration or deviation written or verbal from the above
specifications involving extra costs will be executed, and will become an extra charge over and above the
quotation. All agreements are contingent upon strikes, accidents or delays beyond our control.

A. The general project description is contained in the attached document and related documents from herein
referred to as the "Proposal".
B. The specific work to be performed by Contractor is the installation of the specified system as outlined in the
Proposal.
C. The total amount to be paid by the Owner for the performance (subject to additions and deductions by
written change order) shall not exceed the total specified in the Proposal.
D. Payments will be made according to the payment schedule below. These times are subject to the timing of the
construction and the lead times required for the ordered equipment to be delivered.
E. Payment terms are dictated on the final invoice.
F. This Proposal expires 30 days following the date stated on the "Payment Options and Schedule" attachment of
this agreement. No work will be scheduled without initial payment (unless otherwise agreed upon) and a
signed copy of this agreement or a Purchased Order. All drawing and specifications are contingent on
agreement and retainer.
G. Labor pricing for Proposal represents all phases of project to be completed and may be adjusted should the
length of time between phases extend beyond a reasonable timeframe.
H. If job is of a retro-fit/remodel nature on an existing structure and scope of work exceeds time estimated to
complete because of unforeseen circumstances, Owner agrees that they will be back -charged at the current
EDC labor rate for all extra labor involved in completing thejob.
I All drawings and documentation are contingent on initial payment. Since preparing a proposal requires
system design & engineering by a professional Systems Integrator, only one version of the proposal will be
prepared without a retainer. If a second version is required or if project is for design & documentation only, a
minimum $400 design retainer will be collected. This design retainer will cover up to three additional designs
and proposals, as well as one block -diagram drawing of the system. For a $1000 design retainer, client will
receive up to three versions, one block diagram drawing, plus one basic cabinet audio placement and
specification drawing. The retainer covers design & engineering time and is non-refundable.
J. Contractor reserves the right to replace proposed models in the case of obsolescence, discontinuation or
unavailability with a comparable model of equal or greater value upon customer approval. Contractor will
not be held responsible or liable in any way for any said product's obsolescence, discontinuation or
unavailability.
1. Contract Documents and Details
The contract documents consist of this agreement, including all general provisions, special provisions,
specifications, drawings, addenda, change orders, written interpretations, and written orders for minor
changes in work. Work not covered by contract documents will not be required unless it is required by
reasonable inference as being necessary to produce the intended result. The costs associated with any related
work or materials, including, but not limited to electrical, drywall, painting, cabinets are not included unless
specifically documented in the proposal. Contractor is not responsible for any underground trenching or
laying or supplying of conduit for outside wiring.
2. Time
With respect to schedule completion of the tasks in section D, time is of the essence. If Contractor is delayed
at any time in the progress of the work by owner change orders, fire, labor disputes, acts of God or other
causes beyond Contractor's control, the completion schedule for the work or affected parts of the work shall
be extended by the same amount of the time caused by the delay.
3. Pavments and Completion
Payment schedule is per the definitions outlined in the "Payment Options and Schedule" attachment of this
agreement. Payments may not be with held under any circumstances. Any disputes due to legal claims will be
settled independently in good faith between parties. Final payment shall be due immediately following
completions of the project. Contractor will hold owner harmless with respect to claims of subcontractors and
suppliers.
4. Insurance
Contractor shall purchase and maintain such insurance necessary to protect from claims under workers
compensation and from any damage to the owners property resulting from the conduct of this contract.
5. Chanaes in the Contract
The owner may order changes, additions, or modifications without invalidating the contract. Such changes
must be in writing and signed by the owner. The contractor shall provide the owner in writing the amount of
additional costs or cost reductions resulting from changes ordered within 15 working days unless this
requirement is waived in writing by the owner. Change Orders shall be paid in full upon acceptance of
change and shall not alter the contract's payment schedule. In case of product unavailability or
discontinuation, contractor reserves the right to substitute equipment of equal or better quality with clients
approval. Contractor will be held blameless in case of product unavailability or discontinuation.
6. Warranty
Warranty period is defined in the Scope of Work document of this agreement.

After reviewing two quotes for the public announcement system far the multipurpose facility, I am recommending Electronic
Design Company be awarded the bid.
EDC was a higher quote; however, the design, quality of products used, and overall performance of their system will better
meet our needs.
• In the main rink, EDC's system has six speakers on each side and three speakers at each end, while the lower
quote only has five on each side and none on the ends.
• EDC's system includes twelve 12"speakers with horns over the ice, while the other quote only includes eight 6.5"
speakers with a smaller 6.5" horn.
• In the practice rink, EDC quoted eleven 12"speakers over the rink with six more hung across the bleachers,
while the other quote provides a total of seventeen smaller 6.5"speakers.
• While each company provides sub woofers for both rinks, Electronic Design Company uses 15"sub woofers in the
premier rink which gives a richer sound for a larger area.
