1. Award, by motion, the contract of Youth Athletic Complex (YAC) Toilet Building to Minnesota Wisconsin
Playground for amount of $326,918.
2. Award or reject, by motion, the contract of the Youth Athletic Complex Concessions Building Renovation
and Site Work to Ebert Construction for the amount of $295,020.
Background/Discussion
As part of the Active Elk River project, the athletic lighting and playground were completed in 2020. Remaining
funds will be used for the renovation of the concessions building, restroom building and a septic system.
The original plans were for a septic tank to replace the current one, but after plans moved forward it was found
the city is required to install a septic system as per building code requirements. The septic system will be coming
forward to City Council later. Soil borings, which could not be completed when the ground was frozen, are
required for this project.
The complete renovation of the existing YAC Concessions Building is required to meet MN Department of
Health requirements and regulations for food and beverage sales. To meet these requirements, the facility must
have hand washing and ware washing equipment, all food -grade finishes and counters, ventilation, and lighting
levels. To provide these new systems, the existing building will require a domestic water supply from an existing
tested well, a new septic system and new electrical service connection.
Six bids were received for the YAC Concessions Building and the lowest bid of $268,200 from Ebert Construction
was $100,000 more than the engineers estimate of $165,000. Staff discussed rebidding this project or breaking it
down into various components. As stated in the attached letter from SRF this bid opening indicates rising and
volatile material costs, and it is unlikely lower bid numbers would be received if this project was rebid. It is
recommended to proceed with this project to meet MN Department of Health requirements.
The toilet building for the YAC project is similarly designed and bid as a pre-engineered structure, like the Orono
toilet/shelter building, saving the city money over traditional field construction through a general contractor.
Unlike the Orono project which could begin this May, this project is slated to begin in early August after the
summer baseball season is completed.

Dear Mayor and Council Members:
Bids were received for the above -referenced project on March 24, 2021 and were opened and read
aloud. A total of six responsive bids were received. The Engineer's Estimate for base bid was
$165,000.00. The bid tabulation indicates the low bidder as Ebert Construction, Inc., Corcoran, MN,
in the amount of $268,200.00, substantially higher than the Engineer's Estimate. Discussion with
contractors following the bid opening indicated that rising and volatile material costs were the primary
driver of higher bids. Based on this feedback, it appears unlikely that lower bid numbers would be
received if the project were rebid.
We recommend that the City consider these bids and award the contract to Ebert Construction, based
on the results of the bids received.

STANDARD FORM OF AGREEMENT
THIS AGREEMENT is by and between City of Elk River ("Owner") and Ebert Construction ("Contractor"). Owner and
Contractor, in consideration of the mutual covenants hereinafter set forth, agree as follows:
ARTICLE 1— WORK
1.01 Contractor shall complete all Work as specified or indicated in the Contract Documents. The Work is generally
described as follows:
Renovation of an existing concessions building and associated site work. Also included is associated site work for a new
restroom building to be constructed by others.
ARTICLE 2 — THE PROJECT
2.01 The Project for which the Work under the Contract Documents maybe the whole or only a part is generally
described as follows:
Youth Athletic Complex Concessions Building Renovation and Site Work.
ARTICLE 3 — ENGINEER
3.01 The Project has been designed by SRF Consulting Group, Inc. (Engineer), who is to act as Owner's representative,
assume all duties and responsibilities, and have the rights and authority assigned to Engineer in the Contract
Documents in connection with the completion of the Work in accordance with the Contract Documents.
ARTICLE 4 — CONTRACT TIMES
4.1 Time of the Essence
A. All time limits for Milestones, if any, Substantial Completion, and completion and readiness for final payment as
stated in the Contract Documents are of the essence of the Contract.
4.2 Construction Start Time
A. No work shall start on the site until August 2, 2021.
4.3 Dates for Substantial Completion and Final Payment
A. All Work shall be substantially completed on or before Friday, October 29, 2021, and completed and ready for final
payment in accordance with Paragraph 14.07 of the General Conditions on or before Friday, November 12, 2021.
4.4 Liquidated Damages
A. Contractor and Owner recognize that time is of the essence of this Agreement and that Owner will suffer financial
loss if the Work is not completed within the times specified in Paragraph 4.02 above, plus any extensions thereof
allowed in accordance with Article 12 of the General Conditions. The parties also recognize the delays, expense,
and difficulties involved in proving in a legal or arbitration proceeding the actual loss suffered by Owner if the
Work is not completed on time. Accordingly, instead of requiring any such proof, Owner and Contractor agree that
as liquidated damages for delay (but not as a penalty), Contractor shall pay Owner a daily charge for each day that
expires after the time specified in Paragraph 4.02 for Milestones and/or Substantial Completion until the Work for
the Milestones and/or Substantial Completion is complete. After Substantial Completion, if Contractor shall
neglect, refuse, or fail to complete the remaining Work within the Contract Time or any proper extension thereof
granted by Owner, Contractor shall pay Owner daily charge for each day that expires after the time specified in
Paragraph 4.02 for completion and readiness for final payment until the Work is completed and ready for final
payment. The daily charges will be based on the original contract value, and will be in the amount shown in the
following table:

ARTICLE 5 — CONTRACT PRICE
5.1 Owner shall pay Contractor for completion of the Work in accordance with the Contract Documents an amount in
current funds equal to the sum of the amounts determined pursuant to Paragraphs 5.01.A below:
A. For all Unit Price Work, an amount equal to the sum of the established unit price for each separately identified
item of Unit Price Work times the estimated quantity of that item as indicated in Contractor's Bid, attached hereto
as an exhibit.
As provided in Paragraph 11.03 of the General Conditions, estimated quantities are not guaranteed, and
determinations of actual quantities and classifications are to be made by Engineer as provided in Paragraph 9.07 of
the General Conditions. Unit prices have been computed as provided in Paragraph 11.03 of the General Conditions.
ESTIMATED TOTAL OF ALL UNIT PRICE WORK
ARTICLE 6 — PAYMENT PROCEDURES
6.1 Submittal and Processing ofPayments

A. Contractor shall submit Applications for Payment in accordance with Article 14 of the General Conditions.
Applications for Payment will be processed by Engineer as provided in the General Conditions.
6.2 Progress Payments; Retainage
A. Owner shall make progress payments on account of the Contract Price on the basis of Contractor's Applications
for Payment on or about the 15'11 day of each month during performance of the Work as provided in Paragraphs
6.02.A.1 and 6.02.A.2 below. All such payments will be measured by the schedule of values established as
provided in Paragraph 2.07.A of the General Conditions (and in the case of Unit Price Work based on the number
of units completed) or, in the event there is no schedule of values, as provided in the General Requirements:
1. Subject to the provisions of SC-14.02, progress payments will be made in an amount equal to the percentage
indicated below but, in each case, less the aggregate of payments previously made and less such amounts as
Engineer may determine or Owner may withhold, including but not limited to liquidated damages, in
accordance with Paragraph 14.02 of the General Conditions:
a. Ninety-five percent (95%) of Work completed (withthe balance being retainage).

b. Ninety-five percent (95%) of cost of materials and equipment not incorporated in the Work (with the
balance being retainage).
2. Upon Substantial Completion, Owner shall pay an amount sufficient to increase total payments to Contractor
to 100 percent of the Work completed, less such amounts as Engineer shall determine in accordance with
Paragraph 14.02.B.5 of the General Conditions and less 150 percent of Engineer's estimate of the value of
Work to be accepted or corrected as shown on the tentative list of items to be completed or corrected attached
to the certificate of Substantial Completion.
6.3 Final Payment
A. Upon final completion and acceptance of the Work in accordance with Paragraph 14.07 of the General Conditions,
Owner shall pay the remainder of the Contract Price as recommended by Engineer as provided in said Paragraph
14.07.
ARTICLE 7 — INTEREST
7.01 Not used.
ARTICLE 8 — CONTRACTOR'S REPRESENTATIONS
8.1 In order to induce Owner to enter into this Agreement Contractor makes the following representations:
A. Contractor has examined and carefully studied the Contract Documents and the other related data identified in the
Bidding Documents.
B. Contractor has visited the Site and become familiar with and is satisfied as to the general, local, and Site conditions
that may affect cost, progress, and performance of the Work.
C. Contractor is familiar with and is satisfied as to all federal, state, and local Laws and Regulations that may affect
cost, progress, and performance of the Work.
D. Contractor has carefully studied all: (1) reports of explorations and tests of subsurface conditions at or contiguous
to the Site and all drawings of physical conditions in or relating to existing surface or subsurface structures at or
contiguous to the Site (except Underground Facilities) which have been identified in the Supplementary Conditions
as provided in Paragraph 4.02 of the General Conditions and (2) reports and drawings of a Hazardous
Environmental Condition, if any, at the Site which has been identified in the Supplementary Conditions as provided
in Paragraph 4.06 of the General Conditions.
E. Contractor has obtained and carefully studied (or assumes responsibility for doing so) all additional or
supplementary examinations, investigations, explorations, tests, studies, and data concerning conditions (surface,
subsurface, and Underground Facilities) at or contiguous to the Site which may affect cost, progress, or
performance of the Work or which relate to any aspect of the means, methods, techniques, sequences, and
procedures of construction to be employed by Contractor, including any specific means, methods, techniques,
sequences, and procedures of construction expressly required by the Bidding Documents, and safety precautions
and programs incident thereto.
F. Contractor does not consider that any further examinations, investigations, explorations, tests, studies, or data are
necessary for the performance of the Work at the Contract Price, within the Contract Times, and in accordance
with the other terms and conditions of the Contract Documents.
G. Contractor is aware of the general nature of work to be performed by Owner and others at the Site that relates to
the Work as indicated in the Contract Documents.

H. Contractor has correlated the information known to Contractor, information and observations obtained from visits
to the Site, reports and drawings identified in the Contract Documents, and all additional examinations,
investigations, explorations, tests, studies, and data with the Contract Documents.
I. Contractor has given Engineer written notice of all conflicts, errors, ambiguities, or discrepancies that Contractor
has discovered in the Contract Documents, and the written resolution thereof by Engineer is acceptable to
Contractor.
J. The Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions
for performance and furnishing of the Work.
ARTICLE 9 — CONTRACT DOCUMENTS
9.1 Contents
A. The Contract Documents consist of the following:
1. This Agreement (pages 1 to 6 inclusive).
2. Construction Performance Bond (Document 00 61 11).
3. Construction Payment Bond (Document 00 6113).
4. General Conditions (pages 1 to 54, inclusive).
5. Supplementary Conditions (Document 00 73 00).
6. Specifications as listed inthe table of contents of the Project Manual.
7. Drawings consisting of 24 sheets with each sheet bearing the following general title: Youth Athletic
Complex Concession Building Renovation and Site Work
8. Addenda (numbers 1 to 2, inclusive).
9. Exhibits to this Agreement (enumerated as follows):
a. Contractor's Bid (pages 1 to 3, inclusive).
b. Documentation submitted by Contractor prior to Notice ofAward (pages to , inclusive).
C.
10. The following which may be delivered or issued on or after the Effective Date of the Agreement and are not
attached hereto:
a. Notice to Proceed (pages to inclusive).

B. The documents listed in Paragraph 9.01.A are attached to this Agreement (except as expressly noted otherwise
above).
C. There are no Contract Documents other than those listed above in this Article 9.

General Conditions.
ARTICLE 10 —MISCELLANEOUS
10.1 Terms
A. Terms used in this Agreement will have the meanings stated in the General Conditions and the Supplementary
Conditions.
10.2 Assignment of Contract
A. No assignment by a party hereto of any rights under or interests in the Contract will be binding on another party
hereto without the written consent of the party sought to be bound; and, specifically but without limitation, moneys
that may become due and moneys that are due may not be assigned without such consent (except to the extent that
the effect of this restriction may be limited by law), and unless specifically stated to the contrary in any written
consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility
under the Contract Documents.
10.3 Successors andAssigns
A. Owner and Contractor each binds itself, its partners, successors, assigns, and legal representatives to the other
party hereto, its partners, successors, assigns, and legal representatives in respect to all covenants, agreements, and
obligations contained in the Contract Documents.
10.4 Severability
A. Any provision or part of the Contract Documents held to be void or unenforceable under any Law or Regulation
shall be deemed stricken, and all remaining provisions shall continue to be valid and binding upon Owner and
Contractor, who agree that the Contract Documents shall be reformed to replace such stricken provision or part
thereof with a valid and enforceable provision that comes as close as possible to expressing the intention of the
stricken provision.

IN WITNESS WHEREOF, Owner and Contractor have signed this Agreement in triplicate. One counterpart each has been
delivered to Owner, Engineer and Contractor. All portions of the Contract Documents have been signed or identified by Owner
and Contractor or on their behalf.

Indemnification; Owner/Owner's Representative will indemnify and hold Minnesota Playground, Inc., dba, Minnesota Wisconsin Playground (MWP),
harmless for all claims, damages and related costs, including reasonable legal fees and costs, arising out of Owner/Owner's Representative's
negligence or noncompliance with any of its commitments under this document. MWP will indemnify and hold Owner/Owner's Representative
harmless for all claims, damages and related costs, including reasonable legal fees and costs, arising out of MWP's negligence or noncompliance
with any of its commitments under this document.
Pricing: f.o.b. factory, firm for 30 days from date of quotation. A tax-exempt certificate is needed at time of order entry for all orders whether from
tax -supported government agencies or not. Sales tax, if applicable, will be added at time of invoice unless a tax exempt certificate is provided at
time of order entry.
Payment terms: 1/2 of the install will be invoiced upon the structure being erected and the galance net 30 days provided your account is current and
in good standing. A 1.5% per month finance charge will be imposed on all past due accounts. Equipment shall be invoiced separately from other
services and shall be payable in advance of those services and project completion. Retainage not accepted.
Unless already on file, please include a tax exempt certificate upon order entry whether a tax supported government agency or other.
Freight charges: Prepaid & added
2020 and 2021 Projects: Installations, whether for play equipment or other products of our scope as well as the related services thay may be
included with your project, typically start up in April or May based on weather conditions, road restrictions, etc. Based on the issues being
experienced within our own country, and worldwide, the start of a typical installation year may be jeopardized. Every effort will be made to work with
your project time frame but the various shutdowns will have an effect on work performance throughout the year, not just starting up. Please

Project Scope
Please note, installation is based on site being ready prior to our arrival to install play equipment as well as site conditions that have been conveyed
to our organization by the owner/owner's representative and/or ideal conditions existing for a timely completion of your project as quoted. Unless
addressed prior to the installation quote being issued or specifically mentioned herein, any issues that arise that impede the progress/completion of
your project as quoted will result in additional charges.
Weather can change project scheduling in many ways. Take rain for an example. Day, or days, before rain... If weather forecasts show a high
percentage chance for rain that will effect the site conditions, a postponement may be in order. Digging holes, laying certain surfacing materials,
etc., are greatly affected by weather conditions and work may not begin/continue due to weather forecasts. There's the rain days themselves, which
if heavy enough rainfall occurs, makes a site unworkable. Day, or days, after rain... Drying time will be needed after rain and the number of days
needed will vary depending on amount of moisture received. One actual rain day may equal multiple delay days depending on work scheduled to
be done.

• 8' eave height, 3:12 roof pitch, designed for a standard 30 PSF live load & 90 MPH wind speed
• Kiln dried cedar, double T&G, nominal 4" x 8" exterior walls
• Powder coated steel columns
• Zinc plated fasteners, powder coated steel plates
• Roof decking shall consist of 2" x 6" nominal #1 SYP single T&G with a V-joint
• 2" x 8" cedar fascia
• Metal exterior doors, hardware included
• Interior walls are 2" x 4" site built construction with FRP panels in restroom area
• 1" x 4" S4S cedar trim & prebuilt, louvered red cedar vents

This quotation is subject to current Minnesota/Wisconsin Playground (MWP) policies as well as the following terms and conditions. Our quotation is
based on shipment of all items at one time to a single destination, unless noted, and changes are subject to price adjustment. Purchases in excess
of $1,000.00 to be supported by your written purchase order made out to Minnesota/Wisconsin Playground.
Each quote is handled on a per order/project basis. Unless a long-term agreement is in place between purchaser and MWP, terms and conditions
of this quotation shall be as outlined herein with no other requirements applicable.
Indemnification; Owner/Owner's Representative will indemnify and hold Minnesota Playground, Inc., dba, Minnesota Wisconsin Playground (MWP),
harmless for all claims, damages and related costs, including reasonable legal fees and costs, arising out of Owner/Owner's Representative's
negligence or noncompliance with any of its commitments under this document. MWP will indemnify and hold Owner/Owner's Representative
harmless for all claims, damages and related costs, including reasonable legal fees and costs, arising out of MWP's negligence or noncompliance
with any of its commitments under this document.
Pricing: f.o.b. factory, firm for 15 days from date of quotation. A tax-exempt certificate is needed at time of order entry for all orders whether from
tax -supported government agencies or not. Sales tax, if applicable, will be added at time of invoice unless a tax exempt certificate is provided at
time of order entry.
Unless already on file, please include a tax exempt certificate upon order entry whether a tax supported government agency or other.
Cedar Forest Products Shipment: order shall ship within (OPTION A for WOOD - eight to ten weeks) (OPTION B for METAL - ten to twelve
weeks after MWP's receipt and acceptance of your purchase order, color selections, preparation/creation of "stamped" drawings, if required,
approved submittals and receipt of deposit/full payment, if required. Receipt of anything other than what is stated herein will not constitute an order
and therefore no materials will be placed into production nor installation, if required, will be scheduled.
Freight charges: Prepaid & added
