Background/Discussion Staff has been working with Cargill to negotiate a donation of land in exchange for the extension of 1681h Circle and the associated utilities down to 1651h Avenue. The attached agreement outlines this process and will provide the city with approximately 30 acres of developable Business Park land for future development. The final number and size of the buildable lots will be determined during the platting and design process. The city will install the roadway and utility extensions using multiple city funds and recoup those costs through the sale of the industrial land. The development costs are estimated at $2.75 million. Staff solicited bids for preparation of the required surveying, engineering, and design services. After reviewing the proposals, staff recommends Hakanson Anderson. The initial design services are approximately $47,400 and the construction services are estimated at $71,300. Engineering and surveying will begin later this week and are expected to take two to three months. This will include Council approval of the preliminary and final plat. Financial Impact A combination of city funds will be used to pay for this project. These include the city's development fund, street reserve fund, and trunk utility fund. M TUREJ Updated.• August 2020 UTILITIES AND ROADWAY AGREEMENT THIS UTILITIES AND ROADWAY AGREEMENT ("Agreement") is made this day of , 2021, by and between CARGILL, INCORPORATED ("Cargill"), a Delaware corporation with its principal place of business in Wayzata, Minnesota, and THE CITY OF ELK RIVER ("the City"), a municipal corporation organized under the laws of Minnesota. RECITALS WHEREAS, Cargill operates an agricultural research facility, known as the Cargill Innovation Campus ("CIC"), on approximately 950 acres in the City, which acres are zoned Agricultural Research ("the Cargill Property"); and WHEREAS, the CIC consists of laboratories, feed processing plants, animal housing and containment units, offices and other facilities for conducting beef, dairy, swine, preservative and other types of animal, nutrition and agricultural research, and also includes as part of the CIC operations, among other things, tilled fields, pasture land, storage areas, Land Trust, buffer zones, and other ancillary areas and uses supporting the development of improved technology in animal nutrition, nutrient utilization, and livestock management (collectively, "Cargill's Operations"); and WHEREAS, Cargill has operated the CIC in the City since 1958, and intends to continue operating the CIC for purposes of Cargill's Operations including conducting animal, nutrition and agricultural research; and WHEREAS, Cargill desires to have the City utilities extended south to 165 h Avenue so that some of the CIC facilities can be served by the City utilities; and WHEREAS, the City desires to extend 168 h Circle south to 165 h Avenue to improve traffic flow in this area of the City. NOW, THEREFORE, in consideration of the mutual covenants and obligations set forth herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: AGREEMENT 1. The City and Cargill will jointly plat the properties described on Exhibit A attached hereto ("PID 75-011-4100" and "PID 75-011-4400", collectively, the "Property"). The City will bear all costs related to the plat, including all surveying, engineering and related costs. 2. The plat will dedicate 100 feet of right-of-way along the westerly edge of PID 75- 011-4400 for roadway and utility purposes. Dedication of this portion of PID 75-011-4400 will be at no cost to the City. 3. Cargill will retain ownership of the portion of PID 75-011-4400 not dedicated for roadway and utility purposes. 4. Cargill will transfer PID 75-011-4100 to the City contemporaneously with approval and recording of the plat. The City will prepare, and Cargill will approve, the deed to effect this transfer, and the City will bear all costs to record the deed and complete the transfer. 5. As consideration for Cargill's transfer of PID 75-011-4100 and dedication of a portion of PID 75-011-4400 to the City, the City recognizes Cargill's desire and intent to use indefinitely the Cargill Property for agricultural purposes, including but not limited to animal nutrition and agricultural research and other activities integral to or supporting the CIC, and represents that it is not the City's intent to: a. Impose any zoning or other land use regulations inconsistent with this Agreement or amend the current zoning designations for the Cargill Property; b. Prevent, eliminate, or interfere with Cargill's use of the Cargill Property in any way, except as reasonably necessary to enforce the City's ordinances, regulations, and requirements and such other laws and regulations as the City is obligated to enforce; C. Extend the City's Urban Services Area or otherwise promote urban development of any areas within the Cargill Property; or d. Condemn any portion of the Cargill Property, except as necessary for public improvement projects designed primarily to serve other properties; or e. Extend public utilities and/or roadways under or across the CIC, except as described herein. 6. The City shall take title to the Property in an "as -is", "where -is", "with all faults accepted" condition. CARGILL DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROPERTY, INCLUDING, BUT NOT LIMITED TO, ITS PHYSICAL OR ENVIRONMENTAL CONDITION, AND MAKES NO WARRANTY OF MERCHANTABILITY OR FITNESS OF THE PROPERTY FOR ANY PARTICULAR PURPOSE EXPRESS OR IMPLIED. 7. The City will construct a roadway connecting 168 h Circle to 165 h Avenue, along with utilities and associated public improvements, through PID 75-011-4100 and within the dedicated area on the western edge of PID 75-011-4400. Installation of the roadway and extension of utilities to 165 h Avenue will be at no cost to Cargill. The City will complete the roadway improvements connecting 168 h Circle to 165 h Avenue no later than Dec 1, 2022. 8. The City will complete extension of water and sewer utilities to 165 h Avenue and east along 165 h Ave within the boundary of PID 75-012-3300 so that Cargill can connect to utilities along 165 h Avenue any time after July 1, 2022. 9. Upon transfer of PID 75-011-4100 to the City, the City will be allowed to subdivide, sell and develop PID 75-011-4100 as the City determines, subject only to the following: a. The City agrees that no future use of property within PID 75-011-4100 can be animal related unless Cargill agrees, in writing, to the proposed use. All deeds 2 conveying property within PID 75-011-4100 to third parties shall include notice of this use restriction. b. Cargill is granted a right of entry to plant and harvest crops on PID 75-011- 4100 during the 2021 season. C. Cargill will be allowed to plant and harvest crops in future years on those portions of PID 75-011-4100 which the City has not sold or commenced development of. Upon the sale of PID 75-011-4100 or any portion thereof, this right, including the right to harvest planted crops, will expire as to that portion. The City will provide Cargill with 30 days' written notice of a prospective sale. MISCELLANEOUS 10. If any dispute arises among the parties with respect to any of the provisions of this Agreement, the parties agree to enter in the first instance into non -binding mediation to attempt to resolve the same before a mediator mutually agreed to by the parties. The cost of such mediation will be divided evenly between the parties. If mediation is not successful in arriving at an agreement as to how to resolve any such dispute, then the parties, or either of them, may pursue whatever legal rights and remedies which may exist with respect to enforcement of this Agreement. 11. The parties have reviewed this Agreement, and the rule of construction to the effect that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement. 14. Each of the parties acknowledges and represents that it has been represented by competent counsel of its own choosing during the negotiation and execution of the Agreement. Each party further represents and declares that in executing this Agreement it 3 has relied solely upon its own judgement, belief and knowledge, and the advice and recommendation of its own counsel. Each parry further acknowledges that it has not been influenced to any extent whatsoever in executing this Agreement by any representations or statements made by the other party or its counsel, except those expressly contained herein. 15. This Agreement shall be binding upon and shall inure to the benefit of the successors and assigns of the parties hereto. This Agreement, however, is intended solely for the benefit of the parties hereto, and their successors and assigns, and it does not confer any rights or privileges on any party, nor shall any other person or entity other than the parties hereto or their successors or assigns have any right to enforce this Agreement. 16. The parties acknowledge and agree that all terms and conditions of this Agreement are integral to the purposes of this Agreement and to the parties' intent in entering into it, and therefore, if any term or condition or any part of this Agreement is determined to be null and void or otherwise unenforceable by a court of competent jurisdiction, then this entire Agreement shall terminate and no longer be of any force or effect. 17. This Agreement shall be governed by and construed and enforced in accordance with the laws of the State of Minnesota. 18. This Agreement may be executed in counterparts, each of which shall be deemed to be one and the same instrument. Our Project Understanding, Proposed Scope of Services, Project Schedule, Project Team, and Proposed Fee for this project are described below. PROJECT UNDERSTANDING The project consists of the platting of parcel 75-011-4100 into three buildable lots plus one Outlot and the platting of parcel 75-011-4400 into an Outlot which will be reserved for future development. It will be necessary to extend 168th Circle NW from its current cul-de-sac to the southeast to provide a connection to 165th Avenue NW. Intersection improvements are proposed at the intersection of 165th Avenue NW and the new City Street to provide turn lanes to allow safe access to the development. The project limits are depicted below in Figure 1. Figure 1. Approximate Project Limits Mr. Justin Femrite, Public Works Director March 11, 2021 Page 2 PROPOSED SCOPE OF SERVICES The services provided by Hakanson Anderson (HAI) will include preliminary plat, final plat, field reconnaissance, site surveys, design development, preparation of construction plans and specifications, bidding, construction staking, construction observation, and construction administration. Plans shall meet all current road design and CEAM specifications and will be in conformance with the City of Elk River standards. Our proposed services are further defined below. PROJECT INITIATION AND FIELD RECONNAISSANCE HAI will perform a field reconnaissance of the project area to review the site conditions and determine areas that are critical to the project survey and design. Locations of existing major utilities that are visible from the surface will be reviewed such that early coordination with the utility companies can be accomplished. All available background data, such as as -built plans, reports prepared by others, and other pertinent data, will be reviewed. Estimated Cost: $800 TOPOGRAPHIC SURVEYING SERVICES Surveying services will include field collection and processing of topographic and survey control within the project limits. Prior to beginning the field work, a Gopher State One Call locate request will be called in so that existing utility data can be located. All data will be collected with a robotic total station or GPS receiver and will be accurate to + 0.05 foot. Estimated Cost: $6,400 PRELINHNARY PLAT HAI will conduct a boundary survey of parcels 75-011-4100 and 75-011-4400 as necessary to accurately depict the boundary on the preliminary and final plats. Additionally, HAI will order title work for the parcels so that any easements and/or encumbrances can be investigated and later depicted upon the Preliminary Plat. Existing right-of-way will be computed and depicted in the construction drawings. Adjacent property monuments will be investigated and surveyed if present. HAI will prepare the necessary Preliminary Plat, which will depict the proposed subdivision layout. We will coordinate our proposed lot layout to be based similar to the Concept Plan provided, which will consist of an approximate 9-acre lot, an 8-acre lot, and a 10-acre lot plus two Outlots. Existing features, such as wetland boundaries, roads, sewer utilities, water utilities, culverts, and other items as outlined in the City of Elk River's subdivision ordinance will be depicted on the Preliminary Plat. The draft Preliminary Plat will be submitted to City staff for review and input prior to it being submitted to the City for planning commission and council action. Upon preliminary review from City staff, the Preliminary Plat will be submitted to the City for review and approval and accompanied by the other necessary documents. The Preliminary Plat will be included as a submittal item. Estimated Cost: $3,600 PRELINHNARY ENGINEERING SERVICES HAI will prepare the preliminary engineering documents required for the preliminary plat application. Specifically, we will prepare a preliminary grading plan, a preliminary street plan, and a preliminary utility plan. We will provide site improvement details such as preliminary pavement typical section, preliminary stormwater details, storm sewer details, pedestrian access routes, etc. We will also prepare a preliminary hydrologic stormwater model and determine the size and proposed grading or locations of necessary stormwater BMPs. Our stormwater design will include determining pre -project vs. post -project runoff rates for the 2-year, 10-year, and 100-year design storms as required by the City of Elk River. We will also consider the volume control requirements of the jurisdictional agencies and propose stormwater BMPs as appropriate. Our stormwater design will be summarized in a Preliminary Stormwater Management Plan and will be submitted to the City as a submittal item. Additionally, we will prepare a preliminary Turn Lane design for the intersection of 1651h Avenue NW and the new City Street proposed constructed with this development. Deliverables: Our deliverables will be Preliminary Civil Construction Plans consisting of: Title Sheet, Details, Preliminary Grading Plan, Preliminary Street Plan, Preliminary Utility Plan, Preliminary Turn Lane Plan, and Preliminary Stormwater Management Plan. Estimated Cost: $8,000 WETLAND DELINEATION / WETLAND REVIEW HAI will field delineate the wetlands (if any are present) and collect the points so that the boundary can be accurately depicted on the Preliminary Plat and Construction Plans. We will prepare a Wetland Delineation Report and submit it to the LGU for review and approval. If necessary, HAI will attend the Technical Evaluation Panel meeting for concurrence of the wetland boundary and type. No wetland impacts have been considered in this proposal. We assume that any review fees will be paid by the Applicant or may be paid by HAI as a reimbursable expense at an additional cost. Deliverables: Wetland Delineation Report prepared by a certified wetland delineator. Woods limits will be defined such that wooded areas can be depicted on the Preliminary Plat and Construction Plans. It is assumed that a tree survey is not required by the review agencies. UTILITY COORDINATION MEETING HAI will conduct a utility coordination meeting with the affected utility owners to provide advance warning of the proposed project and allow ample time to coordinate installation of new private utilites to serve the development and relocation of utilities, if necessary. HAI will consider utility owners requests and incorporate them into the project design if appropriate. Estimated Cost: $600 DESIGN DEVELOPMENT HAI will develop the detailed design for the project and determine final horizontal and vertical alignments, necessary pavement and lane configurations, proposed grading, and necessary drainage improvements. 31) modeling of the proposed improvements will be prepared so that detailed earthwork calculations can be generated from the existing and proposed surfaces. Estimated Cost: $6, 000 FINAL PLAT HAI will prepare the necessary Final Plat document, which must be filed after City approval at the County Recorder's office by others. HAI will incorporate all necessary easements and will submit the Final Plat to the City and Sherburne County for review and approval. Upon preliminary approval from the City, HAI will work with the County Surveyor for review of the final plat, make technical changes as required, and coordinate the preparation of the mylar copies for recording. We assume others will do the actual gathering of signatures and recording of the plat. Other significant expenses will include the City fees and escrows, a current Title Commitment for the property, and the County Surveyors plat checking fee plus the cost of the mylar recording copies. These costs are not included in this proposal, but can be paid by HAI and invoiced as a reimbursable service upon the request of the Owner. Construction Plans will consist of: title sheet, estimated quantities, typical sections, construction notes, details, tabulations, removals, construction plan sheets, profile sheets, intersection details, striping and signing plans, and traffic control plans. All plans will be in AutoCAD format. The Construction Plans will be prepared in accordance with City standards and will be suitable for public bidding. HAI will also provide a detailed engineer's estimate for the project. The estimated items will conform to the MnDOT Standard Specification for Construction, 2018 Edition. Deliverables: HAI will provide hard and electronic copies of the Construction Plans and Engineer's Estimate. Estimated Cost: $8, 000 SWPPP PREPARATION HAI will prepare the necessary Stormwater Pollution Prevention Plan (SWPPP) and will include it in our civil plans for use by the Contractor. Deliverables: HAI will provide a SWPPP for the Contractor's use. Estimated Cost: $1,200 PERMIT APPLICATIONS HAI will prepare the MPCA permit application for the sanitary sewer extension and the MDH permit application for the watermain extension. It is assumed that the City of Elk River will pay the applicable permit review fees. Deliverables: Completed MPCA Sanitary Sewer extension permit application and MDH Watermain Extension permit application. Estimated Cost: $1,000 PROJECT MANUAL HAI will prepare the Project Manual for the project. The Project Manual will include the technical specifications, general conditions of the contract, special conditions of the contract, sample performance and payment bonds, the standard form of agreement, responsible contractor certifications, and other pertinent items for the project. Deliverables: Complete Project Manual suitable for public bidding of the project. Estimated Cost: $4,400 Hakanson ■■ Anderson Mr. Justin Femrite, Public Works Director March 11, 2021 Page 6 BIDDING During the bidding phase, we will answer questions from interested Contractors, clarify the plans and specifications, and issue addendums as necessary. We will also attend the bid opening or coordinate an online bid opening, tabulate the bids, and review the bids for any errors or omissions. Upon determination of an apparent low bidder, we will perform investigations as necessary to determine the Contractor's ability to perform the work and provide a recommendation of award to the City. Deliverables: Bid Tabulation and Recommendation for Award of a Construction Contract. Estimated Cost: $1,600 CONSTRUCTION STAKING This phase consists of staking the proposed improvements during construction. It is assumed that construction staking will be necessary for: silt fence, removals, rough grading, storm sewer, sanitary sewer, watermain, curb and gutter, blue -topping of gravel and/or centerline finished grade stakes. Our estimated cost includes one set of stakes, however, re -staking can be provided at an additional cost. Estimated Cost: $18,500 CONSTRUCTION OBSERVATION AND ADMINISTRATION This phase consists of observing the construction to ensure that all work conforms to the approved plans and specifications. The Project Manager will be available for clarifications or for interpretation of the plans and specifications and will make weekly site visits. We will record actual quantities of work and evaluate change order requests, if necessary. We will also prepare Pay Applications and other pertinent items in administering the construction contract. It is proposed that no more than eight weeks be allowed for the construction of the project. Estimated Cost: $49,300 RECORD DRAWINGS Upon completion of the construction project, HAI will assemble pertinent data as necessary to prepare the "as -built" or record drawings. The record drawings will reflect any changes between the "design plans" and the "as -built" condition. Deliverables: Record Drawings in .pdf and AutoCAD format. When additional meeting attendance is requested (i.e., Planning Commission, City Council) our time will be invoiced at our standard hourly rates as an additional service. Shane is a Vice President of the firm and brings over 21 years of experience in street and utility construction to the team. Shane has designed and managed over 80 miles of newly constructed and reconstructed streets. Shane will be the day-to-day contact for the project and will be involved in all aspects of the project. He will lead the team and track progress on a daily basis to ensure that the project remains on schedule. He will attend all meetings with the City, coordinate activities, closely manage all work, and ensure that all responsibilities and services of the contract and deliverables are completed on time and within budget. Craig is a Principal of Hakanson Anderson with over 30 years of experience in civil infrastructure projects. Craig has extensive experience in managing large infrastructure projects, determining critical paths for schedules, and excels in effective communication to ensure that projects are run smoothly and that all deliverables are prepared to the highest quality. He will review the construction plans and specifications in accordance with our established Quality Manual. Timothy Eggerichs, P.E., is proposed to be the Lead Design Engineer. Tim is a senior design engineer with Hakanson Anderson and his focus has been on development of plans and specifications for street projects and comprehensive water resource engineering. Tim has successfully designed and managed numerous civil engineering projects including Municipal State Aid streets. He has successfully completed City Infrastructure projects for the cities of Coon Rapids, East Bethel, Anoka, St. Michael, Ramsey, Elk River, and Otsego. Brian Person, R.L.S., is proposed to be the Registered Land Surveyor. Brian has 18 years of experience in land surveying and is our Director of Survey Services. His projects range from individual lot surveys to large complex right-of-way acquisition projects for roadway and utility construction. He has experience in construction surveying, boundary and topographic surveying, right-of-way acquisition and mapping, writing and researching property descriptions, and commercial and residential building staking. Seth Monroe is proposed to be the Survey Project Manager. Seth has over 17 years of experience in the surveying and GIS fields. He has extensive experience in the areas of writing and interpreting complex property and easement descriptions, drafting of Site and ALTA/NSPS Land Title Surveys, preparation of preliminary plats, preparation of final plats, construction layout/staking, and GIS database management. Kaci Fisher is proposed to be the Environmental Specialist. With a masters in Environmental Science, Kaci has experience in the review of wetland delineations, wetland hydrology studies, and replacement plans. She works with local, state, and federal authorities and applicants on complex issues to resolve differences on technical issues relating to wetland and other environmental regulations. She is proficient in performing tree inventories and surveys and wetland mitigation plans. The Proposed Services with a defined scope include: Project Initiation and Field Reconnaissance, Topographic Surveying Services, Preliminary Plat, Preliminary Engineering Services, Wetland Delineation, Design Development, Final Plat, Preparation of Construction Plans, Utility Coordination, SWPPP Preparation, Permit Applications, Project Manual, and Meetings as discussed herein and we would propose to provide said "Design Services" as described herein for a fixed fee of $47,400. The fixed fee is based on: 1. Additional revisions and resubmission of specific material as required by the Owner/Developer and/or its representative or multiple revisions to address City comments will be considered additional services, with the exception of omission or errors made by HAI. 2. Additional services, when approved, will be invoiced at our standard hourly rates, or on a negotiated lump sum basis. Invoices for the fixed fee portion of this project will be prepared upon the following schedule: ➢ Upon delivery of the Wetland Delineation, Topographic and Boundary Survey, Preliminary Plat, and Preliminary Engineering Plans, $21,000 will be invoiced. ➢ Upon delivery of Design Development, Final Plat, Preparation of Construction Plans, Grading Plans, Stormwater Management Plan, Storm Water Pollution Prevention Plan, Project Manual and Final Plat, $26,400 will be invoiced. The preferred method of billing for "On Demand" services that are proposed to be provided during the Construction Period is the Hourly, Not -to -Exceed method. The "On Demand" services are defined as Bidding, Construction Staking, Construction Administration, Construction Observation, and Record Drawings. The estimated fee for "On Demand" services as discussed herein is $71,300. Invoices for "On Demand" services will be prepared upon the following schedule: ➢ Invoices will be prepared on a monthly basis for on demand services during the Construction Period. Invoices will be prepared monthly upon delivery of service for Bidding, Construction Staking, Construction Observation, and Construction Administration, and preparation of Record Drawings and will be invoiced in accordance with our 2021 Hourly Rates. Therefore, the total Not -to Exceed value of this proposal for all services proposed to be provided by HAI as discussed herein is $118,700. We will assist the City in determining soil boring and core locations and will coordinate with the geotechnical firm. Right-of-way acquisition services are not included in this proposal. If requested, we can provide right- of-way acquisition as an additional service. GEOTECHNICAL EXPLORATION A geotechnical exploration is not included in this proposal but will be necessary for determining the pavement section as well as for the stormwater design. It is assumed that the Owner will contract this work directly. At a minimum, the geotechnical exploration shall consist of soil borings in the locations of the proposed building, streets and parking areas, as well as in the locations of any proposed stormwater BMPs. Coordination with LANDSCAPE SERVICES A Landscape Plan is not included in this proposal.
