&~ ORDINANCE PROVIDING FOR THE REGULATION AND
LICENSING OF CONVERSATION PARLORS AND THEREBY
AMENDING THE MUNICIPAL CODE BY ADDING CHAPTER 20
The City Council of the City of Elk River does ordain as follows:
Section 1.
The Municipal Code of the City of Elk River is hereby amended by adding
thereto the following chapter:
Chapter 20
CONVERSATION PARLORS
20.01 Definitions. As used in this chapter the terms defined 1n this section shall
have the meanings ascribed to them:
(a) "Conversation Parlor" means an establishment advertising, offering or
selling the service of, engaging in or listening to conversation, talk
or discussion between an employee of the establishment and a customer,
regardless of whether other goods or services are also simultaneously
advertised, offered or sold, and regardless of whether those other goods
or services are also required to be licensed.
(b) "Conversation Parlor" shall not include bona fide legal, medical,
psychiatric, psychological, or counseling services by a person or firm
appropriately licensed; or bona fide educational or other governmental
institutions; or panels; seminars or other similar services offered by
such institutions; or churches or synagogues.
(c) "Sanitary" shall mean free from the vegetative cells of pathogenic micro-
organisms.
(d) "Adequate" or "approvedll shall mean acceptable to the Chief Building
Inspector or his agents following his determination as to conformance
with public health practices and standards.
20.02 License Required. It shall be unlawful for any person, firm or corporation to
engage in the business of operating a conversation parlor either exclusively or in
connection with any other business enterprise without being licensed as provided in
this chapter. A separate license must be obtained for each place of business. Licenses
are not transferable. No more than three (3) business licenses issued hereunder may
be in force at anyone time.
20.03 License Application. The initial application for a license provided in this
chapter shall be made to the City Clerk by filing the annual license fee and by
completing an application form or forms as provided by the City Clerk. In addition
to such information as the Clerk may require, the application shall include:
(a) Whether the applicant is a natural person, a corporation, a partnership
or other form of organization.
(b) If the applicant is a natural person:
(1) The true name, place and date of birth, street address and phone
number of applicant.
(2) Whether the applicant is a citizen of the United States.
(3) Whether the applicant has ever used or has been known by a name
other than his or her true name; and if so, what was such name or
names and information concerning dates and places where used.
(4) The name of the business if it is to be conducted under a designated
name or style other than the full individual name of the applicant;
in such case, a copy of the certification as required by M.S.A.
Chapter 333, certified by the Clerk of the District Court, shall
be attached to the application.
(5) The street addresses at which applicant has lived during the
preceding five years.
(6) The kind, name and location of every business or occupation the
applicant has been engaged in during the preceding five years.

(7) The names and addresses of applicant's employer(s) and partner(s),
if any, for the preceding five years.
(8) Whether the applicant has ever been convicted of any crime. If
so, the applicant shall furnish information as to the time, place
and offense for all incidents.
(9) The physical description of the applicant.
(c) If the applicant is a partnership:
(1) The names and addresses of all partners and all information
concerning each partner as is required of an individual applicant
in subparagraph b above.
(2) The name of the managing partner(s) and the interest of each partner
in the business.
(3) A true copy of the partnership agreement shall be submitted with
the application. If the partnership is required to file a
certification as to a trade name under the provisions of M.S.A.
Chapter 333, a copy of such certificate, certified by the Clerk
of District Court, shall also be attached.
(d) If the applicant is a corporation or other organization:
(1) The name, and if incorporated, the state of incorporation.
(2) A true copy of the Certificate of Incorporation, Articles of
Incorporation or Association Agreement, and By-Laws shall be attached
to the application. If a foreign corporation, a Certificate of
Authority, as described ~n M.S.A. Chapter 303, shall also be
attached.
(3) The name of the manager or proprietor or other agent in charge of
the business to be licensed and all information concerning said
person(s) as ~s required in subparagraph b above.

(4) A list of all parties who control or own an interest ~n excess of
five percent ~n such corporation or organization and all information
concerning said person as is required in subparagraph b above.
(e) Whether the applicant is licensed ~n other communities to run similar
businesses; and if so, where.
(f) Whether the applicant has previously been denied a conversation parlor
license, or has had a license revoked. If so, g~ve details of each.
(g) The names, residences, and business addresses of three residents of the
metropolitan area, of good moral character, not related to the applicant
or financially interested in the premises or business, who may be referred
to as to the applicant's or manager's character.
(h) A description and location of the premises to be licensed. If the
premises are not constructed and furnished at the time the application
is filed, the detailed plans of the premises and furnishings shall be
filed with the application.
(i) A description of the services to be provided.
(j) List of types of equipment to be used in the business.
(k) Such other information as the Council may requ~re.
20.04 Review of License Application and Council Action.
(a) All license applications shalll be referred to the Chief of Police and
such other city departments as the City Administrator deems necessary

for verification and investigation of the facts set forth in this
applicat~on. The Chief of Police and other department heads consulted
shall submit their reports and recommendations to the City Council.
(b) The City Council, upon receipt of the recommendations required in
subparagraph (a), shall afford the applicant and all interested parties
a public hearing and shall consider the standards contained in Section
4.
20.07 of this chapter. The Council shall also have the discretion to
consider in granting, denying or renewing the license any reasonable
fact or circumstance relating to the public health~ safety or welfare.
(c) Based upon the recommendations required in subparagraph (a)~ and the
results of the public hearing, the City Council shall grant or deny the
initial application or application for renewal. Where a reasonable basis
is found by the Council to impose reasonable restri~tions upon the
license, taking into consideration all the surrounding facts and
circumstances, the Council may, upon issuance or renewal of a license,
impose such reasonable conditions and restrictions on the manner and
circumstances under which the licensed activities shall be conducted
to preserve the public peace and promote good order and security.
20.05 Fees.
(a) Initial License Fee. The annual license fee for engaging 1n the business
of operating a conversation parlor shall be A license,
unless revoked~ is for the calendar year, or part thereof, for which
it is issued. Upon denial of any application for license, the City shall
refund the amount paid. No other refunds shall be paid.
(b) Investigation Fee. At the time of the initial application for a license
there shall be paid 1n full an investigation fee of

20.06 Renewals. An application for renewal of a license shall be made in the same
manner as the initial application. The license fees for a renewal shall be the same
as those contained in Section 20.05.
20.07 Rules and Regulations.
(a) Licenses may be granted only in the appropriate zone to be determined
by the City Council 1n accordance with applicable laws and ordinances

of the City.
(b) Licenses shall be granted only to establishments which can meet the safety
and sanitary requirements of the applicable building, housing) health
and safety code regulations of the City and State of Minnesota.
(c) Licenses shall be displayed ~n a prominent place on the licensed premises.
(d) It shall be grounds for denial of the license application if there is
any fraud or deception involved in the license application.
(e) It shall be grounds for denial of the application if the applicant or
persons in his or her employ are not complying with or have a history
of violations of state laws and local ordinances that relate to health,
safety or moral turpitude.
(f) A license shall not be granted to a person of bad repute or to a
partnership or corporation which has in its employ or ~s owned by any
persons of bad repute, such that the health or safety of customers or
members of the public would be endangered.
(g) It shall be grounds for rescinding a license granted to any person,
partnership or corporation under this chapter if they fail to comply
with any of the ordinances of the City or statutes of the State of
Minnesota.
(h) It shall be grounds for rescinding a license granted to any person)
partnership or corporation under this chapter if the owner, manager,
lessee) or any of the employees is found to be in control or possession
of any alcoholic beverages, or of a narcotic drug or a controlled
substance on the premises) other than drugs which may be purchased over
the counter without prescription or those for which the individual has
a prescription.
(i) It shall be grounds for rescinding a license if the owner, manager) lessee

(3) offensive, obnoxious and disturbing odors;
(4) excessive litter;
(5) exceSS1ve artificial lighting; or
(6) substantial decrease in property values.
20.08 Construction and Maintenance Requirements.
(a) All restrooms used in connection with conversation parlors shall be
provided with mechanical ventilation with 2 cfm per square foot of floor
area, a minimum of 15 foot candles of illumination, a hand washing sink
equipped with hot and cold runn1ng water under pressure, sanitary towels
and a soap dispenser.
(b) Floors, walls and equipment 1n rooms, restrooms and in bathrooms used
1n connection therewith must be kept in a state of good repa1r and
sanitary at all times. Linens and other materials shall be stored at
least 6 inches off the floor. Sanitary towels, wash cloths, cleaning
agents and toilet tissue must be made available for each customer.
(c) Doors on parlor rooms shall not be locked or capable of being locked.
Locks, latches or ot~er devices intended to secure a door so as to prevent
its being opened by any person from either side of the door with or
without a key shall not be permitted on any doors of conversation rooms.
20.09 Restrictions Involving Minors. No person under the age of 18 shall be permitted
at any time to be in or on the licensed premises as a customer, guest or employee, unless
accompanied by his or her parent or guardian.
20.10 Inspection. Any duly authorized law enforcement officer, health officer or
building inspector of the City or any other agency having jurisdiction shall be allowed
to inspect the licensed premises at such times and hours in which any person 1S present
on the licensed premises, to insure compliance with all provisions of this chapter.
20.11 List of Employees. Each holder of a license shall maintain with the Chief of

Police a current list of all employees of each licensed premises together with a job
description and picture of each employee. Failure to maintain such list or information
shall be grounds for disciplin~ry action by the City Council including suspension or
revocation of the license issued under this chapter.
20.12 Business Hours. No customers or patrons shall be allowea to enter the licensed
premises after 10:00 o'clock P.M. and before 8:00 olclock A.M. daily. No customers
or patrons shall be allowed to remain upon licensed premises after 10:30 P.M. and before
8:00 A.M. daily.
20.13 Violations and Penalty. Every person who commits or attempts to commit~ conspires
to commit, or aids or abets in the commission of, any act constituting a violation of
this chapter, whether individually or in connection with one or more other persons or
as principal, or agent, or accessory, shall be guilty of a misdemeanor, and every person
who falsely, fraudulently, forcibly or willfully induces, causes, coerces, requires,
permits or directs another to violate any of the provisions of this chapter is likewise
guilty of a misdemeanor. URon conviction thereof, said person shall be punished by
a fine not to exceed $500.00 or by imprisonment not to exceed 90 days or both, together
with the costs of prosecution. Each violation of this chapter shall constitute a
separate offense. Conviction of a violation of this chapter shall be grounds for
rescission or revocation of any licenses issued hereunder.
20.14 Existing Businesses. Any conversation parlor which ~s conducting business on
the effective date of this chapter may continue to operate until the Council has acted
upon its application for a license hereunder; provided, that appropriate application
is filed within 15 days after the effective date. Any person who has not filed an
application within the prescribed time shall not operate a conversation parlor until
in compliance with the terms of this ordinance.
20.15 Rescission, Revocation or Suspension. The City Council may revoke, rescind or
suspend any license for cause. Prior to such action, the licensee shall be provided

with written notice setting forth the nature of the charges and the date of the hearing
before the Council, which hearing shall be no less than ten nor more than twenty days
after the date of service of such notice upon the licensee by registered or certified
mail or personal serv~ce. The licensee shall have the right to appear at the hearing
with counsel and to present such evidence as the Council deems appropriate. The Council
shall have the power and discretion to suspend the license pending the hearing.
Section 2. Separability. If any section, subsection, sentence, c~ause or phrase of
this ordinance is for any reason held to be invalid by a Court of competent jurisdiction,
such decision shall not affect the validity of the remaining portions of this ordinance.
Section 3. Effective Date. This Ordinance shall take effect and be in force from and
after the date of its publication.
