I . Call Meeting to Order
Pursuant to due call and notice thereof, the meeting of the Elk River Housing and
Redevelopment Authority was called to order at 5:30 p.m. by Chair Toth.
2. Pledge of Allegiance
The Pledge of Allegiance was recited.
3. Consider December 6, 2021, Agenda
Moved by Commissioner Ovall seconded by Commissioner Wagner to approve the
December 6, 2021, HRA meeting agenda.
Motion carried 4-0.
4. Consent Agenda
Moved by Commissioner Ovall and seconded by Commissioner Wagner to approve
the consent agenda as follows:
4.1 November 1, 2021, Regular and Closed meeting minutes.
4.2 Check register as outlined in the staff report.
4.3 Balance sheets as outlined in the staff report.
4.4 Revenue/expenditure reports as outlined in the staff report.
4.5 Satisfaction of Mortgage —19135 Troy Street NW.
Motion carried 4-0.

6. Public Hearings
There were no public hearings.
7.1 HRA Housing Rehabilitation Loan Program Update
Mr. O'Neil presented the staff report.
Chair Toth asked about an outstanding application.

Mr. O'Neil stated that the application was being underwritten by CEE but did not qualify.
There are not current applications.
Commissioner Ovall asked that future staff reports have a running total of funds available.
Mr. O'Neil stated he would include that in future HRA packets.
7.2 Extension — CEE Loan Origination Agreement
Mr. O'Neil presented the staff report.
Chair Toth asked if the price increases were only for the upcoming year.
Mr. O'Neil stated that the increased fees would be per year no matter how long the
agreement was extended.
The Commission agreed that CEE was a beneficial service.
Moved by Commissioner Chuba seconded by Commissioner Wagner to approve
Amendment One to the Loan Origination Agreement between the City of Elk River
Housing and Redevelopment Authority and Center for Energy and Environment.
Motion carried 4-0.
7.3. General Updates
Mr. O'Neil presented the staff report.
Mr. O'Neil discussed the potential of renting a storage space for the downtown wreaths and
flowerpots. The cost would be under $1,000 per year. Currently, there is an agreement with
the Parks department to store decorations.
Commissioners asked if work session attachment items could be provided in advance so that
the commission had time to review them before deciding.
Mr. O'Neil agreed that work session materials can be provided when it is possible to do so.

HRA recessed at 5:45 p.m. to go into work session. Council reconvened at 5:51 p.m.
8.1. Main and Gates Development Concept
Mr. O'Neil presented the staff report.
Matt Mullins, Vice -President for Maxfield Research and Consulting, Robin Mooney,
Director of Business Architecture for DJR Architecture, and Dean Dovolis,
Founder/Principal for DJR Architecture were in attendance representing Troy Mathwig
of 4125 Sub S. Corp Team.
Mr. Mullins outlined the plan for a mixed-use development including proposed 49
multifamily units and 4,000 square feet of retail space. He stated that the location connecting
Hwy 10 and Hwy 169 has a traffic count of about 12,000 per day and is a walkable extension
of the downtown area. The project would include an underground garage and surface lot.
Mr. Mullins would be interested in the potential of rezoning. The next step would be to sit
down with the EDA and Planning before refining the concept.
Commissioner Chuba asked about the location of garages for the townhomes.
Mr. Dovolis explained that the garages would either be a "common underground garage" or
a "single garage from the rear" depending on land issues.
The Commission asked about the house that is in the project area. Would the developers
contact the homeowner for land acquisition?
Mr. Dovolis stated that, assuming 4125 Sub S. Corp Team was selected, they would
approach the homeowner.
Commissioner Ovall liked the row townhome concept but had concerns with traffic access
on Gates Ave since this is a busy street.
Commissioner Wagner stated she would like to see more retail and commercial space but
understands that business is changing due to the pandemic.
Chair Toth asked how the commercial section was accessed.
Mr. Dovolis stated that there was access to the retail section on both sides with parking
behind.
Commissioners agreed 4125 Sub S. Corp Team could continue planning the development at
Main and Gates.
Commissioner Ovall left the meeting at 6:33 p.m.

8.2. Tax Increment Financing —Jackson Hills II

Mikaela Huot, director at Baker Tilly, presented information related to the Jackson Hills II
TIF.
The applicant is proposing a 44 -unit apartment project with 9 units designated as affordable
and is asking for the formation of a 15 -year TIF district. Extraordinary costs of the project
include soil corrections.
Ms. Huot stated that she had asked whether all affordable housing would be studio
apartments. She added that the TIF agreement needs to be clear on the expectations for the
project.
The applicant stated that the selection of studio, 1 -bedroom, and 2 -bedroom apartments
designated as affordable housing would be "floating."
The project would have an $8.5 million budget with 70% mortgage and 30% equity.
Financing of the TIF expenses would be 100% up front by the developer.
Chair Toth asked about the pond.
Commissioner Wagner clarified that the applicant had wanted to build a fishing pond.
A draft TIF policy will come to the HRA meeting on January 3, 2022, asking for the HRA
recommendation to the council.
Chair Toth asked about the available housing needs in Elk River.
Mr. O'Neil stated the housing study is a few years old, but he can provide information to the
HRA on housing needs.

Chair Toth adjourned the meeting at 6:47 p.m.
