Background/Discussion EDA Bylaws identify five officer positions: president, vice president, treasurer, secretary, and assistant treasurer. The role and duties of the secretary and the assistant treasurer have been delegated in the bylaws to the authority’s executive director. The position of president, vice president and treasurer are elected annually. The bylaws state the following regarding each position: President: Shall be selected from among the Commissioners, shall preside at all meetings of the Commissioners, and shall have general charge of and control over the affairs of the Authority subject to the approval of the Commissioners. Vice President: Shall be selected from among the Commissioners, shall preside at all meetings in the absence of the president and shall perform such duties as may be assigned to him by the Commissioners. Treasurer: Shall be selected from among the Commissioners, shall receive and is responsible for Authority money and for acts of the assistant treasurer.
