Field Services Facility Expansion Project Update
ACTION REQUESTED:
Adopt resolution 22-9, Awarding and Approving the Assignment of Construction Contract to
RJM Construction.
BACKGROUND:
During bidding, there were three categories that RJM Construction did not receive conforming
quotes for and carried an allowance in their contract. The three categories that were not
awarded were Final Cleaning, Waterproofing & Weatherproofing, and Vehicle Wash. At
previous commission meetings ERMU has awarded the contracts for Waterproofing &
Weatherproofing and Vehicle Wash. RJM has since reached out to additional vendors and has
only received one conforming quote for Final Cleaning.
DISCUSSION:
Over the past month, the contractor was able to pour the concrete on the lower levels of the
north portion of the building for the workshops, locker rooms, and lunchrooms, as well as
complete installation of the masonry and steel stud walls. The plumbing and electrical
contractors are working on rough-ins, and the stairs have been installed. The painters are
continuing work in the garage, inventory, maintenance and wash bays, as well as the lighting,
HVAC, and fire protection controls work.
Upcoming work for the next month is expected to include pouring of the topping on the second
level, exterior siding and stone installation, window installation, and framing of the offices on
the second floor. Garage doors are scheduled to ship on May 6, but the contractor has not yet
received a shipping confirmation.
During development of the guaranteed maximum price, RJM carried an allowance of $40,000
for final cleaning. With the quote for final cleaning coming in at $15,980, the remainder of the
allowance will be returned to the project contingency with any unused funds at the end of the
project returned to ERMU.

ACCEPTANCE OF PROPOSAL.
All work to be completed in a workmanlike manner according to standard practices. Any alterations or deviation from above specifications involving extra costs will be executed only
upon
written orders, and will become an extra charge over and above the estimate.
All agreements contingent upon strikes, accidents or delays beyond our control.
Owner to carry fire, tornado and other necessary insurance. Our workers are fully covered by Workman’s Compensation Insurance.
Owner agrees to supply MidwestSpecialty Maintenance with 110-voltpower and water to complete the cleaning process.
Payment terms of Net 30 are acceptable. In the event payments are not madeas outlined herein, the undersigned agrees to pay all costs of collection and attorney’s fees incurred by Midwest
Specialty Maintenance.

BOARD OF COMMISSIONERS
ELK RIVER MUNICIPAL UTILITIES
A RESOLUTION OF THE BOARD OF COMMISSIONERS OF ELK RIVER MUNICIPAL
UTILITIES AWARDING AND APPROVING ASSIGNMENT OF CONSTRUCTION CONTRACT
TO RJM CONSTRUCTION FOR THE ELK RIVER MUNICIPAL FIELD SERVICES FACILITY
PROJECT
WHEREAS, Elk River Municipal Utilities (ERMU) and Contractor (RJM) have entered into
a certain Standard Form of Agreement between Owner and Construction Manager
dated January 12, 2021 (“Contract”), whereby Contractor undertakes the construction
management of project known as the ERMU Field Services Facility Expansion Project
(“Project”); and
WHEREAS, at its February 9, 2021 meeting the Utilities Commission authorized
advertisement of bids and quotes. The project was advertised from February 27, 2021 to
March 24, 2021, and bids were opened and publicly read on March 24, 2021; and
WHEREAS, the Project bid documents included the proposed contract for the Work (as
defined in the Contract); and
WHEREAS, the Contract requires that ERMU assign to RJM all of ERMU’s rights in and to
contracts for the construction of the Work (as defined in the Contract) which have been
competitively bid and awarded by the Utilities Commission; and
WHEREAS, no quotes were received at the time of bid opening, and RJM has since
received quotes for this quote category; and
WHEREAS, the low bidder for quote category 1C – Final Cleaning is Midwest Specialty
Maintenance, Inc. with a quoted amount of $15,980.00;
NOW, THEREFORE, in consideration of the mutual promise and agreements made in the
Contract and other good and valuable consideration the receipt and sufficiency of which
is hereby acknowledged:
1. ERMU herby grants, transfers and assigns to RJM all of its right, title and
interest in and to the contract identified below as included in the bid
documents.

2. RJM herby consents to and accepts this Assignment and agrees to perform all
of its obligations under the Contract for the benefit of ERMU. RJM will enter
into contract in the same form included in the bid Documents with the
contractor awarded the bid by ERMU.
3. This Assignment shall be binding upon and inure the benefit of ERMU and
RJM and their respective heirs, successors and assigns, as the case may be.
4. This Assignment may be signed in more than one counterpart, together shall
constitute an original document.
