Approve, by motion, the PUD agreement for the Broadway on 10 residential development.
Background/Discussion
On Jul�r 6, 2021, the Cityr Council approved the BYoadway on 10 Planned Unit Development (PUD). The approval
includes one 91-unit apartment building and 24 townhome units. The conditions of approval for the PUD require
a PUD agreement be approved byT the cityT and recorded `vith Sherburne CountyT.
The attached PUD agreement outlines the uses, site plan, and design standaYds foY the development The
approval does not require development of the entire site at once and the developer is planning to begin with the
apartment building and move forward with the townhomes in the future. AnyT changes to the approved site plan
or uses will require review and approval from the CityT Council.

PLANNED UNIT DEVELOPMENT AGREEMENT
FOR
Broadway on 10
THIS PLANNED UNIT DEVELOPMENT AGREEMENT (PUD Agreement),
made and enteYed into this 20th day of June, 2022, byr and between the CITY OF ELK
RIVER, a municipal corporation organized under the laws of the State of l��innesota (the
CityT) and BROADWAY INVESTORS II, LLC (the Developer);
WITNESSETH:
WHEREAS, Developer has made application to Cit�T for approval of a Conditional
Use Permit to develop a detached townhome development (the Project) as a Planned Unit
Development (PUD), pursuant to Section 30-1564 of the Elk RiveY City Code of
Ordinances, on certain property located `vithin the Cit�r and described on E�ibit A attached
hereto (the Subdivision); and
WHEREAS, the purposes of the PUD Agreement are to set forth the standards,
uses and pYocedures foY development of the PYoject as a Planned Unit Development;
NOW, THEREFORE, in consideration of the premises and the mutual promises and
conditions heYeafteY contained, it is heYeb�r agYeed as follows:
1.) WarranttT of Develo�er - Developer hereby warrants and represents to CityT,
as inducement to Cit�T's entering into this PUD Agreement, that Developer is the fee o�vner
of all of the properties located within the Subdivision. Developer further represents that it
may sell the parcel to third parties unrelated to Developer (Third Parties). This Agreement
shall be binding on Third Parties.
2.) Develo�ment - The Project shall be developed in accordance with the
following plans attached as exhibits hereto, subject to obtaining site plan approval for all
proposed site improvements provided byT this PUD Agreement:

3.) Uses -
(01) Permitted Uses — PeYmitted uses shall include only the following
uses:
(i) One 91-L'nit Multi-FamilyT Apartment Building;
(ii) 24 townhome units;
(iii) Model homes in compliance `vith_section 30-800;
(iv) Home occupations in accordance with Sec. 30-801;
4.) Anproval b�- CittT - Cit�r hereb�T approves the Project as sho`vn in the attached
exhibits provided, however, that insofar as the exhibits var�T from the written terms of this
PUD Agreement, the written terms shall govern. This approval is subject to individual site
and building plan review and approval as follows:
(01) The CittT mayT, when approving individual site plans, impose such
conditions as it shall deem necessaryr to ensuYe that the PYoject
complies with the Yequirements of this PUD AgYeement, as amended
from time to time, the Conditional Use PeYmit, as amended from
time to time, and the CityT Code of Ordinances.
5.) Maintenance of Pro�ect AYeas -
(01) Litter Control - Developer and all Third PartyT o�vners of lots `vithin
the Subdivision shall pick up litter as needed, at least once peY month
(except during �vinter �veather), from:
(i) all parking and landscaped areas on their propert�T
(ii) public rights-of-way adjacent to their propertyT.
(iii) wetlands and storm water features adjacent to the propertyT.
(02) Enforcement - Failure of Developer oY a Third PaYtyr to meet its
maintenance obligations under this paragraph will be grounds for
CinT to invoke against that partyT anyT remedyT �vhich CityT has under
this PUD Agreement.
6.) Remedies - Should Developer or a Third PartyT breach anyT of the terms and
conditions of this PUD Agreement, and if such breach is not cured within thirt�T (30) dayTs
after written notice, or if such cure shall reasonablyT require longer than thirtyT (30) dayTs to
cure within such longer period as shall be reasonablyT necessary to cure such breach provided
Developer or the Third Part�r commences cure within such thirt�T (30) da�T period and
diligentl�r proceeds to cure such breach thereafter, Cit�r shall have an�T or all of the following
remedies against the partyT who has breached:
(01) Withhold issuance of building permits or certificates of occupancy
for any structure within the Project;
2.
(02) Halt construction on public improvements not commenced or not
completed;
(03) Institute prosecution of Developer or the Third PartyT under the
relevant provisions of the City Zoning Ordinance;
(04) Institute a civil action to compel compliance or recover damages or
both.
7.) General Conditions - If Developer or a Third PartyT fails to compl�T with an�T
of the provisions hereof, CittT mayT refuse to issue to the Party- in breach a building permit or
certificate of occupancy for any lot oY parcel in the Project. Developer agrees to advise
purchasers of the lot or parcel of the existence of this PUD Agreement and the obligations
and restrictions created herein prior to the completion of a sale. Further, Developer agrees
to save and hold CittT harmless from any and all claims or actions arising from the right to
`vithhold the issuance of such permits and certificates and from other provisions hereof.
8.) Binding Effect - The terms and provisions hereof shall be binding upon and
inure to the benefit of the heirs, representatives, successors and assigns of the parties hereto
and shall be binding upon all Third Parries or other future owners of all or any part of the
Project, and shall be deemed covenants running `vith the land. This agreement shall be
placed of Yecord so as to give norice heYeof to subsequent purchaseYs and encumbYances of
all or an�T part of the Project, and all recording fees, if an�T, shall be paid b�T Developer.
9.) SeveYable - In the event that any poYtion of this PUD Agreement shall be
held invalid for an�T reason, the same shall not affect in any respect whatsoever the validityT of
the remainder of this PUD Agreement.
10.) Waiver - An�T waiver, whether express or implied, b�T anyT part�T of a breach of
any pYovision of this Agreement, will not opeYate as oY be construed to be a waiver of any
subsequent breach of this Agreement.
11.) Notices - r1ll notices and demands specified herein shall be deemed
appropriately and timely given when delivered personally or deposited in the United States
Main to the addresses hereinafter set forth by certified mail (return receipt requested). The

12.) Incor�oration b�T Reference - All plans, special provisions, proposals,
specifications and contracts made or to be made pursuant to this PUD Agreement shall be
and hereby aYe made a part of this PUD Agreement by Yeference as fully as if set forth
herein in full.
13.) EntiYe Agreement - This PUD Agreement, togetheY with the exhibits
attached hereto, sets foYth the entire undeYstanding between the parties, theYe being no
terms, conditions, `varranties or representations other than those contained herein, including
the exhibits hereto, and no amendments hereto shall be valid unless made in writing and
signed by all the paYties hereto.

Townhome Development Standards
(1) Unit 2a�idth. The minimum width of an individual dwelling unit shall be 28 feet.
(2� Unit const�z�ction.
a. In case of a gable roof, a minimum 12-inch overhang on gable ends shall be
required. All other soffits are to have a minimum 12-inch overhang.
b. The exterior of dwelling units shall comply with the following requirements:
1. i�linimum of 25 percent of the combined area of the front fa�ade of a
structure shall have an exterior finish of brick, stucco and/or natural or
artificial stone.
(3) Setl�acks
a. Setbacks for all units shall be:
1. 45 feet fYom any delineated wetlands and stoYmwateY ponds
2. 35 feet from all side and rear yTards
(4) Gayages �' StoTage
a. Each dwelling unit shall include an attached garage of at least 430 square feet
with a minimum width of 21' 8" feet.

a. Common areas shall be under the ownership and control of the propertyT owners'
association, which shall be responsible for the maintenance, and repair of the
common areas.
All other zoning and land use regulations shall be consistent `vith those required for
development within the R-3 Zoning District.
