Background/Discussion
The City Council directed staff to develop a one-year contract for use of the Furniture & Things Communit�T
Event Center with the with the l��innesota Squatch TieY III junior hockey team for the 2022-23 season.
The team will utilize lockeY Yoom #12 as their resident team locker Yoom and an office space foY team coaches and
staf£ The team plans to p1ayT appro�matelyT 22 home games during the 2022-23 season. Team practices are
weekday moYnings while school is in session, utilizing 100 minutes for pYactice each dayr. Home games aYe
generallyT FridayT or Saturday evenings. The team will manage all game functions, ticket sales, admission, spectator
control, announcers, minor officials, referees, scoreboard and video presentation services, game food and liquor
services, etc. The MPFAC has reviewed this contract and recommends approval.

This ice facility use agreement {Agreement} is made and entered into this ��i da�� of
�E� !. , 2022 bet�ueen the Cit,y� af �lk River, a Minnesota municipal coz-�aration, herein after
referred t� as (I'RQVIDER) and the I��innesdta S4uatch, a member of the L�nited State Premier
Hockey League (LISPHL), herein a�ter referred to as (CJSER). PRQVID� R and USER agree to rhe
follc��uing use of ic� skating facilities within the �°urniture and Things Comtnunity� Ev nt Centex
(FTCenter} located at 1000 School Street, Elk River, �iN 5533(� fQr the period of �' Z2 to

SCHEDULE OF TII�fE: PROVII�EA agrees to make ice time available to the L`S�R
at the time and dates shown on the attached ice use schedule for the USER. Such
schedule ma�- �ie amended from dme to time upon the written agreement o£ both
parties' zepresentatives.

4. PRIME H()LTRS: Prime and �ian-Prime Hours are described as fc�llows:

5. SERVICES: PROVIDER agrees tc� pravide a usable ice surface, secure and clean
locker facilities, parking facilities and, on the day o� games, FTCenter seating for
spectators. In addition, on game dates, �'R(�VIDER shall pro�ide appropriate
management, 'Lamboni dri� er{s} and an�� e�eanup f mainten.ance staff required by the
L�SER. The USER shall provide ticket seller(s), time/seore keeper(s), penalt�� box
attendant(s) and securit�� stafE. All L�SER stafiing of games to be xe�riewed �nd
approved b�� the PROVIDEIt.
6. TF.�M R(�(�M, (�FFICE SI?ACE AND SALES C7F MEKCH:�NDISE: L?SER will
be allc�wed to utilize Locker Room #12 as its resident team roon� for the 2�22-23
hackey season. Team Room locatic�n is delineated on E�hibit l. USER shall be entided
tc� exclusi�re use r�f certain locker rooms, as deter��uned b�� PROVIDER, during the
t�rnn oE this agreement. In eYchange for exclusi�Te use c�E the assigned locker rooms
L?SER agrees m kee� the l�cker rooms in a clean, safe, and sanitar}� condiuon, free of
debris, unsight]y conditians, and unreasonable odor. PRC]VIDER shall clean the
laeker rooms and bathroc�ms c�n a regular schedule as detertnined by PRCaVIDER.
PROV�DER will furnish bathYoc�m tissue and paper tou-els. PROVIDER and UTSFR
will conduct a lacker �oom inspection befare and after each hoekey season to e�raluate
lacker room physical conditions. I'RCa4'IDER shall ha��e the right to use the lc�cker
rooms outside of the hockey season and said events u-il� be coordinated with USER.
�.TSER will be respr�nsible for all labar and costs assaciatec� with the installat�on of any
improvements or attachments, including player locker stalls vi Locker Room #12.
USER shall not install an�� imptc��Tements or attachments without priox written
approi�al. At the conciusion of the use of Locker Room #12 by the L?SER, the USER
will be respQnsible for all costs and labor to facilitate a full and camplete restaration
of Locker Roorn # 12 to its original condiuon. Further, the USER shail be respansible
fo� the complete repair c�f any damage ta Locker Room # 12.
a. PROVIDER �grees to identify and p�o��ide for use by the USER office space
described c�n E�hibit 1, identified there on as "office", for the e�clusive use by
LTS�R, and tn provide for use by USER such additional space, as designated

b�� PR{�V�DI�R as is reasonable requi_red by L�SER for L?SER'S sales o£team
merchandise.
7. E�CLUSI�'F VENUE: The USER agxees t� hold a�l Minnesota Squatch branded
Practices, Home Games, Training sessions, and anq other in-season hockep actit*ities
at the rTCenter.
$. �TCenter ACCESS: I�e��s and%or electronic access cards to the F`TCenter and/c�r
lacker zo�ms are the exclusive property of the PRC�`'IDER and will be issued as
deemed �lecessary byz the I��T'Center managernent to USEI�'s appraeed petsonnel. Y�esrs
and/or access cards must be signec� far at the beginning of each seas�n and returned
no tater than two weeks after the Iast da�r of the season. I�eys and/or electrc�nic access
eards ma� not be duplicated 'b�� L�SER or any af L?SER's coaehes or persc�nnel.
Duplication of keys and/or electrc�nic access cards ar other security breaches may be
c�nsidered a breach of this Agreement and, in addition to c�ther remedies, may� result
in restriction or loss of after-hQurs access pri��ileges. If PROVIDEA deterrrvnes that
a breach af security has resulted due to a ZTiolation of this paragaraph PROVIDER maj�
change the Iocks or change electronic access codes tc� the F'TCenter at USER's
expense.
9. .�1NCILL:gRY LTSE OF FACILITIES: PROVID�,R w�ilI allow USER reasonable
lirnited access tc� and use af thc FTCentex rxaira�ng and meeting raoms f�r acti�=ities
ancillar5� to the USER's ice hockey acti��ities without charge. .�ncillar}- uses are definea
as teanl meetings when a coach is present. USER anc� LiS�R's support staff shall have
use of ap�roptiate s�ace, as determined by the PAC)VIDER, v�,-ithout expense to
conduct additional events through�ut the term c7f the cr�nttact fc�cused c�n community
engagement and iniroIvemenr and yauth hocke�r activities (fundraisers, camps, e�c.).
LTSER anc� L?5EA's support staffwill be allowed to bring food and be�=erages into the
facility for personal consumption, in the same manner that PROVIDER'S staff are
pemutted to dc� so. Regarding all other food sen-ice needs, the USEK u,ill ha�=e the
option to hire a 3"' part�• vendor to supply concessions and food senrices, incluciing
alcohoi, (Beer and �'ine} far a�l home games. r'1Il 3�' patty food arid alcohol �-endUrs
must recei�=e prior written appro�ral from the PROVIDER to operate in the FTCenrer.
The USER agrees tl�at any concessions items offered b�- the 3"� party �Tendor will not
duplicate or conflict with concessions items sold by the concessions stand in the
faeili��. The USER is responsible ta ensure that all lacal, state, and fede�al regulations
and rules pertaining to food and alcohnl sales and service, are strictl}r adhered to. Full
and pr�per licensure of the vendc�r is the respansiE�ility of the US�R.
:�ll ancillary use of the facilities trlust be scheduled with PRUVIDER in advance and
are subject ta azTailability. PRL�VID�R has discretion to assign use of rcaoms or to
mo�f�= room assignments to accommodate other priority or paid users. USER agrees
to keep the facilities in a clean and orderiy condition and in at least as good a condition

as existed prior to L?SER's ancillar�7 use. USER agrees to pa�- far the actual costs of
cleanup as deter�iuned b}- PRC�VIDFR if the PR(�`'ID�R determines the ancillary
use reyuixed addiuonal cleaning ser�rice.
10. PA�'MEN I�5: PROVID�R shaU bil] USI �R an a monthly basis b�� submitting an
itemized 1'tst of haurly= practice, game ice, and room usage tc� the USER. Upon �roper
bil]1ng and documentation, t?SER will prompd}- pa�� PROVID�R an�- required
deposits and an amount equal ta the number of hours of practice and game ice usage
at the tate agreed to.
11. Cs�NCELL.�TIC�i�iS: PKOVIDER maz° cancel fhis .�greenzent for any material
default by the L7SER in terms of this .�greemenr. PAO�'IDER may also reschedule
the dates or times of the scheduled ice usage upon five days written notice to the
C.TSER. PROV�DER shall not be held respc�nsible for the cancellation of ice rime for
reasons beyond the reasonable control of PRD�FIDER, its agents, or employees, such
as but not iimited to equipment fa�lure, loss of power, seveze weathez or acts beyond
PAOVIL?ER'S control. In the e�-ent of such an occurrence, PR(7VIDER will attempt
to rescheaule USER'S ice tunes or LTS�:R ma}' cancel anci pramptly receiSFe a return of
any fees �aid.
12. ASSIGNMENT: if schedul�d iGe time cannat be used by the LiSER, rhey shail
promptly notif�� the PRO�TIDER in v�-riti�g within 14 days and the PRf�VID�R will
attempt to reassign that time to anoti�ex gxou�. If tl�e tirne cannot he assigned to
ariother group, the LTSER will pay the charged fees £or their scheduled titne.
13. RL?L�S :aND REGL'L.'�TIONS: USEIt agrees to use the facilities according to the
Rules and Regulations of PRGVIDER which w•ilI be actopted and pasted from time
to time within the £aciiit��.
14. SIGN.�GE: L1SER recognizes that zt does nnt l�a� � zights to post any si�ns withour
the express written consent of PKOVTDFR. Any signs so consented shaIl conform to
and be consistent with the sign usage palic�l of PR(�VIDFR ar�d be subject to
PKOVIDER re�ieu�- and approj�al. LiSER w-ill be allorwYed plaeement o€ two ten foot
by se�ren foot (10' x T} on-ice tearxi bxanded logos on thc Coxnerstone Automoti�=e
��rena ice surface. All costs for creation of the log� art, ice applique or ternplate, and
any costs for installation, �vill be the resp�nsibility of the LTSER. An�- on ice
applicarions shall conform to and be cc�nsistent r�ith the sign usage policy of
PROVIDER and be subject to PROVIDER re�riew- �n� approval.
15. LIr�13ILITY: USEA acknowledges t�iat PRC�VIDER has not asserted or accepted any
resp�nsibilities for superETision, security c�r c�ntrol of LTSER'S propert�� or acti��ities.
USER shall be sQlel}� responsible to pxavid� s�curity for its equipment kept on the
premises and shall be solely responsible to provide supervision af its players, staf�, and

spectators, on and o£f the ice. PRO`'IDER shalI be solely responsible for the acuon
of its employrees, agents, and in��itees.
L`S�R assumes all risks of personal injury arising frvm its usage of the FTCenter or
anj- part connected or cantigu�us thereto which result From an aet ar failure to act r�n
the patt of the L?SER or athers o��er whc�m it has supez��is�ry responsiUility. L�SER
assumes responsibility= for damages to the propert�� of PROVIDER arising out of the.
negligence of USk:R under its performazlce of this agreement. PRO`TII�ER will notify
the LTSER of any damages and allaw the USER a reasanable opportuniry to review the
damage befUre repairs are made. PROVIDER is tespons�ble far the repair or
repIacement of PROVIDER'S property and wi11 int�oice the LTSER for the darnages.
USER'S obligation shall be to reunburse PRO`'IDER for the cost af labor and
replacement of like-kind and quality equipment.
1'RC��'II�FR agrees to indemnif�= and hc�ld harniless LTSER from and against all claims,
costs, expenses(uicluding attorney fees) and liabiIities of whatever nature a�ri�sing
from(i) an�- negligent or wtongful act ar omissian of PRC7VIDER, its licei�sees, agents,
or emplayees; or {u) arising from any accident, injur}�, including death, or damagc �a
any person or propert�� occurring on the premises and caused by the ne�ligenee or
other wrongful conduct of PRC)VIDER, excluding claims arising from L'S�R'S
performance under this ag�eement This paragraph shall n�t act as a waiver of any tort
liability caps ar legat immuniti�s that ma}- exist to protect the PROVIDER.
L?SER agrees t� indemni€y and hold harmless PRO�TIDER from and against all claims,
costs, expenses(including attorney fees) and liabilities of u-hatever nature arising from
(i} any negligent or wrongful act of omission of L?SER, its licensees, agents, e�r
employees; or (ii) arising fr�m anjr accident, injury, incauding death, or damage to any
person or prc�per�� occurring on the prernises and caused by the negligence or ather
wron�ful canduct c�f LTSER, e�cluding claims arising from PROtiTIDER's
performance under this agreement.
INSURANCE: Both LTSEA and PAOVIDEA shall maintain liability insu�ance against
claims fox i�odily injwry, death or prope�ty damage c�ccurring on or abaut the
FTCente�. Such insurance shall 6e u�-ritten on an �ccurrence basis u-ith a combined
single lirrut of not less than �1,oaa,00(} per occuxrence. If the insurance policy is written
on a"clasrns-made 6asis," the party ��°ill maintair� co��c:rage fc�r a mi�imum of three
years past the expirarion of this agreernent. The retroacuz�e date of the policy shall be
indicated on the certificate of insurance outlining coverage.
In addition, both parties shall name the other part�� as an additional insured vvith
respect to its own operarians on said policies of insurance_ Both parries wiIl maintain
all workers ce�mp�nsation insurance �requ�ed by law.
