Background/Discussion
As discussed during the preliminary design process for the CSAH 33 Improvements, the city asked Sherburne
County to add design elements in their roadway project that would more easily allow for the construction of a trail
along the corridor from TH 169 to CSAH 13 in the future.
The attached agreement provides for the additional design work needed to make this adjustment.
Financial Impact
The $136,771.00 represented in the agreement has been identified and include in previous estimates for making
accommodation with the current project to allow for a future trail. All city costs associated with this project,
including the design costs detailed in the agreement, will be supported from our State Aid Account.

COST PARTICIPATION AGREEMENT
BETWEEN SHERBURNE COUNTY AND CITY OF ELK RIVER
CSAH 33 FUTURE TRAIL DESIGN
THIS AGREEMENT is made and entered into this day of , 2022, (the
"Effective Date") by and between the County of Sherburne, a political subdivision of the State of
Minnesota, 13880 Business Center Drive NW, Elk River, Minnesota 55330, (the "County"), and
the City of Elk River, 13065 Orono Parkway, Elk River, MN 55330 (the "City").
WHEREAS, the County is in the process of designing certain improvements to CSAH 33
within the City; and
WHEREAS, the City desires to construct certain improvements to accommodate a future
trail along CSAH 33 within the County's CSAH 33 project area (the "Trail Project"); and
WHEREAS, the County and the City agree that it will be cost effective to modify the
County's current plans and specification for the CSAH 33 project to accommodate the future
Trail Project, and
WHEREAS, the City has agreed to be responsible for the additional costs relating to
amending the design for CSAH 33 to accommodate the future Trail Project; and
WHEREAS, Minn. Stat. § 471.59 authorizes the County and the City to enter into an
agreement for the joint exercise of powers and the sharing of resources.
NOW, THEREFORE, in consideration of the premises and covenants contained herein
and subject to the provisions of Minn. Stat. § 471.59, the parties agree as follows:
Purpose. The parties enter into this Agreement for the purpose of redesigning the
County's CSAH 33 project to accommodate the City's future Trail Project.
2. Term. Notwithstanding the date of the signatures of the parties, the term of this
Agreement shall commence on the Effective Date and shall terminate on the date that the
CSAH 33 project design incorporating the Trail Project has been completed.
3. Duties of the County and City.
3.1 Project Design Amendments. The County will amend its current design contract
with its contractor (SRF) to modify the Project design in order to accommodate the future
Trail Project.
3.2 Cost Participation. The total estimated cost to redesign the County's CSAH 33
project to accommodate the future Trail Project (the "Trail Design Costs") is
$163,413.00. The Trail Design Costs include the additional design tasks shown on the
attached Exhibits B1 and B3. The future Trail Design Costs shall be shared by the Parties
as follows:
a. The City will be responsible for the future Trail Design Costs identified on
Exhibit B1. This includes 50% of the costs for stormwater/drainage design
identified in task 3.15 and 100% of the project costs relating to the remaining
tasks. The total estimated City Trail Design Costs are $136,771.00.
b. The County will be responsible for the future Trail Design Costs identified on
Exhibit B3. This includes 50% of the costs for stormwater/drainage design
identified in task 3.15. The total estimated County Trail Design Costs are
$26,642.00.
The final future Trail Design Costs shall be determined based on the actual
approved costs for incorporating the Trail Project pursuant to the terms of the
County's design contract. The County will ensure that the Trail Design Costs
do not exceed $163,413.00 without prior written approval by the County,
which the County will not provide without first consulting with the City.
3.3 Payments to Contractor. For purposes of paying the County's contractor for the
Trail Design Costs, the County will process all payment requests from the contractor and
will approve or deny the requests as appropriate, pursuant to the terms of the contract.
3.4 Payments to the County. After payment is made by the County for the future
Trail Design Costs, the County will submit an invoice to the City for reimbursement of
the City's share of the future Trail Design Costs. Payment shall be made to the County
within 35 days of when an invoice is received by the City.
4. General Provisions.
4.1 Entire Agreement; Amendments. This Agreement constitutes the entire
agreement and understanding of the parties with respect to the subject matter hereof and
supersedes all prior and contemporaneous agreements, documents and proposals, oral or
written, between the parties with respect thereto. Any amendment or modification to this
Agreement shall not be valid unless such amendment or modification (i) is in writing and
signed by authorized representatives of both parties and (ii) references this Agreement.
The terms and conditions of the exhibits are integral parts of this Agreement and are fully
incorporated herein by this reference.
4.2 Cooperation. The parties agree to cooperate in the use of resources, including
available right-of-way to complete the project as a whole, to the extent feasible and to the
extent permitted by law. The parties further agree to cooperate in the administration of
the contract and completion of the project, including cooperating in resolving any
disputes the parties may have with the contractor(s) both during the project and following
completion of the project. The Parties further anticipate a future cost share agreement
relating to the construction of the Trail Project as part of the County's CSAH 33 project.
4.3 Notices. Any notices required or permitted to be given under this Agreement
shall be delivered personally or sent by certified mail to the other parry as follows:

4.4 Governing Law. This Agreement shall be governed by the laws of the State of
Minnesota. For the purpose of resolving conflicts related to or arising out of this
Agreement, the parties expressly agree that venue shall be exclusively in the State of
Minnesota, County of Sherburne.
4.5 Disbursement of Funds. All funds disbursed by the County or City pursuant to
this Agreement shall be disbursed by each entity pursuant to the method provided by law.
4.6 Audit. The parties shall maintain complete and accurate records with respect to
costs incurred and services performed under this Agreement for a period of at least six (6)
years after the termination of this Agreement. Pursuant to Minn. Stat. § 16C.05, Subd. 5,
each parry shall allow the other parry, the State Auditor, or their authorized
representatives access to the books, records, documents, and accounting procedures and
practices relevant to the subject matter of the Agreement, for purposes of audit.
4.7 Data Practices. All data created, collected, received, stored, used, maintained, or
disseminated for any purpose in connection with this Agreement is governed by the
Minnesota Data Practices Act, as well as other State and Federal rules and regulations
relating to data privacy.
4.8 Assignment and Delegation. Neither parry shall assign its rights or delegate its
duties under this Agreement without receiving the prior written consent of the other
parry.
4.9 Liabili . Each parry will be solely responsible for its own acts and omissions and
the results thereof, to the extent authorized by law. The parties mutually agree to
indemnify and hold harmless each other from any claims, losses, costs, expenses or
damages resulting from the acts or omissions of the respective officers, agents, or
employees relating to activities conducted by either parry under this Agreement.
Minnesota Statutes Chapter 466 and other applicable laws govern the parties' liability.
4.10 Severability. In the event that any portion of this Agreement shall be held to be
invalid, such invalidity shall not affect the validity of the remainder of this Agreement.
IN WITNESS WHEREOF, the Parties hereto have executed this Agreement to be effective as of
the Effective Date set forth above.

1.1 Additional Administration ofthe project will include additional monthly progress
reports with budget status, invoicing, contract amendment requests (if necessary),
cost and schedule updates, billing preparation, other non -technical work,
communication with the necessary project personnel and all other work to ensure
all the project tasks are completed on time, within budget and in accordance with
state and federal laws, rules and regulations.
1.2 Progress reports and invoices will be submitted on a monthly basis. The progress
report will show the progress for the month and the progress to date for each task,
including budget status.
1.3 Due to delay in project schedule additional PMT meetings are anticipated. Project
Management Team meetings will be held to confirm the basic project objectives,
solidify a work plan, obtain consensus on project requirements, monthly project
status and updates. PMT's will also be used to update the project layout and 30%
Construction Plans.

Assumptions:
- Construction limits will be included on the layout and considered 30%design.
- Major drainage features will be shown on the layout and will include a storm sewer
system along with any additional ponding or treatment requirements needed for
the new curb & gutter/ boulevard section and future trail accommodations.
- Layout with future trail will be developed to study with sufficient detail to
understand impacts and costs. The single layout alternative will be based on the
preferred concept based on PMT input and County decision. (Assumes no 3D
element to layout, 2D only.)
- No revisions to the CATEX document are anticipated. Future trail considerations will
not be covered in the CATEX, design tables, typical sections or other required NEPA
documents.
Client Deliverables:
- County authorize SRF to move forward with Amendment #2.
- Countyto provide additional topographical survey shots along south side of CSAH
33 between TH 169 and Auburn St. (Previously completed and added to project
files).
- Countyto provide additional topographical survey shots along north side of CSAH

- Realignment of CSAH 33 (up toll feet north) is requested from 350 feet west of
Auburn Street thru Smith Street and sections along the new corridor prior to the
roundabout to accommodate the future trail along south side of CSAH 33.
- Right of way linework needs to be updated for CSAH 33 centerline shift.
- No intersection lighting required at side streets.
- No trail surfacing or subbase (aggregate or bituminous) is planned.
- An urban section consisting of curb and gutter along south edge of shoulder from
approximately 350 feet west of Auburn Street east through the intersection of
Quincy Street is planned for accommodating the future trail. Additional sections of
urban (curb and gutter) are planned from approximately 100 feet of the planned
cattle pass east to the roundabout.
- Urban boulevard width will be a typical 5 feet measured from face of curb to the
grading PI for the section of CSAH 33 from the TH 169 exit ramp east thru Quincy
Street.
- Trail is not carried anyfurtherthan a graphical representation (2D)
- Additional stormwater treatment locations, including pond(s) will be reviewed to
accommodate both the current project and future trail construction. Storm water
treatment locations will be located and designed to provide flexibility for the current
and future expansion abilities.
- Adjust two previously proposed stormwater treatment ditches to accommodate
road shift to the north. Proposed design does NOT account for treatment of future
trail impervious.
- No pedestrian ramps or ADA design are included forthe futuretrail.
- Engineer's Estimate and Statement of Estimated Quantities (SEQ) will be expanded
to provide separate quantity columns for County & City cost participation for CSAH
33 and separate column for County participation on CSAH 13.
- No specific driveway design required for future trail considerations. SRF will cut
sections at driveways for new CSAH 33 alignment and review driveway slopes for
general conformity for future trail. Minor grade adjustments will be reviewed (if
necessary) to facilitate the future trail as deemed reasonable with this project.
- No modifications to the roundabout are included with this additional scope.
- QC reviews are included in each task as necessary.
- No bench will be graded into the back slope alongthe rural section east of Quincy
Street forthe future trail.

3.1.1 Provide additional project management including day to day check -ins with staffto

north project limits to update base files, and existing 3D model (if deemed

3.1.4 Review CSAH 33 alignment. Layout proposed 10-11 foot shift north from Auburn
Street thru Smith Street and from Quincy Street east to the west channelization for
the roundabout. Modify alignment to reflect final alignment. Coordinate alignment
shift with County.
3.1.5 Update the geometry basefile to reflectthe proposed CSAH 33 shift. Update
includes mainline, left bypass lanes, driveways, side street connections and other
affected geometry. Update includes showingthe future trail location for
schematical visual purposes only (no 3D design). Future trail will not be depicted
on construction plans or cross sections.
3.1.6 Recut existing groundlines along newly established alignments for Auburn Street,
Yale Street, Vance Street, Ulysses Street and Smith Street.
3.1.7 Review CSAH 33 profile based upon adjusted alignment. Areas of specific concern
include at Ulysses Street (sight lines) and east of Quincy Street where CSAH 33
splits two residential driveways. (Assumes alignment shift is approved at 10 or 11
feet, onetime update.)
3.1.8 Extend alignments and update profiles for Auburn Street, Yale Street, Vance Street,
Ulysses Street and Smith Street due to CSAH 33 alignment/profile shifts.
3.1.9 Recompute intersection sightlines at each intersection (excludes CSAH 13) due to
alignment and profiles revisions. Make corrective updates deemed appropriated
for alignment and/or profiles (mainline or side street).
3.1.10 Update Civil 3D models to incorporate urban typical section and 5-foot boulevard
along south side of CSAH 33 from approximately 350 feet west of Auburn Street
east to Quincy Street.
3.1.11 Update Civil 3D models to develop urban section from approximately 1OO feet west
of cattle pass east to the roundabout.
3.1.12 Update proposed right of way linework in right of way basefile to reflect alignment
shifts where appropriate.
3.1.13 Recut cross sections (existing groundlines and proposed) along revised alignment
and profile. Review sections, make appropriate revisions or adjustments. Cut
sections to plan sheets.

Software Version Deliverables
SRF will utilize the current version of the software deemed at the start of the project. SRF will assess the need to upgrade software versions based on the software vendors User License Agreement and the viable upgrade path for
existing project content. In the event that a specific CAD or other software version is required per deliverables specified in a contract for services, SRF shall comply with the specified version provided that the specified version may
not conflict with SRF's contractual obligation to its software vendors regarding the supported software versions at the time of delivery. In the case of conflict between contractual obligations and software vendors User License
Agreement, the vendor supported version will be delivered to the client and SRF will notify the client in writing of the software version that will be utilized prior to delivery. If there are associated costs, SRF will identify the costs
and the additional costs will be mutually agreed upon.

- Realignment of CSAH 33 (up to 11 feet north) is requested from 350 feet west of
Auburn Street thru Smith Street and sections alongthe new corridor prior to the
roundaboutto accommodate the future trail along south side of CSAH 33.
- No trail surfacing or subbase (aggregate or bituminous) is planned.
- An urban section consisting of curb and gutter along south edge of shoulder from
approximately 350 feet west of Auburn Street east through the intersection of
Quincy Street is planned for accommodating the future trail. Additional sections of
urban (curb and gutter) are planned from approximately 100 feet of the planned
cattle pass easttothe roundabout.
- Urban boulevard width will be a typical 5 feet measured from face of curb to the
grading PI for the section of CSAH 33 from the TH 169 exit ramp east thru Quincy
Street.
- Additional stormwater treatment locations, including pond(s) will be reviewed to
accommodate both the current project and future trail construction. Stormwater
treatment locations will be located and designed to provide flexibility for the current
and future expansion abilities.
- Adjust two previously proposed stormwater treatment ditches to accommodate
road shiftto the north. Proposed design does NOT account for treatment of future
trail impervious.
- QC reviews are included in each task as necessary.
- No bench will be graded into the back slope alongthe rural section east of Quincy
Street for the future trail.
Client Deliverables:
- Review of 30% Plans (2nd submittal package)
- Review of updated preliminary layout, cost estimates and memos associated with
the future trail accommodation.
3.1.15 Stormwater/ Drainage design
