6. SWCSR 06-29-2023CONTRACTOR SERVICES AGREEMENT
This CONTRACTOR SERVICES AGREEMENT (the "Agreement") is made and entered
into this 22" d day of February, 2023, by and between the Sherburne/Wright Counties Cable
Communications Commission, a municipal joint powers entity (the "Commission") and Jackson
Groskreutz, an individual person (the "Contractor") (collectively, the "Parties").
RECITALS
WHEREAS, the Commission desires to contract with Contractor to provide videographer
services for specific events; and
WHEREAS, the Contractor agrees to provide videographer services for the events; and
NOW THEREFORE, in consideration of the mutual covenants, terms, conditions and
representations contained herein, the Parties agree as follows:
AGREEMENT
1. Term and Termination. This Agreement shall be effective on the date entered above.
This Agreement shall terminate on December 31, 2023, unless the parties agree to extend the term
in writing. This Agreement may also be terminated by either party at any time by providing 30
days' written notice as described below.
2. Events. Contractor shall provide videographer services for the following events:

Any other event for which the parties agree to in writing.
3. Fees. For all events, Contractor shall be paid at a flat rate of $450.00 per event per day.
Contractor shall also be paid $45.00 for each hour for each event that exceeds 10 total hours.
Contractor shall also be paid $45.00 for each hour for additional events on days with multiple events.
4. Invoices. Contractor shall submit billing invoices for services rendered, via email. The
invoice shall list all Commission events, the date of the event, and the actual hours worked by the
Contractor. The Commission shall pay such invoices within 30 days.
5. Indemnification. The Commission and Contractor hereby agree to indemnify each other
and hold each other harmless from any and all claims, causes of action, lawsuits, judgments, charges,
demands, costs, and expenses, including, but not limited to, interest involved therein and attorneys'
fees and costs and expenses connected therewith, arising out of or resulting from the failure of either
party to satisfy the provisions of this Agreement or for damages caused to other parties as a result of
the manner in which the Commission and Contractor perform or fail to perform duties imposed on
each party by the terms of this Agreement. Under no circumstance, however, shall either party be
required to pay on behalf of itself and the other party any amounts in excess of the limits on liability
established in Minnesota Statutes, Chapter 466. The limits of liability for the parties may not be added
together to determine the maximum amount of liability for either party.
6. Notices. Invoices, notices, or other communication between the parties shall be
sufficiently given if sent by United States mail, postage prepaid, return receipt requested, delivered
personally, or sent by email:

7. Miscellaneous.
a. Contractor agrees to follow all Commission and SWTV guidelines while
providing services these events.

b. Contractor shall only provide services for events that the Commission's
Employee Committee approves ahead of time.
c. Contractor agrees to submit any video production materials immediately
following each event.
d. If any portion of this Agreement is held invalid by a court of competent
jurisdiction, such decision shall not affect the validity of any remaining portion of
the Agreement.
e. This Agreement shall be governed by and construed in accordance with the laws
of the state of Minnesota. Any disputes, controversies, or claims arising out of
this Agreement shall be heard in the state or federal courts of Minnesota. All
parties to this Agreement waive any objection to the jurisdiction of these courts,
whether based on convenience or otherwise.
f. Neither party shall assign this Agreement without the prior written consent of the
other party.
g. This Agreement may be supplemented or amended only by written instrument
executed by the parties.
h. This Agreement may be executed simultaneously in any number of counterparts,
all of which shall constitute one and the same instrument.
IN WITNESS WHEREOF, the parties have caused this Agreement to be duly executed as
of the date first above written.
