Background/Discussion
This spring, staff posted a request for bids on QuestCDN for the construction of a storage garage at Yr�C.
No bids weYe Yeceived through that posting. The request foY bids was then sent to three local companies via email
and one quote was Yeceived byr the deadline from Dahlheimer Construction Inc.
Since the quote was originally received, the building was slightly enlarged from 30'x20' to 32'x24' to better utilize
the site location. Construction is to be substantially completed by December 1, 2023.

AGREEMENT made this day of , 20 , between the
CTTY OF Elk River, a Minnesota municipal corporation ("City"), and
Dahlheimer Gonstruction Inc., a corporation organized and e�sting under the laws of the State of
Minnesota ("Contractor").
IN CONSIDERATION OF THE MUTUAL UNDERTAKINGS HEREIN
CONTAINED, THE PARTIES AGREE AS FOLLOWS:
1. CONTRACT DOCUMENTS. The following documents sha11 be referred to as the
"Contract Documents", a11 of whic� sha11 be taken together as a whole as the contract between the
parties as if they were set verbatim and in full herein:

B. Proj ect Description; Specifications, or Proposal dated 5-1 &2023
C. Quote dated 6-8-2023
D. Certificate and Insurance Policy
In the event of conflict among the provisions of the Contract Documents, the order in which they are
listed above sha11 control in resolving any such conflicts with Contract Document "A" having the first
priority and Contract Dociunent "C" having the last priority.
2. OBLIGATIONS OF THE CONTRACTOR. The Contractor sha11 provid,e the
goods, services, and perform the work in accordance with the Contract Documents and in compliance
with federal, state and local laws. This contract may be terminated by the City at any time upon
discovery by the City that the Contractor or any of its subcontractors has submitted a false statement
under oath verifying compliance with any of the minimum criteria set forth in Minn. Stat. § 16C.285,
Subdivision 3, the Responsible Contractor statute.
3. UBLIGATIONS OF THE CITY. The City sha11 pay the Contractor the sum of
$ G6,451 inclusive of sales tax.
4. ASSIGNMENT. Neither party may assign, sublet, or transfer any interest or
obligation in this Contract without the prior written consent of the other party, and then only upon
such terms and conditions as both parties may agree to and set forth in writing.

The Additional Insured coverage must be primary and non-contributory. Products and Completed
Operations Insurance sha11 be maintained for a minimum period of three (3} years after final payment
and Contractor sha11 continue to provide evidence of such coverage to City on an annual basis during
the aforementioned period; or if any reason Contractor's work cea.ses before final payment, for a
minimum period of three (3) years from the date Contractor ceases work. Coverages must be
equivalent to that provided by ISO Forms CG 2010 04 13 and CG 20 37 04 13.
Property Damage Liability Inswance shall include coverage for the foliowing hazards:

For any contract involving the repair, maintenance or construction of property that involves the
provision of equipment, supplies or materials to the City for projects greater than $100,000, the
Contractor shall obtain and maintain Builder's Risk insurance in an amount not less tha.n the project

17. ENTIRE AGREEMENT. This Contract represents the entire agreement of the
parties and is a final, complete, and all-inclusive sta.tement of the terms thereof, and supersedes and
terminates any prior agreement(s}, understandings, or written or verbal representations made between
the parties with respect thereto.
