Task Order Amendment to the
DGR ENGINEERING
Master Agreement for Professional Services
DGR Engineering (Consultant) agrees to provide to: Elk River Municipal Utilities (Client), the
professional services described below for the Project identified below. The professional services
shall be performed in accordance with and shall be subject to the terms and conditions of the
Master Agreement for Professional Services executed by and between Consultant and Client on
the 22nd day of March , 20 23 .
TASK ORDER PROJECT NAME: East Substation Construction
TASK ORDER PROJECT DESCRIPTION: Client intends to construct a new 69/13.2 kV
substation. The substation will have one 115 kV line terminal, one 115 kV circuit breaker, one
69/13.2 kV transformer, an outdoor distribution box structure accommodating distribution circuits
with reclosers, a substation control enclosure, and associated materials as required.

Design Phase (Lump Sum):

• Review and update general arrangement plan, section view drawings, and one -line
diagram and submit for Client review.
• Provide high-level project schedule and estimates as needed.
• Coordinate and arrange for field survey and topographic work at the substation site as
required.
• Review soil borings and geotechnical testing necessary for the project to be used in
designing foundations for the substation structures.
• Review soil resistivity testing to be used in designing the substation ground grid.
• Develop site grading plans using existing site development plans or new survey provided
by Client. Site grading plans include design and details for the access road, substation pad,
drainage outside the substation, and the SWPPP.
• Develop steel structures design based on typical structures furnished by Client. Provide
design for Client's review and for steel structure bidding after Client's review.

• Review and update control enclosure plans and details, including AC station power and
DC battery system equipment designs and submit for Client review and control enclosure
bidding.
• Review and update control panel layouts and material lists and submit for Client review
and control panel bidding.
• Review and update final physical design including bus work, shielding, foundations,
grounding, raceways, fencing, and substation bill of material list. Submit physical design
for Client review and for construction.
• Review and update relay and control design for 69 IN line, 69/13.2 kV transformer, 13.2
kV bus, metering, and associated equipment. Submit for Client review and for control panel
fabrication.
• Review and update RTU (SEL-RTAC) design. Submit for Client review and for control
panel fabrication.
• Create final yard equipment wiring diagrams, interconnection wiring diagrams, and control
cable schedules and assemble final relay and control schematic and wiring diagrams after
fabrication of all equipment. Submit entire package for Owner review and then for
construction purposes.
• Coordinate design issues with others as needed, including coordination with GRE for
transmission line interface.
• Produce additional drawings, plans, sketches, elevations, schematics, diagrams,
descriptions, and documents necessary to describe the intended construction.
Bidding Phase(Hourly):
• Develop contract and specifications for power transformer to be delivered, installed, and
tested on site by transformer manufacturer.
• Develop contracts and specifications for major material procurement via an RFQ process
or sealed public bid process, if required. Major material includes substation steel structures,
115 kV circuit breaker, 69 kV potential transformer, 115 kV switch, 15 kV reclosers,
substation control enclosure, and relay panels.
• Develop contracts, specifications, and material list for miscellaneous minor material
package procurement via an RFQ process or sealed public bid process, if required.
• Produce plans and specifications with contract documents as required, to define
construction requirements and allow for receiving of construction bids for foundation
installation and substation fence installation by contractor.
• Provide bidding documents to interested bidders, issue plan holder lists, and respond to
bidder questions.
• Assist Client in analyzing bids, develop spreadsheets detailing bid results, and make
recommendations of award of contracts.
Construction Phase (Hourly):
• Organize and attend preconstruction conferences as needed.
• Review shop drawings from contractors and from major material suppliers.
• Assist in construction administration and scheduling as needed for transformer
manufacturer, major equipment suppliers, and contractors.
• Coordinate substation fence corner post and baseline staring prior to construction.

• Provide telephonic or on -site construction phase assistance as requested by Client.
• Respond to construction phase questions, process progress payments, and prepare change
orders (if needed).
• Assemble equipment testing specifications and quote package for obtaining testing
contractor if requested by Owner.
• Develop or review protective relay settings for the substation equipment. Develop and
assemble protective curves for Owner review and documentation.
• Develop or review LTC controller settings for the new transformer.
Post -Construction Phase (Hourly):
• Conduct project walk-throughs and develop a punch list.
• Develop close out documents for signatures (if required).
• Assemble and transmit to Client construction record drawings and vendor drawings and
manuals.
• Develop SPCC (Spill Prevention Control and Countermeasures) Plan.
CLARIFICATIONS/ASSUMPTIONS/LIMITATIONS: The following are our clarifications,
assumptions, and limitations around which our scope of work and fee was developed:
• Resident project observation was not included in the services but may be provided as an
additional service for construction activities if requested by Client.
• Geotechnical services, including soil resistivity testing, and surveying services are not
included in the fee. These services will be provided by the Client.
• 69 kV transmission line design and construction administration will be completed by
others. Associated transmission line easement activity, if required, will be completed by
others.
• Remote terminal work at other substations is not included in the Scope of Work for this
outline.
• Client will administer all public bid openings for material and construction.
• Storm water quality and detention volume design and calculations are not included in the
scope of work, as it is assumed that these items are not required for this project and that
they have already been accounted for in the previous site development design. If required,
additional fees may apply.
• Pennitting applications and efforts are not included in the scope of work, as it is assumed
that no stormwater, wetland, flood zone, or local project permitting is required. Permitting
required for access roads shall be completed by Client.
• Client intends to provide the following services associated with the project. Client may
request Engineer to perform these services later via mutually agreed change order or hourly
rates:
o Provide preliminary designs for Engineer's use.
o Identify outage requirements and durations.
o Coordinate construction activities, including managing construction activities
performed by Client.
o Perform RTU (SEL-RTAC) programming and commissioning, including RTU
points list development.

o Perform commissioning of the substation equipment.
o Commission SCADA points and controls, including screen updates for facilities
and testing SCADA controls and status.
• Fee does not include formal transformer design review, transformer factory visits, or
transformer test witnessing.
• Client will complete construction with internal resources except for foundations and
substation fence. Specifications for Client installation beyond those indicated on the
drawings will not be developed or reviewed by Consultant, as it is assumed that Client
installation standards are preferred and will be followed.
• Scope of Work assumes a concrete curb design for transformer oil containment. If more
complex containment design is required, additional fees may apply.
• Distribution design outside of the substation associated with this project will be
completed by Client.
• Control panel wiring diagrams will be completed by the panel supplier based on
schematics created by Consultant.
• Recloser schematics and wiring design will be completed by recloser manufacturer.
Consultant will implement final manufacturer drawings into the substation drawing set as
required.
• Client will provide AutoCAD files of recently designed sample substation for
Consultant's use on this project.
PROJECT BUDGET: The Client developed a project budget for their internal budgeting and
planning. A revised project estimate will be completed as part of the design services.
FEE ARRANGEMENT: The fee structure for this project is shown below:

The lump sum fee includes all expenses including mileage, subsistence and deliverables costs,
and progress billings will be invoiced monthly to represent the appropriate percentage
complete for applicable lump sum task.
All hourly work will be billed at the Hourly Fee schedule in effect at the time the work is
performed. The current fee schedule is attached as Exhibit A. In addition, expenses associated
with travel and vehicle mileage at IRS rates will be charged while personnel are on -site.
