City of Elk - River To City Council Meeting Date June 17, 2024 Item Description Select Consultant for the 2024 Downtown Small Area Plan Request for Action Item Number 4.13 Prepared By Zack Carlton, Community Development Director Reviewed by Zack Carlton Cal Portner Tina Allard Action Requested Approve, by motion, the selection of Bolton and Menk to prepare the 2024 Downtown Small Area Plan. Background/Discussion The 2024 CIP includes funding for a renewed vision of the downtown area in the form of a small area plan. This plan will respond to the current market conditions, community vision, and changing traffic patterns resulting from the updates to Highway 169. Submitted proposals were also evaluated for their community outreach and public participation processes. The city received four qualified proposals ranging in cost from $94,805 to $99,500 all at or below the $100,000 budgeted. Four staff members reviewed the proposals and unanimously selected Bolton and Menk as the first choice due to their clear deliverables, focus on public input, timeline and experience. The proposal is detailed and outlines their process throughout the project. Bolton and Menk proposed a not to exceed cost of $99,400 and staff believes their proposal closely aligns with the city's goals. Staff will work with the consultant to establish a steering committee to provide guidance on plan goals, composition, and recommendations. The committee will include representatives from the City Council, the multiple boards and commissions, and downtown stakeholders. Once a quiet riverside hamlet surrounded by farmland, Elk River has grown into a thriving community of nearly 30,000. While the history of downtown is over a century old, much of the city's population growth has occurred in the last 30 years. This growth has largely focused on an outward trajectory, as the city's service area, street network, and population distribution have spread into surrounding farmland and green fields. As the city continues to invest in its future, it finds itself looking inward to the heart of the city: DOWNTOWN. Downtown serves several important purposes. They provide a focal point for community identity, a place for serving daily needs, and an opportunity to provide a more compact and walkable urban environment. Public spaces downtown often serve as gathering points for community events like the farmer's market or summer concert nights. They serve an important economic development purpose acting as an incubator for small businesses, a vehicle for attracting outside spending and investment, and a place for local commerce to thrive. MUCH OF ELK RIVER'S RECENT GROWTH HAS BEEN OUTWARD. THE DOWNTOWN MASTER PLAN REPRESENTS A UNIQUE OPPORTUNITY TO LOOK INWARD - TO HELP SHAPE THE HEART OF ELK RIVER. PROJECT UNDERSTANDING Downtown Elk River is well -positioned for a bright future. It has a strong history, it's located at the crossroads of two major thoroughfares, and it has been recently guided for significant growth and change through the visionary comprehensive plan update. The downtown master plan provides the city with an opportunity to turn that vision into reality by translating ideas and goals into outcomes. Implementing change requires attention to detail, and an understanding of how multiple parts come together, with an understanding towards how the city can: • Guide growth, particularly along Main St and Jackson St, with thoughtful development planning and design guidance. • Reinforce and enhance a connectivity network that makes it easy for people and goods to get around, while addressing connectivity challenges from Hwy 10 and the rail line. • Develop a public realm and open space network that brings people together and provides space for community interactions. • Understand housing needs of the city and where to fill the gaps. • Position Downtown Elk River to benefit from major transportation projects including Hwy 169 Redefine and changes to Highway 10. - • 1 •• ` M•!� �1 Aw, �! On any given day, downtown should come alive with the patterns of daily life. While a master plan for downtown cannot dictate or script these experiences, a plan will help create the spaces for memorable experiences and friendly encounters to unfold; it will guide the uses and design of private development by setting clear and achievable expectations. We propose a team approach that will leverage the knowledge and experience of subject matter experts. The plan we create with you will be both aspirational and achievable. It will be a road map to an encompassing idea about what downtown can become. It will be based on sound analysis, design fundamentals, and an open and creative process that defines necessary actions, projects, and initiatives necessary to create a dynamic and vibrant downtown for years to come. To realize this aspiration, our approach is based on the following factors. We view these as key to a successful project approach and delivery: PROJECT APPROACH KNOWLEDGE -SHARING CONSENSUS BUILDING Elk River's greatest wealth is in its people, who we anticipate will bring an array of insight and curiosity. Leveraging this resource means making room for both general engagement and targeted information -sharing to dig deeper into topics of interest. We used targeted stakeholder engagement, such as with brokers and developers, to ensure a variety of input is gathered to reach a well-informed consensus on the best path forward CONNECTION MAPPING The downtown area is connected, and encumbered by, physical and economic networks locally, regionally, and beyond. Our approach looks at the relationships and dependencies, using quantitative and qualitative data, to demonstrate the significance of downtown, and determine what changes would mean at all levels. CHARACTER DEFINING SCENARIOS The transitional nature of the downtown means there is likely significant latitude in exploring options towards defining this as a cohesive place. This will include exploration of design scenarios that consider options for land use, public realm, infrastructure, natural amenities, and other improvements necessary to reinforce a unique sense of place while remaining responsive to the existing and surrounding character. PUBLIC/PRIVATE INVESTMENT FRAMEWORK Our team will ensure this project is grounded in an understanding of broader market realities, and the specific disposition of properties within the study area. Based on our experience and the RFP, we have crafted a proposed scope of work necessary to complete the plan thoughtfully, with recommendations that can be realized. We are excited to be joined by Leland Consulting Group (LCG), who bring decades of industry - leading real estate and economic analysis experience. Members of the public, offer broad project suggestions and feedback at major milestones PROJECT APPROACH TASK 0: PROJECT MANAGEMENT Our project management approach is rooted in personable and proactive communication that prioritizes collaboration, transparency, and trust. Our team, led by Mike Thompson, will maintain regular communication with city staff throughout the project. During an initial project kickoff meeting, we will establish and confirm a regular meeting and reporting schedule. We expect this to at a minimum include: • Kick off meeting • Bi-weekly staff check ins TASK 0 DELIVERABLES: • Project kickoff meeting and project management plan • Regular progress report meetings TASK 1: ENGAGEMENT AND OUTREACH In coordination with city staff, we will develop a public engagement plan that is inclusive, accessible, and transparent. We expect this to at least include: • Monthly Steering Committee meetings • One-on-one meetings with key stakeholders • Up to five one-on-one developer or real estate expert meetings • Up to three community open houses or pop -ups • One public online and paper survey • Digital and paper materials such as fliers, yard signs, or sidewalk decals to advertise the project locally • Up to three planning commission and/or council work sessions/meeting Our team will prepare and distribute all necessary agendas, materials, and summaries for each event in consultation with city staff. We anticipate that city staff will provide a list of key stakeholders and help advertise local events. TASK 1 DELIVERABLES: • Engagement plan that details timelines, audiences, agendas, and content to be used at each outreach event • Event -specific and final engagement report that summarizes each outreach activity, input received, and recommendations for future outreach TASK 2: EXISTING CONDITIONS AND MARKET ASSESSMENT To ensure a thoughtful understanding of downtown's context, we will conduct an existing conditions assessment of the physical, policy, and cultural context of the area. Assessing downtown's current conditions, particularly in a post -pandemic economic environment, will be foundational to identifying key plan themes, projects, and recommendations. This assessment will include a focus on: Physical Analysis: Surrounding land use, design, and development patterns; roadways and multimodal network; natural and public spaces; public and private utilities; major area businesses and land owners. Policy Analysis: Local and regional land use, transportation, and public space policies; relevant environmental guidance; key goals of area agencies and jurisdictions. Cultural Analysis: Major destinations; formal or informal historic sites; community -significant locations in or around the area. 2024 DOWNTOWN SMALL AREA PLAN I ELK RIVER, MN 4 j Page 94 of 32 We will pair existing conditions assessment with an LCG-led market research of socioeconomic, economic, and real estate data. We will also identify land use and development opportunities, highlight development constraints, explore potential models for future development, and calculate demand and market potential for residential, commercial, industrial, and other uses. In addition to the standard data sources like CoStar, Census/ACS, and Bureau of Labor Statistics, we also incorporate new data sources such as Placer Al cellphone-based location intelligence data will be used to ensure our analyses are tailored to the specific physical, market, financial, and regulatory conditions of the study area. To better understand the economic opportunities in Elk River, LCG must first understand how the market is perceived by stakeholders. LCG will supplement quantitative market analysis with targeted stakeholder outreach (conducted both on -site and virtually), which may include developers and brokers, major landowners and business owners, financial/lending institutions, educational institutions, and other economic development partners. The market analysis will include the identification of potential catalyst redevelopment sites and proposed uses for each that can be incorporated into the implementation plan. We will compile existing conditions and market analysis findings into an existing conditions memo, which will use graphical representations of key findings and supportive text. PROJECT APPROACH The existing conditions assessment may identify smaller character areas, such as the corridors leading into downtown, in order to focus and orient concept scenarios, recommendations, and overall plan composition. TASK 2 DELIVERABLES: • Draft and final conditions memo with associated graphics, exhibits, and narrative • Character area maps and descriptions TASK 3: DOWNTOWN FRAMEWORK PLAN AND RECOMMENDATIONS Using information and feedback gathered, our team will explore thematic concepts that outline a framework plan for downtown, focusing on each character area. The plan will describe conditions and opportunities for the downtown area and ascribe recommendations. We proposed three frameworks to cover: Development: Land use and development scale, density, patterns, and desired redevelopment concepts; block patterns and scale; targeted economic development opportunities. Connectivity: Multimodal connectivity, access, and circulation with a focus on active transportation; readiness for future planned transportation projects. Open Space: Placemaking opportunities and locations for new or enhanced public spaces; preservation of natural spaces; connections to and views of the river; streetscape enhancements; leveraging sustainable design and systems towards a more resilient downtown and corridors. Each framework plan can stand alone; however, their strength comes from the ways in which they reinforce each other. Together, the plans will serve as a lens to organize an implementation plan and align future public and private actions. The framework plan will be described in graphics and narrative to ensure it is easily understandable to the general public, and able to be reviewed and refined by key stakeholders. In order to realize recommendations from the framework plans developed throughout the process, we will establish an implementation plan with clearly outlined public and private action steps, responsible parties, suggested timelines, suggested performance metrics, and funding sources for key deliverables. Over the last five years, Bolton & Menk'sfunding team has secured more than $375 million in project funding. This expertise, coupled with LCG's strategic approach to real estate positioning, and experience facilitating public -private partnerships, uniquely positions our team to identify solutions that will provide the greatest likelihood of successful project delivery and maintenance. The implementation plan will be a chapter of the downtown plan but can be used independently of the plan for clear stakeholder guidance. DOWNTOWN MONTICELLO MASTER PLAN AND STREETSCAPE CITY OF MONTICELLO, MINNESOTA Monticello's downtown has been adversely impacted by regional traffic and tensions over parking and density. The master plan created a vision for downtown that connects the city's two most beloved assets —the riverfront and the civic center —with a promenade lined with new buildings, public art, and an all -ages trail. The plan converts 'retail -only' main street into an activate mixed -use destination. Since plan was completion, more than 200 new housing units have been developed, and key public spaces have been improved. Bolton & Menk led the entire downtown station area planning and analysis for downtown Robbinsdale. The team provided development alternatives and explored integration of new LRT infrastructure with the future desired urban form and key public space opportunities necessary to stitch together the city's center. Through extensive stakeholder outreach including interviews with developers, landowners, bankers, and brokers, LCG helped to ensure that the plan updates were based on a sound understanding of local and regional market supply and demand forces. In addition to "right -sizing" expectations for future development across major land use types, LCG's research led to recommendations for prioritization of redevelopment opportunity nodes and advice for how best to capitalize on emerging real estate trends. ("Consultant") whose business address is 111 Washington Ave South, Suite 650, Minneapolis, MN 55401. PRELIMINARY STATEMENT The City has adopted a policy regarding the selection and hiring of consultants to provide a variety of professional services for City projects. That policy requires that persons, firms, or corporations providing such services enter into written agreements with the City. The purpose of this agreement is to set forth the terms and conditions for the professional services Consultant will provide in connection with the 2024 Downtown Small Area Plan herein referred to as the "Work". The City and Consultant agree as follows: 1. Work. The Consultant agrees to provide the professional services described in Exhibit A attached hereto (the "Work"). 2. Time for Performance of Services. The Consultant shall perform the services described in Exhibit A according to the schedule attached as Exhibit B, hereto. 3. Compensation for Services. City agrees to pay the Consultant 9$ 9,400 for the Work. Any changes in the scope of the Work which may result in additional compensation due to the Consultant shall require prior written approval by an authorized representative of the City or by the City Council. The City will not pay additional compensation for services that do not have prior written authorization. 4. The City agrees to provide the Consultant with the information required to complete the Work. Method of Payment. The Consultant shall submit itemized bills for professional services performed under this Agreement on a monthly basis. Bills submitted shall be paid in the same manner as other claims made to the City. Page 1 of 7 Standard Agreement For Professional Services Page 108 of 372 Project Manager and Staffing. The Consultant has designated the individuals identified in Exhibit A as the Project Manager to serve on the Project. The Project Manager shall be assisted by other staff members as necessary to facilitate the completion of the Project in accordance with the terms established herein. Consultant may not remove or replace the Project Manager without the approval of the City. 7. Standard of Care. Standard of Care. Consultant shall exercise the same degree of care, skill and diligence in the performance of the Work as is ordinarily exercised by members of the profession under similar circumstances in Minnesota. Consultant shall be liable to the fullest extent permitted under applicable law, without limitation, for any injuries, loss, or damages proximately caused by Consultant's breach of this standard of care. Consultant shall put forth reasonable efforts to complete its duties in a timely manner. Consultant shall not be responsible for delays caused by factors beyond its control or that could not be reasonably foreseen at the time of execution of this Agreement. Consultant shall be responsible for costs or damages arising from unreasonable delays in the completion of the Work. Audit Disclosure. The Consultant shall allow the City or its duly authorized agents reasonable access to such of the Consultant's books and records as are pertinent to the work performed under this Agreement. Any reports, information, data, etc. given to, or prepared or assembled by, the Consultant under this Agreement which the City requests to be kept confidential shall not be made available to any individual or organization without the City's prior written approval. All finished or unfinished documents, data, studies, surveys, drawings, maps, models, photographs, and reports prepared by the Consultant shall become the property of the City upon termination of this Agreement, but Consultant may retain copies of such documents as records of the services provided. Term. The term of the Agreement shall be from June 17, 2024, through May 31, 2025, the date of signature by the parties notwithstanding. This Agreement may be extended upon the written mutual consent of the parties for such additional period as they deem appropriate, and upon the terms and conditions as herein stated. 10. Termination. This Agreement may be terminated by the Consultant effective upon sixty (60) days' written notice delivered to the City at the address written above. The City may terminate this Agreement effective immediately, upon with notice to the consultant. Upon termination under this provision, the Consultant shall be paid for services rendered and reimbursable expenses until the effective date of termination. If, however the City terminates this Agreement because the Consultant has failed to perform in accordance with this Agreement, no further payment shall be made to the Consultant, and the City may retain another consultant to undertake or complete the Work. At all times and for all purposes herein, the Consultant is an independent contractor and not an employee of the City. No statement herein shall be construed so as to find the Consultant an employee of the City. 12. Non -Discrimination. During the performance of this Agreement, the Consultant shall not discriminate against any employee or applicant for employment because of race, color, creed, religion, national origin, sex, marital status, status with regard to public assistance, disability, or age. The Consultant shall post in places available to employees and applicants for employment, notices setting forth the provision of this non-discrimination clause and stating that all qualified applicants will receive consideration for employment. The Consultant shall incorporate the foregoing requirements of this paragraph in all of its subcontracts for program work, and will require all of its subcontractors for such work to incorporate such requirements in all subcontracts for program work. 13. Assignment. Neither party shall assign this Agreement, nor any interest arising herein, without the prior written consent of the other party. 14. Services Not Provided For. No claim for services furnished by the Consultant not specifically provided for in Exhibit A shall be honored by the City. 15. Severability. The provisions of this Agreement are severable. If any portion hereof is, for any reason, held by a court of competent jurisdiction to be contrary to law, such decision shall not affect the remaining provisions of this Agreement. 16. Entire Agreement. The entire agreement of the parties is contained herein. This Agreement supersedes all oral agreements and negotiations between the parties relating to the subject matter hereof as well as any previous agreements presently in effect between the parties relating to the subject matter hereof. Any alterations, amendments, deletions, or waivers of the provisions of this Agreement shall be valid only when expressed in writing and duly signed by the parties, unless otherwise provided herein. 17. Compliance with Laws and Regulations. In providing services hereunder, the Consultant shall abide by all statutes, ordinances, rules and regulations pertaining to the provisions of services to be provided. The Consultant and City, together with their respective agents and employees, agree to abide by the provisions of the Minnesota Data Practices Act, Minnesota Statutes Section 13, as amended, and Minnesota Rules promulgated pursuant to Chapter 13. Any violation of statutes, ordinances, rules and regulations pertaining to the services to be provided shall constitute a material breach of this Agreement and entitle the City to immediately terminate this Agreement. 18. Waiver. Any waiver by either party of a breach of any provision of this Agreement shall not affect, in any respect, the validity of the remainder of this Agreement. 19. Indemnification. Consultant agrees to defend, indemnify and hold harmless the City and its officials, employees and agents from any liability, claims, damages, costs, Page 3 of 7 Standard Agreement For Professional Services Page 110 of 372 losses judgments, or expenses, including reasonable attorney's fees, resulting directly or indirectly from a negligent act or omission (including without limitation professional errors or omissions) of the Consultant, its agents, employees, or subcontractors in the performance of the services provided by this Agreement and against all losses by reason of the failure of said Consultant fully to perform, in any respect, all obligations under this Agreement. 19. Insurance. A. Certificate of Liability Insurance identifying the City of Elk River as an additional insured 20. Records Access. The Consultant shall provide the City access to any books, documents, papers, and records which are directly pertinent to the specific contract, for the purpose of making audit, examination, excerpts, and transcriptions, for three years after final payments and all other pending matters related to this contract are closed. 21. Ownership of Documents. All plans, diagrams, analyses, reports, maps, digital files, and information generated in connection with the performance of the Agreement ("Information") shall become the property of the City. The City may use the Information for its purposes and the Contractor also may use the Information for its purposes. Reuse of the Information for the purposes of the project contemplated by this Agreement ("Project") does not relieve any liability on the part of the Contractor, but any reuse of the Information by the City or the Contractor beyond the scope of the Project is without liability to the other, and the party reusing the Information agrees to defend and indemnify the other from any claims or liability resulting therefrom. Final Documents shall be submitted in PDF format. 22. Subcontractor. The Consultant shall not enter into subcontracts for services provided under this Agreement except as noted in Exhibit A, without the express written consent of the City. The Consultant shall pay any subcontractor involved in the performance of this Agreement within the ten (10) days of the Consultant's receipt of payment by the City for undisputed services provided by the subcontractor. If the Consultant fails within that time to pay the subcontractor any undisputed amount for which the Consultant has received payment by the City, the Consultant shall pay interest to the subcontractor on the unpaid amount at the rate of 1.5 percent per month or any part of a month. The minimum monthly interest penalty payment for an unpaid balance of $100 or more is $10. For an unpaid balance of less than $100, the Consultant shall pay the actual interest penalty due to the subcontractor. A subcontractor who prevails in a civil action to collect interest penalties from the Consultant shall be awarded its costs and disbursements, including attorney's fees, incurred in bringing the action. In addition, no subcontractor can file a lien against the City. Page 4 of 7 Standard Agreement For Professional Services Page 111 of 372 23. Dispute Resolution/Mediation. Each dispute, claim or controversy arising from or related to this Agreement or the relationships which result from this Agreement shall be subject to mediation as a condition precedent to initiating arbitration or legal or equitable actions by either party. Unless the parties agree otherwise, the mediation shall be in accordance with the Commercial Mediation Procedures of the American Arbitration Association then currently in effect. A request for mediation shall be filed in writing with the American Arbitration Association and the other party. No arbitration or legal or equitable action may be instituted for a period of ninety (90) days from the filing of the request for mediation unless a longer period of time is provided by agreement of the parties. Cost of mediation shall be shared equally between the parties. Mediation shall be held in the City of Elk River unless another location is mutually agreed upon by the parties. The parties shall memorialize any agreement resulting from the mediation in a Mediated Settlement Agreement, which Agreement shall be enforceable as a settlement in any court having jurisdiction thereof. 24. Conflicts. No salaried officer or employee of the City and no member of the City Council of the City shall have a financial interest, direct or indirect, in this Agreement. The violation of this provision renders the Agreement void. Any federal regulations and applicable state statutes shall not be violated. 25. Counterparts. This Agreement may be executed in multiple counterparts, each of which shall be considered an original. 26. Governing Law. This Agreement shall be controlled by laws of the State of Minnesota.
