Executed Mutual Termination Agreement (Yardworx) 10-09-2026MUTUAL TERMINATION AND RELEASE AGREEMENT
This Mutual Termination and Release Agreement (this "Agreement"), made this T11 day
of ()C+pber , 2026, by and between the Housing and Redevelopment Authority of the City of
Elk River, a public body corporate and politic under the laws of Minnesota with its principal office
located at 13065 Orono Parkway, Elk River, Minnesota 55330 and Yardworx Outdoor Services,
LLC, a Minnesota limited liability company with its principal office located at 5392 Quam Ave
NE, St Michael, MN 55376, (collectively, the "Parties").
WHEREAS, the Parties entered into an Agreement for Professional Services dated August 9, 2024
(the "Original Agreement"); and
WHEREAS, the Parties wish to mutually terminate the Original Agreement in its entirety prior to
its natural expiration.
NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree
as follows:
1. Mutual Termination. The Original Agreement is hereby terminated effective
October 16, 2026.
2. No OutstandingObligations or Costs. The Parties acknowledge and agree that all
services have been rendered to satisfaction, all payments due under the Original Agreement have
been fully satisfied, and no outstanding fees, costs, or expenses remain owed by either Party.
3. Mutual Release. As of the Effective Date, each Party hereby releases, acquits, and
forever discharges the other Party, its affiliates, officers, employees, and agents from any and all
claims, demands, liabilities, or obligations arising out of or relating to the Original Agreement.
4. Surviving Terms. Any provisions of the Original Agreement that by their nature are
intended to survive termination (including, but not limited to, Indemnification obligations) shall
remain in full force and effect.
IN WITNESS WHEREOF, the Parties have executed this Mutual Termination and
Release Agreement as of the date first written above.
