This letter confirms our conversation of December I, 1993, on
the above-referenced project. The City of Elk River hereby
grants a right of entry to the Downtown Development Corporation
in order to access the City's property at Main Street and
Jackson Avenue. For this consideration, it is also understood
that the Development Corporation agrees to hold the City
harmless against any injury, accident, or claim which may
result from its work on the flagpole in Jackson Square.
Please sign the hold harmless acknowledgement found below and
return the original to me. You should also retain a photocopy
of this acknowledgement for your files. In the event of
