THE EDA
INTRODUCTION

Following the November 7, 1994 Public Hearing to consider a modification to the
Enabling Resolution, the City Council voted to continue discussion on this matter to
November 14, 1994. Specifically, the City Council desired alternatives on, say, a
rotational basis for four elected persons to serve on the EDA together with three residents
to serve in an at-large capacity.
Background/Discussion
The following alternatives are offered:
Option I - Three City Councilmembers and the Mayor serve on the EDA. The Mayor's
seat on the EDA is considered a "permanent" seat. The rema1n1TIg three City
Councilmembers' seats are selected on a rotating basis in such a way that the EDA's
composition changes on the first of the year. The remalTI1TIg City Councilmember not on
the EDA would serve a one year term as the Council's Vice Mayor.
Weaknesses: The EDA's Enabling Resolution states that the ''terms of the
Commissioners shall coincide with their term of office as members of the City
Council". The suggested system of annual appointments and resignations to the
EDA board is contrary to this language and is therefore done on the "honor
system". Another weakness relates to a specific ward in the community not being
"represented" on the EDA every fourth year.

Strengths: The Mayor, an advocate of economic development, retains a
permanent seat on the EDA. An additional resident to serve in an at-large capacity
is added to the EDA board which was $e original goal of this initiative.

Option 2 - A Councilmember or the Mayor does not accept appointment to the EDA
during his/her respective term in office.
Weaknesses: One could suggest that a specific ward in Elk River goes without
representation on the EDA, particularly if the one elected person not appointed to
the EDA is a Councilmember rather than the Mayor.
Strengths: The integrity of the EDA's Enabling Resolution is in tact. The original
initiative to add one additional resident to serve the EDA in an at-large capacity is
achieved.
Option 3 - The four Councilmembers representing Elk River's four wards serve on the
EDA at the expense of the Mayor not serving on this board. Instead, the Mayor obtains
an appointment to another public commission such as, say, the Municipal Utilities
Commission.
Weaknesses: The Mayor, an advocate of economic development, does not serve
on the EDA.

Strengths: Each ward in Elk River is represented on the EDA. The integrity of
the EDA's language regarding ''term of office" remains in tact. The initiative of
adding one additional resident to serve the EDA in an at-large capacity is achieved.
ACTION REQUESTED
The City Council is asked to adopt Resolution 94-_. This Resolution modifies
Resolution No. 87-63 a Resolution establishing an Economic Development Authority for
the City of Elk River, Minnesota. Previously, Resolution No. 90-5 modified the Enabling
Resolution by expanding the EDA board from five to seven members.
Regardless of the action, the City Council should be cognizant of the language of the
EDA's Enabling Resolution and the potential pitfalls of an alternating or rotational system

RESOLUTION FOR THE CITY OF ELK RIVER
A RESOLUTION MODIFYING RESOLUTION NO. 87-63
ESTABLISHING AN ECONOMIC DEVELOPMENT AUTHORITY
FOR THE CITY OF ELK RIVER, MINNESOTA
WHEREAS, Minnesota Statutes 469.090 et sea. (the Statute) authorizes
the City of Elk River (the City) to establish an Economic
Development Authority pursuant to the procedures and subject
to the restrictions set forth therein; and,
WHEREAS, on October 7,1987, the City Council for the City of Elk River
(the City Council) adopted Resolution No. 87-63 creating the
City of Elk River Economic Development Authority (the
Authority); and,

WHEREAS, on February 12, 1990, the City Council adopted Resolution No.
90-5 to expand the Authority from five (5) to seven (70
Commissioners by including two (2) residents to serve the
Authority at-large; and,
WHEREAS, the City Council finds that it is in the best interest of the City
and its residents to further broaden the representation on the
Authority.
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of
Elk River, Minnesota, as follows:
1. Commissioners
a. Four of the five members of the City Council of Elk River shall
serve as the Commissioners of the Authority together with three
residents of the City of Elk River who shall be appointed by the
Mayor, with the approval of the City Council., to serve "at-
large" .
b. The terms of the Commissioners shall coincide with their term
of office as members of the City Council. All at-large
Commissioners shall serve six (6) year terms.
